Filing your Virginia Articles of Organization officially establishes your business as a recognized Limited Liability Company (LLC). However, before doing that, you must first confirm that your desired LLC name is unique and distinguishable from existing state businesses by performing a Virginia LLC name availability search. This ensures that your name is available to use and your formation documents won’t be rejected.

You can do this using the Business Entity Search and the Name Availability Check tools. These are both provided by the Virginia State Corporation Commission (SCC).

The state offers two main tools to check the availability of your desired LLC name. These are the Business Entity Search and the Name Availability Check. I’ve discussed how to use both of them in detail below.

The Business Entity Search tool shows the business names already registered in Virginia. This helps you spot names that are too close or identical to your desired name before you proceed. I recommend starting with the Business Entity Search before using the Name Availability Check tool.

Follow these steps to perform your search:

  1. Choose “Contains” in the search type dropdown menu.
  2. State your desired LLC name (With no designator) in the “Entity Name” field.
  3. Click “Search.”

Note: You should only use the Advanced Search options if you need to locate specific existing business entities using detailed filters. Therefore, you don’t need to worry about using it in most cases.

Tip: Using the “Contains” filler is essential as it ensures the search picks up names with added words and/or articles.

For example, if your desired LLC name is “Blue Ridge Consulting,” searching using the “Starts With” filter means that you’ll miss the existing business name “The Blue Ridge Consulting Group, Inc.”

2. Search Using The Name Availability Check Tool

Recommendation: Use the Name Availability Check tool AFTER the Business Entity Search tool. This acts as a second screening step to confirm if your desired Virginia LLC name is acceptable for your formation filing.

To begin using the Name Availability Check, enter your desired LLC name in the “Entity Name” field. Bear the following points in mind when doing this:

  • Only use the core words of your desired LLC name.
  • Don’t use special characters and punctuation.
  • Uppercase letters and lowercase letters are treated as the same.

Tip: Test shorter versions of your desired name to get more accurate search results.

For example, if your desired LLC name is “Blue Harbor Consulting LLC“, run an initial search for “Blue Harbor Consulting,” then run a broader search for “Blue Harbor.” This ensures that you check a wider range of potentially conflicting business names.

Interpreting The Results Of Your Business Name Search In Virginia

The two main Virginia name search tools operate differently. Therefore, your search results can differ, meaning you should understand how to interpret each result correctly when completing a Virginia business name availability search. I’ve discussed how to correctly understand the potential results when using both tools below.

The Business Entity Search tool shows business entities already registered with the Virginia SCC.

It lists similar business names rather than giving you an approval decision. Therefore, you need to carefully review your results to determine if your desired name can be used. This is why you should use this first before the Name Availability Check tool.

a. No Results Appear

Your desired LLC name is likely available to use if the system shows a message stating that “No records found with your search criteria.” This means that the Business Entity Search did NOT find any existing state business names using the same or a closely-related name, which is the best-case outcome.

Example: You performed a search for the desired name “Redleaf Analytics.” The search found no existing business names, meaning your name is likely available to use.

Tip: I recommend performing another search using a shorter or broader version of the same name. A good example would be “Redleaf.” This will show name variations that may still make your name “Indistinguishable” in the state.

b. Similar Results Appear

Your desired business name may be available to use if your keyword appears in multiple existing business names, but none of them are identical to your desired name.

Example: Your desired LLC name is “Silver Line Consulting.” Your search results show business entities such as:

  • “Silver Line Fitness LLC.”
  • “Silver Line Contractors LLC.”
  • “Silver Line Chiropractic LLC.”
  • “Silver Line Express Transportation, LLC.”

While none of these names is identical, they share key elements. In this case, the state may approve your filing. However, the lack of distinctiveness may lead to legal and branding confusion.

c. Very Similar Or Identical Names Appear

Your formation documents will likely be rejected by the state if your name search results show names that closely mirror your desired LLC name.

Example: You plan to form a travel company called “Apex Adventure.” As shown below, an existing business is already using an almost identical name. In this case, you can NOT file your formation documents using that name in Virginia.

d. How Do Business Name Statuses Affect Your LLC Name Choice?

You should see each entity’s status in the far-right column of your search results. This impacts whether or not you can use a similar business name.

  • Active: This means that you can NOT use that name. The Virginia SCC will deny your application if it has a proposed name that is identical or confusingly similar to current active businesses.
  • Inactive: This means that your desired name may be usable, but it depends on why the entity is inactive. Dissolved entity names are usually free to use. Names of lapsed entities within the reinstatement period may still not be available.
  • Pending inactive: The name is unavailable as the entity is “Not fully inactive.”

2. Understanding Your Name Availability Check Results

The Name Availability Check tool works differently from the Business Entity Search tool. It provides a direct response on whether your desired LLC name is unique and distinguishable on the state’s records. Therefore, you should use it AFTER performing your name availability check.

a. Your Desired LLC Name Is Available

If your search returns the result “The name is available”, your name is likely acceptable for filing. For example, your desired name is “Summit Path Advisors.” Your search returns a result indicating that your name is available.

Note: This is just a screening result rather than a final approval. Your name may still be rejected when filing your Articles of Organization.

b. Name Is Not Available

Your desired business name is too similar to or the same as existing business names on record, so it can NOT be used. The system will display the message “Entity name entered is not distinguishable.”

Example: Your desired business name, “Apex,” is not possible to use. It triggers a conflict with a business name on record, which in this case is “APEX, LLC.” This is already an active entity in Virginia.

The Code of Virginia § 13.1-1012 primarily governs the Virginia LLC naming requirements. The Virginia SCC provides additional naming guidelines.

1. Required Designators For LLC Names

Every LLC name must be clearly identifiable as a Virginia LLC using an approved designator (ending). Your LLC name must include one of the following:

  • “Limited Liability Company.”
  • “Limited Company.”
  • “LLC or L.L.C.”
  • “LC” or “L.C.”

Furthermore, your desired LLC name must NOT include words or abbreviations to suggest a different business entity type. These include:

  • “Corporation” or “Incorporated.”
  • “Corp” or “Inc.”
  • Any wording suggesting that your business is a partnership, corporation, or nonprofit entity.

Example:

  • You’re allowed to name your Virginia LLC as “Blue Ridge Consulting LLC” or “Blue Ridge Consulting, L.C.”
  • You can NOT use “Blue Ridge Consulting Inc.” or “Blue Ridge Consulting Corporation LLC.”

2. Allowed Letters, Numbers, And Symbols

The Virginia SCC only allows your LLC name to use specific letters, numbers, and symbols. Your filing will be rejected if you try to use anything outside of these set rules. I’ve written a breakdown of what you can and can NOT use in your Virginia LLC name below.

3. Restricted Words In A Virginia LLC Name

Besides not being able to use certain designators (Endings) in your LLC name, Virginia restricts words that may confuse or mislead the general public. You can only use these terms or words if your LLC is properly licensed or your full name clearly shows that you’re NOT offering regulated services.

I’ve discussed the most common restricted words and categories in the following sections.

a. Banking, Trust, Insurance, And Public Utility Terms

Your LLC must NOT imply that it’s operating as a trust company, bank, public service company, or insurance company. Examples of public service companies include a railroad, utility, water, telephone, or sewer company. This is the case unless your LLC actually conducts business of that nature and is fully authorized to do so.

Example:

  • You can NOT use “Blue Ridge Bank LLC” if you’re NOT a licensed bank.
  • You can use “Blue Ridge Bank Consulting LLC” if the context clearly shows that you’re NOT a bank.

Note: Generally speaking, using the words “Trust” and “Bank” always triggers additional reviews. Therefore, I advise avoiding these unless your LLC is properly licensed.

b. Professional Terms

Your Virginia LLC name can NOT include “architecture,” “engineer,” or “land surveying,” or any variations of these words unless it’s legally authorized to provide these professional services.

Example:

  • You can NOT use “Precision Engineering LLC” without a proper license.
  • You can use “Precision Engineering Software LLC” if you’re clearly not offering engineering services.

c. Government-Related Terms In Financial Businesses

Using words such as “national,” “federal,” “United States,” and “reserve” may NOT be used if your LLC is performing lending, banking, savings, insurance, or trust activities in the state.

Example:

  • Not allowed: “Federal Reserve Lending LLC.”
  • Allowed: “Federal Data Analytics LLC” (if you’re NOT engaged in restricted financial activities).

Distinguishability Rules For Virginia LLC Names

The state will review your desired LLC name based on whether it’s meaningfully different or unique from existing state business names. Most people don’t understand how the Virginia SCC compares names. Therefore, superficial changes do NOT help in most cases.

I’ve stated the main rules below so you can correctly name your LLC without facing costly delays and filing rejections.

1. Designators

Using words and abbreviations that identify your entity type does NOT make your LLC name unique and distinguishable in Virginia. Do NOT rely on “LLC,” “Inc.,” or “Company” to differentiate your name. Change the actual wording of your desired LLC name instead.

Example: The names “Summit Advisory LLC” and “Summit Advisory Company” are treated as the same name in terms of distinguishability. Try using something like “Summit Advisory Group LLC” instead.

2. Articles And Connectors

Common, non-descriptive words are disregarded by the state. Examples of filter words that do NOT create distinguishability include:

  • The.
  • And.
  • For.
  • Or.
  • Of.

Example: The LLC name “The Oak Hill Group LLC” is NOT distinguishable from “Oak Hill Group LLC.” You need to change the core wording for your filing to be accepted by the state. An example of a good name change would be “Oak Hill Advisory Group LLC.”

3. Punctuation And Symbols

You can NOT make your desired LLC name unique by adding symbols, commas, or dashes.

Example: The names “North Star Solutions LLC” and “North-Star Solutions LLC” are the same and NOT considered distinguishable. A good alternative that would be unique and accepted would be “North Star Technology Solutions LLC.”

4. The Core Name Is What Matters

The Virginia SCC focuses on the remaining core name once it’s removed and ignores any words, abbreviations, and symbols. This must be “Meaningfully different” from existing names on record.

Tip: Focus on changing your core business term rather than the minor grammatical details.

Examples:

  • The core name “Stoncraft LLC (STONECRAFT) is considered unique and distinguishable from “Stonecrafts LLC (STONECRAFTS) due to the addition of the “s.”
  • “Stonecraft of Virginia LLC” and “Stonecraft Virginia Company” share the same core name. In this case, it’s STONECRAFT VIRGINIA. Therefore, these are NOT considered distinguishable by the state, meaning your filing would be rejected.

Your new LLC name must still be unique and distinguishable and meet the state’s legal naming requirements. Also, remember to update your official LLC name with the Virginia Tax and other relevant agencies.
