Tennessee Business Name Search Overview
You must register for an LLC name that satisfies the state requirements under the Tenn. Code Ann. § 48-205-101. I will discuss these requirements in detail below, but here is a brief overview:
- Your LLC name must meet state naming requirements, including the use of an approved designator and the exclusion of restricted or prohibited words.
- Your LLC name must be unique and distinguishable from other business entities registered with the state.

Once chosen, you must compare your desired LLC name against existing state businesses by using the Tennessee Business Entity Search tool.
You must complete this step because your LLC name cannot be the same as, or too similar to, an existing business name on record with the state. If you submit your filing using a name that is unavailable, the state will reject your LLC paperwork.
How To Use The Business Name Search In Tennessee
1. Search For Your Desired LLC Name
To begin, access the state’s Business Entity Search. Then, enter your desired business name in the applicable boxes and click “Search”.
Use these tips to get the most accurate results:
- Uppercase and lowercase letters don’t make a difference.
- Leave out punctuation (Commas, periods, and apostrophes).
- Do NOT use a designator, such as “LLC,” during your search.

Note: When using the Tennessee Business Name Search, enter just the main part of your desired LLC name.
Example: Your desired business name is “John Doe LLC.”
- Search for “John Doe.”
- Then, search for “John.”
This ensures that you find all potentially similar names.
2. Check Your Results
You should see your search results in a table once you’ve performed the search as stated above. The table will show several columns, including:
- A control number.
- A name.
- An entity type.
- A status.
- A ‘formed-in’ and registration date.

Interpreting Your Search Results
You must understand how to interpret your search results once you’ve completed your Tennessee Business Entity Search. This ensures that you can use your desired business name and know when to choose another option.
I’ve listed the four possible results below and explained how to interpret each one.
1. The Names Are Not Too Similar
If the search results show business names that differ enough from your preferred LLC name, the name is considered distinguishable and available for use.

Example: The name “John Fish” differs enough to:
- “BIG JOHN’S FISHING ADVENTURES, LLC.”
- “JOHN FISHER & ASSOCIATES, INC.”
- “JOHNSON FISHING LLC.”
2. No Results Appear
Your desired LLC name is unique and available for registration if your search results show a message such as “No Records Available.”

Tip: Perform a new name search, looking for parts of your desired LLC name to make sure it’s actually available.
Example: Your desired LLC name is “John Doe LLC.”
- Search for the words “John Doe.”
- Then, do searches for “John D“ and “John.”
- This helps you find everything that is “potentially similar.”
3. A Very Similar Name Shows Up
If the search results show names that are extremely close or almost identical to your desired LLC name, your chosen name is probably unavailable.

Example: Your preferred name is “American Liberty Home LLC.”
- The search shows “American Liberty Homes LLC.”
- The names are considered too similar.
- Your name could confuse the public, as the wording differs only in the plural form.
- The state will likely reject your filing.
In this case, you must choose a new LLC name or make substantial changes to create a distinguishable version.
4. Your Exact Name Appears
Your desired LLC name is completely unavailable if your search results show a business name that exactly matches your desired LLC name. This may include a name with the same sequence, spelling, and core words.
In this case, you will need to come up with a new name for your LLC.

Do You Need To Reserve Your Business Name?
You do NOT need to reserve your desired business name before filing under Tenn. Code Ann. § 48-207-102. Therefore, you can file your Articles of Organization immediately without performing any additional steps.

However, it can be helpful to reserve your desired name if you’re not ready to form your LLC immediately. Your chosen name is then locked for a set period, preventing anyone from registering it as you finish your remaining steps.
Note: To reserve your LLC name, you must send or deliver your completed Form SS-9425 to the Tennessee Secretary of State. The filing fee for a Tennessee LLC name reservation is $20.00.
Once approved, the name reservation holds your desired LLC name for 120 days. After the 120-day period expires, you may re-reserve the same LLC name by submitting a new application and paying the $20.00 fee again.

Tennessee LLC Name Requirements

Follow the rules below when naming your Tennessee LLC to avoid having your Articles of Organization rejected by the state.
1. Designators
Start by following the two main basic requirements when choosing a desired LLC name to avoid it being rejected under the Tenn. Code Ann. § 48-207-101(a)(1):
- Use a required designator (name ending) as part of your desired name. Examples include “LLC,” “L.L.C,” or “limited liability company.”
- Do NOT use “Corporation” or “Incorporated” or an abbreviation of either of these 2 words.

Example: Your desired business name is “Stone Ridge.”
- An allowed name would be Stone Ridge LLC.
- A name that is not allowed would be Stone Ridge Inc.
2. Keep The Designator In Roman Characters If You Want A Non-English LLC Name
Your desired LLC name can use words or abbreviations in another language. However, these must be written in Roman characters (the typical A–Z alphabet) under the Tenn. Code Ann. § 48-207-101(a)(1).
You can use a non-English equivalent of “Limited Liability Company,” but it needs to be written using Roman letters.

For example, “Soluciones Empresariales Sociedad de Responsabilidad Limitada” is acceptable because “Sociedad de Responsabilidad Limitada” is the Spanish equivalent of “Limited Liability Company” and is written entirely in Roman characters.
3. Keep Your Home-State Designation For Foreign LLCs
If your LLC was formed outside of the state, you may be able to keep your home state designation instead of switching to Tennessee’s exact LLC endings. This is set under the Tenn. Code Ann. § 48-207-101(a)(1) and Tenn. Code Ann. § 48-207-101(b).

Remember that you should:
- Confirm that your existing legal name and ending are allowed under your formation jurisdiction before applying to operate in the state.
- Confirm if your current name still meets Tennessee’s other naming rules.
For example, if an LLC was formed in Delaware as “Stone Ridge Holdings, L.L.C.,” it may register in Tennessee as a foreign LLC using the same legal name, including the Delaware-approved designator.
4. Avoid Suggesting Regulated Authority
Under Tenn. Code Ann. § 48-207-101(a)(2)(A), your LLC name can NOT imply that it’s authorized to perform a regulated activity unless it obtains the correct authority and written certification.

What to do:
- Avoid regulated-sounding terms: Don’t use state-approved authoritative words unless you have approval.
- Prepare documentation if authorized: Obtain and submit the required certification before relying on name wording if your LLC is properly authorized.
Example: Your desired LLC name is “Volunteer State Bank LLC.”
- This name will be rejected because it implies that your LLC is authorized to operate as a bank.
- This requires state authorization and written certification from the appropriate commission or officer.
Better examples:
- “Volunteer State Financial Consulting LLC.”
- “Volunteer State Risk Advisors LLC.”
These names keep your branding professional but do NOT imply special state authority.
5. Avoid Suggesting Affiliation Or Sponsorship
Your LLC name can NOT imply that it’s affiliated with, organized as, or sponsored by certain organizations without written certification allowing them to use the name or status under Tenn. Code Ann. § 48-207-101(a)(2)(B).

This commonly applies to names suggesting connections to fraternal, veterans’, service, religious, charitable, or professional organizations.
The steps you should take:
- Remove misleading language: Avoid words that imply official status, such as “official,” “chapter,” “foundation,” or similar terms if your LLC is not formally sponsored or affiliated.
- Secure certification if affiliated: Ensure you obtain the organization’s written certification before filing the name if your name has been officially authorized to use.
Example: Your desired LLC name is “Official Veterans Relief Fund LLC.”
This name implies sponsorship or affiliation with a veterans’ or charitable organization. Therefore, your desired name will be rejected by the state.
Note: Instead, you should use these names:
- “Veterans Relief Support Services LLC.”
- “Community Relief Fundraising LLC.”
- “Honor & Hope Outreach LLC.”
6. Don’t Imply Government Agency Status
Your desired name can NOT imply that it’s a government agency, an instrumentality of government, affiliated with or sponsored by the United States, the state of Tennessee, or any government subdivision or agency under Tenn. Code Ann. § 48-207-101(a)(2)(C). You must obtain the appropriate government official to certify that status in writing.

What to do instead:
- Avoid “official-sounding” government terms: You must have official written authorization for this.
- Choose neutral, private-sector wording: This must describe your services without suggesting state or federal authority.
- Be prepared to submit a written certification: This applies if your LLC has a legitimate government affiliation and you want it reflected on your name.
Example: Your desired LLC name is “Tennessee State Housing Agency LLC”.
This name implies that your LLC is a state agency or official business affiliated with the state. Therefore, it will be rejected unless written certification from the appropriate government agency or official is obtained.
Note: you can use these names instead:
- “Tennessee Housing Solutions LLC.”
- “Volunteer Housing Partners LLC.”
- “Nashville Home Support Services LLC.”
How To Make Your LLC Name Unique In Tennessee
1. Tennessee Distinguishable Rules
Your desired LLC name must be distinguishable on the records of the Secretary of State under the Tenn. Code Ann. § 48-207-101(b). This includes assumed names, true names, or registered names.

This requirement applies to all entity types, meaning that your name must stand out from Corporations, partnerships, nonprofits, and other registered businesses.
a. Designators
Changing a designator does NOT make your name distinguishable on the Secretary of State’s records.
Example: Your desired LLC name is “Mountain Crest Solutions LLC.” It will be viewed as unavailable if the following names appear:
- “Mountain Crest Solutions, Inc.”
- “Mountain Crest Solutions, Corp.”
- “Mountain Crest Solutions, L.L.C.”
b. Filler Words
Using symbols or non-meaningful words does not create distinguishability. Tennessee considers the following words and symbols as “filler words.”

If your desired LLC name is Blue Ridge Consulting LLC, it’s NOT unique if any of the following names are shown:
- “The Blue Ridge Consulting LLC.”
- “Of Blue Ridge Consulting Inc.”
- “@ Blue Ridge Consulting Incorporated.”
- “Blue & Ridge Consulting Corp.”
c. Capitalization
Capitalization differences don’t create distinguishability in Tennessee.
Example: Your desired LLC name is “Walking Horses LLC.” It isn’t available if the following names are in the search:
- “Walking HORSES Inc.”
- “walking horses LP.”
- “WaLKiNg HoRsEs LLC.”
d. Punctuation And Space
Your name is not made distinguishable by adding spacing, punctuation marks, and minor formatting changes.
Example: Your desired LLC name is “Blue Orchid Nail Studio LLC.” You can NOT use it if these names appear on your business search record.
- “BlueOrchid Nail Studio Inc.”
- “Blue Orchid” Nail Studio Limited Liability Co.”
- “Blue-Orchid-Nail-Studio Inc.”
- “Blue Orchid Nail Studio LLC”.
2. Using A Non-Distinguishable Name Under Common Control
The state allows limited exceptions if your desired name is NOT distinguishable on the state’s records. Under Tenn. Code Ann. § 48-207-101(c), your name will only be approved if it qualifies for one specific authorization path.

With this, you can only proceed if one of the following applies:
- Written consent with an undertaking: You’re given written permission from the business with a similar name. They formally agree to change their own name or cancel the reservation.
- Court judgment: A court gives you the legal right to use the name. You’ve submitted an official certified copy showing the final court decision to the state.
- Written consent with a shared Registered Agent: You gain written permission from the existing business to use the name + Both companies agree to use the same Registered Agent. This agreement is provided in a format accepted by the Secretary of State.
Recommendation: Each option is generally narrow and paperwork-heavy. Therefore, I advise modifying your LLC name instead of relying on one of these paths.
