The Virginia Sales Tax Certificate: A Detailed Overview

The Virginia Sales Tax Certificate of Registration is an official authorization given by the Virginia Department of Taxation, allowing your LLC to collect and pay the Sales Tax. This is set under the Code of Virginia § 58.1-613(A).

You must obtain a Sales Tax Certificate before carrying out taxable activities at any of your business locations. Each operating location requires an individual certificate, meaning an existing certificate does NOT apply to new business locations.

The state imposes a statewide 4.3% Sales and Use Tax rate. Furthermore, some localities may levy a local option tax alongside the set state rate. You can use the Sales Tax Rate Lookup resource to find the rate applied in your city or county.

1. Does Your LLC Need A Virginia Sales Tax Certificate?

If you have a sufficient connection with Virginia, also known as Sales Tax nexus, you must register for a Virginia Sales Tax Certificate. The table below shows the two main ways in which your LLC establishes nexus in the state:

2. Virginia Sales Tax Certificate Filing Methods And Fees

You must complete your registration using the online portal if your LLC has NOT filed with the Virginia Department of Taxation before. This has to be done using the VATAX system, as informed by the state agency.

Note: There is NO registration or renewal fee when you register and maintain your Virginia Sales Tax Certificate. Your permit is valid as long as you operate or until the state revokes it.

How To Get A Sales Tax Certificate In Virginia Online

Disclaimer: My guide is meant for in-state LLCs that have NOT had a VATAX account.

  • The procedure may be different for out-of-state LLCs. You can use this guide as a general reference point.
  • Log in to your VATAX account to add Sales Tax as a new tax type if you’ve previously registered for a tax account.

To begin, visit the VATAX Online Services for Businesses portal.

Click “New business? Register your business here” on the Register a New Business board. This is your first step when registering for any Virginia taxes.

1. Register Your Business Online Services Account

Note: As I’ve mentioned above, you need to obtain your EIN from the IRS before registering.

This first step is used to set up your business profile and give you user access to the VATAX system.

  1. Enter your EIN twice to identify your business.
  2. State your primary user information, including your full name and email address.
  3. Create your VATAX login information, including your user ID and password.

Note: Your user information does NOT need to be an LLC owner or legal representative. It can be the person who most frequently uses the account.

2. Provide Your Business Profile Information

The Virginia Tax Department will use this information to determine your operating jurisdiction, correspondence, and tax administration going forward.

Make sure you provide your LLC’s primary business address. You can NOT use a P.O. box address.

Check the box to autofill your details if your mailing address is the same. Otherwise, input a separate mailing address that can be used to reliably receive state notices.

Note: Do NOT check “International Address” box. This is NOT applicable to in-state businesses.

3. Select Your Entity Type

Next, you must choose your entity type. This is based on your LLC’s federal tax classification. You have three applicable options as an LLC:

  1. Sole proprietor: This applies if you’re a single-member LLC that has not made a federal tax election with the IRS.
  2. LLC: This applies if you’re a multi-member LLC that has not made a federal tax election with the IRS.
  3. LLC reporting as a corporation: This applies if your LLC has elected to be taxed as a corporation with the IRS.

4. State Your Business Information And Primary Contact

This section collects your core business details and primary contact. This will be used by the Virginia Tax Department for official communication purposes.

5. Add A Responsible Party (Optional)

The state can identify your LLC using the information provided so far. Therefore, this section is optional.

6. Review And Confirm Your LLC’s Business Information

At this stage, simply review your entered information to confirm that it’s correct and up-to-date.

  • Click “Continue” if everything is correct.
  • Select “Edit” to make changes before moving forward if you notice something that needs changing.

7. Select Your Applicable Tax Types

Next, you need to select your applicable tax types. The information you provide here will identify which taxes your LLC is registering for. Choose Retail Sales Tax (In-state dealers)for Sales Tax.

Note: Make sure that you only select additional boxes if they apply to your LLC’s business activities. If you’re unsure, consult a tax professional first to avoid unnecessary tax obligations.

8. Enter Your Retail Sales Tax Details

Provide the information needed for your Retail Sales Tax (In-State dealer) registration. This must include the following:

  • Effective date: Your first expected taxable sale. This must be within 3 months ahead or 1 year behind.
  • Trading name: Your legal LLC name, unless you have a registered fictitious name.
  • Business location where sales take place: Choose “Same as Primary Business Address” if the sections can be autofilled. Otherwise, manually enter your details as required.
  • Seasonal business box: This applies to LLCs that operate during certain months of the year.
  • Various locations box: This applies if you sell at temporary business locations. Examples include craft shows and flea markets.

9. Confirm Your Sales Tax Mailing Address

Once you’ve provided your retail Sales Tax details, confirm if the displayed address can be used for Retail Sales Tax correspondence.

  • Select “Yes” if it’s correct.
  • Choose “No” to enter a different mailing address for your Sales Tax notices.

10. Confirm Your Sales Tax Contact

After confirming your Sales Tax mailing address, you must also confirm your Sales Tax contact.

First, choose whether to use your existing primary contact for Retail Sales Tax. Select “Yes” to keep it or “No” to provide a different Sales Tax contact.

11. Review And Approve Your Sales Tax Registration

Next, you need to review your selected tax types. Click “Retail Sales Tax (In-state dealers) to review your information before going to the approval stage.

Then, carefully review your detailed Sales Tax information. Check your effective date, trading name, business location, mailing address, and Sales Tax contact.

  • Press “Edit” to make changes or “Delete” if you added a tax type accidentally.
  • Click “Approve” to finalize your Sales Tax registration if everything looks correct.

12. Registration Complete

On the final screen, the system will confirm your registration and provide the essential information needed for your Sales Tax compliance going forward.

Requirements For The Virginia Sales Tax Certificate

The state requires you to complete multiple steps when obtaining your Virginia Sales Tax Certificate. Alongside applying for and receiving it, you must properly display your certificate at each business location and keep your registration information up-to-date.

1. Multiple Business Locations

Under the Code of Virginia § 58.1-613.(A), each physical operating location in the state must have its own Sales Tax Certificate.

You must add each location in your VATAX account and get a separate certificate for each operating location if you expand.

Note: While you can open separate accounts for each operating location, managing all of them under one VATAX account is generally more efficient.

2. Displaying Rules

According to the Code of Virginia § 58.1-613.(C), your certificate must be prominently displayed at your registered business location.

Doing this ensures that customers and tax authorities can confirm that your LLC is properly authorized to collect Sales Tax. You will be given a compliance violation if you fail to display a valid ticket at each operating location, even if the permit is active.

Note: Each of your operating locations must display the Sales Tax Certificate issued for that specific address.

Do You Need To Obtain A Virginia Sales Tax Certificate?

All LLC’s who meet the definition of a “dealer” must register to collect and pay Sales Tax. Under the Code of Virginia § 58.1-612.(B), you’ll find an exhaustive list of persons and entities subject to registration.

Your LLC may be classified as having a Sales Tax nexus if you:

  • Have a physical state presence (Inventory, employees, location, or a presence through a contractor, subsidiary, or agent).
  • Meet the state’s economic nexus threshold (If you do not have a physical presence).

Dealers fall into two main categories. This simplifies your registration framework when acquiring your license.

1. In-State Retailers

This applies to individuals or businesses making sales from one or more direct physical presences in the state. This includes, but is not limited to:

  • A place of business or office.
  • Ownership of personal property.
  • Storing inventory or goods at a warehouse in the state.

2. Out-Of-State Dealers

You may still create an economic nexus in the state, even if your LLC is NOT located in Virginia. This applies if a remote seller exceeds either of these guidelines in a calendar year:

  • $100,000 in Virginia gross sales.
  • 200 transactions to Virginia customers.

Note: Sales made via a marketplace facilitator are NOT included in your total calculation. Examples include Amazon and Etsy.

Example: Your Florida-based LLC has $150,000 in Virginia sales in the past year. On closer inspection, $100,000 was via marketplace sales and $50,000 was via its own channels. In this case, you only have direct sales of $50,000. Therefore, you do NOT create an economic nexus in terms of gross sales.

Note: You may still create a nexus with the state if you have indirect but substantial physical presence as a foreign LLC.

Why Is It Important To Obtain Your Virginia Sales Tax Certificate?

Once you obtain your Virginia Sales Tax Certificate, you can:

  1. Legally collect Sales Tax from customers.
  2. File your Sales Tax returns and remit tax to the state.
  3. Avoid interest, penalties, and potential enforcement actions.
  4. Show compliance during inspections or audits.

You expose your LLC to multi-layered penalties if you fail to register. I will discuss the main ones below so you can better grasp the importance of obtaining your Sales Tax License (If required).

1. Penalties For Operating A Taxable LLC Without A Sales Tax Certificate

If you engage in business as a dealer in the state without obtaining a Sales Tax Certificate of Registration, you commit a class 2 misdemeanor under the Code of Virginia § 58.1-613.(E).

This is punishable under Code of Virginia § 18.2-11.(b), with potential fines and penalties including the following:

  • Confinement in jail for not more than six months.
  • A fine of not more than $1,000.
  • Or both.

Each day the violation continues is classed as a separate offense. This means that penalties can quickly mount up if not addressed.

Note: Operating as an LLC does NOT shield you from criminal liability for operating as an unregistered dealer. The penalties still personally apply to whoever owns or operates the LLC, which in most cases is you.

2. Penalties For Not Collecting And Paying Sales Tax

If your LLC is unregistered but you were required to collect Virginia Sales Tax, the unpaid tax is treated as your liability, NOT the customer’s.

a. Back Tax

Under the Code of Virginia § 58.1-625, these are the potential penalties if you fail to collect Virginia Sales Tax when required:

  • You’re liable for the full uncollected tax amount, even if your customers were never charged.
  • Your tax must be fully paid before you can sue or recover any part of it from Virginia customers.
  • You’re guilty of committing a class 1 misdemeanor. This constitutes confinement in jail for not more than 12 months, a fine of not more than $2,500, or both under the Code of Virginia § 18.2-11(b).

b. Penalties For Late Filing And Payment

Even if no tax is due, you must still file a return to report your Sales Tax activities. You face the following penalties and/or fines if you’re not registered and never file or pay your required taxes according to the Virginia Department of Taxation:

  • Late filing / late payment penalty: This is 6% per month (or part of a month) on your tax owed, capped at 30%.
  • Minimum penalty: $10, which applies even if you owe no tax.
  • Interest: This accrues based on the unpaid tax at the federal underpayment rate + 2% (until fully paid).
