New York offers excellent access to one of the most robust economies in America. You have prime admission to several global markets, with a talented and diverse workforce to help grow a successful business.

However, it’s one of three U.S. states requiring all newly-formed Limited Liability Companies (LLCs) to publish a Notice of Formation in a local newspaper after their Articles of Organization have been accepted. This is a required publication under New York state law.

I’ve explained everything you need to know about the New York LLC publication requirement, including the costs, filing requirements, and further steps once it’s completed. You’ll learn how to file it correctly with the New York Department of State (NY DOS) and get your LLC off to the right start.

New York Publication Requirement Overview

Your LLC must complete the New York publication requirement within 120 days following state approval. This is set out under New York Limited Liability Company Law §206.

These are the general requirements when publishing your New York Notice of Formation:

  1. Your notice must be published once per week for six consecutive weeks.
  2. It must appear in two different newspapers. These have to be located in the same county where your LLC operates.
  3. One newspaper must be published daily, while the other must be published weekly.
  4. You must use the two newspapers designated by the County Clerk in your LLC’s county. You can find your county clerk’s contact information on the NYS Association of County Clerks website.

Both newspapers will give you an Affidavit of Publication once the six-week publication period is completed. These must both be filed with the NY DOS, along with your Certificate of Publication, to fulfill the state requirements.

Note: You cannot use your Affidavit of Publication if it doesn’t come from the newspapers designated by your County Clerk. It is deemed invalid for submission with your Certificate of Publication.

The total cost of meeting the publication requirement consists of two parts:

  1. Publication fees, which vary by county.
  2. The $50 filing fee for the Certificate of Publication.

1. Exemptions To Be Aware Of

Your LLC is exempt from the publication requirements if you’re classified as a theatrical production company. This is set out under Sections 206 and 802 of the New York Limited Liability Company Law.

Note: This only applies if your official business name has the words “Limited Liability Company.”

Obtaining Your Affidavit Of Publication: A Step-By-Step Guide

Your first step when completing your New York publication requirement is to obtain an Affidavit of Publication. This acts as official proof that your Notices of Formation were officially published in the designated newspapers for the required period.

Follow these steps to get it:

1. Prepare Your Publication Notice Text

Your publication notice must include the following information under New York Limited Liability Company Law §206:

  • The official business name of your LLC.
  • The county where your LLC is located.
  • Your principal business street address (If applicable).
  • Your mailing address (Where official legal documents can be sent).
  • Your filing date with the Department of State (And your formation date if it’s different).
  • A statement designating the Secretary of State (SSNY) as the agent for Service of Process.
  • Your business purpose (This is usually “any lawful purpose”).
  • Your Registered Agent’s name, address, and authorization statement (If applicable).
  • The latest date of dissolution (If applicable).

Note: All information in your Notice of Formation must exactly match the information in your New York Articles of Organization. You may face processing delays if it doesn’t.

2. Choose And Confirm Your Publication Newspapers

As I’ve briefly mentioned above, the County Clerk will designate the two newspapers that your LLC publication must be filed with. If you don’t follow this, your publication will be rejected by the state.

Tip: I recommend that you contact the County Clerk’s office before starting your publication requirement. They can confirm which county newspapers are approved for publication (One daily schedule and one weekly schedule).

Once they’ve given you a list, you can reach out to each newspaper and ask the following questions. Doing this ensures that you work with one who aligns with your business needs.

  1. How should I submit my notice?
  2. How much will it cost to run the notice for six consecutive weeks, including all fees or additional charges?
  3. What forms of payment do you accept, such as credit card, check, or electronic payment?

Once you’ve gathered the requested information, compare the answers and decide which papers you want to use. Send your prepared notice to each newspaper, pay your publication fees, and wait for the Affidavit of Publication. This will be sent to you once the six-week publication period has finished.

3. Collect Your Affidavit Of Publication From The Newspapers

You should be sent an Affidavit of Publication by both designated newspapers once your six-week publication period is finished. They’ll also include a “snippet,” which is a printed copy of your published ad.

  • Contact the newspapers directly if you haven’t been sent an Affidavit of Publication once the six weeks are finished. Ask to confirm the publication status and request copies for your records.
  • Make sure that you keep the Affidavits of Publication and attached ad snippets. You’re required to include both when filing your Certificate of Publication with the NY DOS.

Filing Your Certificate Of Publication

With your Affidavits of Publication in hand and your Notices of Formation successfully published, your next step is to file your Certificate of Publication with the NY DOS.

Note: As of 2025, there is currently no option for online filing. All Certificates of Publication must be filed by mail.

Follow these steps to correctly file your Certificate of Publication:

1. Complete Your Certificate Of Publication

To start the filing process, you need to download the Certificate of Publication – Form 1708 from the NY DOS website.

  • This form is used by Domestic Limited Liability Companies.
  • Download Form 1714 if you’re a Foreign Limited Liability Company.

For this article, I will explain how to complete Form 1708 for domestic LLCs.

If you’re a foreign-owned LLC, you can refer to my separate guide that details how to complete Form 1714. The main difference is that you don’t need to complete the Cover Sheet section.

Form 1708 has two main sections that need to be completed:

  1. Cover Sheet.
  2. Certificate of Publication.

a. Cover Sheet

The information stated on your Cover Sheet allows the NY DOS to send your Filing Receipt and request additional information if needed.

  1. Complete the “Contact Information” section (Enter your name, mailing address, email address, and phone number).
  2. Move down to the “Request for Filing of Document” section
  3. Enter your LLC’s legal name in the “Exact Name of Entity” field. This needs to be exactly as it appears on your Articles of Organization.
  4. Enter “Certificate of Publication” in the “Document Type” field.
  5. Leave the “Request for Copies or Certificates of Status” section blank. It is not relevant to this filing.

b. Certificate Of Publication

Once you’ve completed your Cover Sheet, you can move on to the Certificate of Publication section on Form 1708. Both pages must be completed accurately to ensure your filing is accepted.

  1. Enter your LLC’s legal name (Exactly as it appears on your Articles of Organization).
  2. Choose whether your Certificate of Publication is being completed by a Member, Manager, or Authorized Person.
  3. Enter your Articles of Organization filing date. Use the same format shown in the form for accuracy.

Note: Your LLC name and filing date must match exactly with the records on file with the NY DOS. If it doesn’t, your filing may be rejected. I recommend that you double-check all information between both records before completing this section.

Only an individual authorized to act on behalf of the LLC may sign this form. This must be a member, manager, or authorized person.

Leave the line for “The name under which it was organized” blank if your LLC name has not changed since formation.

Once all required information is completed for this section, sign and print your name at the bottom of the first page. Include the date of your signature.

Now that page one is finished, you can move on to page two.

  1. File in the Filer’s Name and Mailing Address sections.
  2. Enter your full name, company name (If applicable), mailing address, city, state, and ZIP code.

2. Prepare Your Payment

Once you’ve completed all required information, you can prepare your Certificate of Publication payment. This costs $50 and is made payable to the NY DOS.

The NY DOS accepts two forms of payment:

  1. Credit card or debit card payments: These must be submitted using the Credit Card/Debit Card Authorization Form 1515. You include it with your Certificate of Publication and both Affidavits of Publication.
  2. Checks or Money orders: These must be made payable to the “Department of State.”

Follow these steps to complete Form 1515 if you’ve chosen to pay by credit card or debit card:

  1. Enter your legal LLC name (Exactly as it appears on your Articles of Organization).
  2. Select “Filing of Document or Certificate.”
  3. Choose a routine or expedited service option (Review the associated fees carefully).
  4. Enter “$50” in the processing fee section.
  5. Include the additional fee ($25 for 24-hour, $75 for same-day, or $150 for 2-hour service) if you choose the expedited processing option.
  6. Enter the total amount in the “TOTAL” line once you’ve added all the fees up.
  7. Choose your card provider (MasterCard, Visa, or American Express).
  8. Fill in the required cardholder information (Name, billing address, and email address).
  9. Sign and print your name at the bottom of the form.

Warning: The NY DOS will not accept cash payments when filing your Certificate of Publication.

3. Submit Your Completed Filing By Mail

Organize your required documents into one envelope once everything is completed. Check that this includes:

  • Your Affidavits of Publication and their corresponding snippets (There should be two from your designated newspapers).
  • The completed Certificate of Publication (Form 1708).
  • The Credit Card/Debit Card Authorization Form 1515 (If paying by card).

Once everything is in order, mail your filing package to:

Your filing should take around 7–10 business days to process. Once completed, you’ll receive a Filing Receipt from the Department of State by email.

How To Verify Your Filing

You should verify that your Certificate of Publication has been properly recorded by the NY DOS. This should be done after receiving your Filing Receipt.

  1. Navigate to the New York Business Entity Search on the Department of State’s website.
  2. Enter your LLC’s exact legal name (As stated on your Articles of Organization).
  3. Click “Filing History” once you’ve located your LLC record.

The Certificate of Publication will be listed on your official document list if your filing was successfully processed.

This confirms that your filing is officially part of the state’s public record and that your LLC has officially completed the New York publication requirement.

How Much Does It Cost To Complete New York Publication Requirement?

As mentioned above, there 2 seperate costs to complete the New York Publication Requirement

1. The Cost Of Filing Your Certificate Of Publication

Your New York LLC publication requirement cost is approximately $50. This is the cost to file your Certificate of Publication with the NY DOS.

2. The Cost Of Publishing Your Notices Of Formation In New York

Your publication costs vary depending on your LLC’s county. Use these guidelines to get a general idea of your expected costs:

  • The cost ranges between $200 and $300 in most counties.
  • Publications are significantly higher in the five boroughs of New York City. These may range between $800 and $1,200.

The final amount depends on your designated newspapers and operating county. I recommend that you contact the County Clerk to get your designated newspapers and work out a precise estimation.

Why Do You Need To Complete This Requirement?

According to New York Limited Liability Company Law §206, your LLC’s authority to conduct business in New York will be suspended if you fail to comply with the New York LLC publication requirements.
