When you form an LLC in Arizona, filing paperwork is not the final step, as the state also requires new businesses to complete a newspaper publication process that many owners do not expect.

Arizona is one of the few U.S. states that requires you to publish a Notice of Formation.

It should be completed within 60 days of your Articles of Organization approval and run for three publications. The cost ranges from $80-$120, depending on the newspaper you choose.

Arizona Publication Requirements Overview

All Arizona LLCs must publish an official notice in a local newspaper within 60 days after their Articles of Organization have been approved by the Arizona Corporation Commission (ACC). The publication notifies the public that your LLC has been officially formed in the state.

This requirement is set out under Arizona Revised Statutes (A.R.S.) § 29-3201(G).

  • You must publish your notice of formation in one qualified local newspaper for three consecutive runs (Publications).
  • These should typically occur over one to two weeks.
  • The local newspaper must be in the same county as your Statutory Agent. This is the one listed on your Articles of Organization.

Note: Your LLC is exempt from these publication requirements if your Statutory Agent’s address is in Maricopa County or Pima County.

Under House Bill 2447 and A.R.S. § 10-130(B), these counties are exempt as they have populations exceeding 800,000 residents.

Instead, the ACC will automatically publish your formation notice through its Public Notice Database at no extra charge.

Completing your Notice of Publication for your LLC in Arizona typically costs from $80-$120. The final cost depends on your chosen newspaper and county.

You must complete several key steps to comply with the Arizona LLC publication requirements. I’ve clearly outlined the process below to ensure your publication is properly documented and filed.

1. Fill Out The Notice Of Publication Form

You’ll be sent a blank copy of the Notice of Publication: Form LL-0001 once your Articles of Organization have been approved and your LLC is officially formed.

Read it carefully and complete the form with the following information.

  • LLC/Corporation name: Exactly as it appears on your Articles of Organization.
  • Your LLC’s principal/known place of business address.
  • Your Statutory Agent’s name and street address.
  • LLC management type: Member-managed or manager-managed.
  • Names and addresses of all LLC members/managers (Names and addresses of directors and officers for corporations).
  • ACC file number: Your Entity ID number.

2. Submit The Notice Of Publication To A Qualified Newspaper

You will need to file your Notice of Publication with a qualified newspaper in the same county where your Statutory Agent’s address is located.

  1. How do you accept my Notice of Publication and payment, by email, phone, or mail?
  2. How much does it cost to publish my new LLC for three consecutive runs?
  3. How long after my publication run is finished will I receive the Affidavit of Publication?

3. Affidavit Of Publication

The newspaper will send you an Affidavit of Publication once your Notice of Formation has been published for three consecutive runs.

This certifies that your notice has been successfully published under the requirements set by Arizona law.

Tip: Make a copy of your Affidavit of Publication and store it with your official LLC records. You may need to provide it to investors, banks, and licensing agencies as proof of your LLC’s compliance.

Contact the newspaper to request your Affidavit if you don’t receive it within 2-4 weeks after your publication runs are complete.

How To File Your Affidavit Of Publication With The Arizona Corporation Commission (Optional)

You’re not required to send your Affidavit of Publication to the ACC. However, I highly recommend that you record the document as it costs nothing to do.

Here’s why I think it’s worthwhile doing:

  • It provides proof of compliance with the ACC publication requirements.
  • Your Affidavit will never get lost or damaged as a digital version. You can access it anytime through your eCorp account.

Follow these steps to upload your Affidavit of Publication directly through the ACC eCorp Portal:

1. Log In To Your eCorp Account

You first need to log in to the ACC eCorp. Use the same account you created when filing your Articles of Organization.

Register for a new account using your name and email address if you don’t already have one.

The ACC will send you an email with a temporary password. Check your inbox, including your junk mail, to find it.

You’ll be redirected to a page allowing you to create a new permanent password once you’ve logged in. Once your new password is set, you can begin filing your Affidavit of Publication through your eCorp account.

Tip: I advise that you set a strong password according to the portal requirements. Don’t use obvious words such as your company name or industry.

2. Navigate To The Affidavit Of Publication Upload Page

Once your account is active, click “Online services.

Select “Other updates.”

Following this, you should see a box in the top left corner named “Affidavit of Publication.” There will be a short description next to it describing the publication.

3. Upload Your Affidavit Of Publication

Enter your Entity Name or Entity ID in the search fields at the top of the page.

Note: Make sure you carefully review the information and confirm that the details entered match your LLC. There may be multiple Arizona businesses with similar names.

They should correspond exactly with the details on your Articles of Organization. Pay particular attention to your Entity ID, issued when your LLC was approved by the Arizona Secretary of State.

Click “Select” next to your business name once you’ve located it, then click “Next” to move to the next stage.

Click “Choose files” to upload your copy of the Affidavit of Publication on the following page.

Tip: Check that your file is in PDF format and doesn’t exceed the maximum allowable size. This is typically 10 MB.

Once your file is uploaded, carefully review your information to ensure everything is correct. Click “Next” to complete your upload process.

Congratulations! Your Affidavit of Publication has been successfully uploaded to the Arizona Corporation Commission’s eCorp system.

4. Verify Your Submission

The ACC commonly takes around 13-15 business days to review and record your Affidavit of Publication.

Note: You can visit the ACC Business Entity Search Database to check that your affidavit has been recorded. Search for your LLC name and scroll down to the “Document History” section. Following this, you should see that your official filings list the Affidavit of Publication.

Contact the ACC Corporations Division if your Affidavit doesn’t appear after 15 business days. They’ll be able to verify whether it’s been received and processed.

Note: Your Affidavit of Publication can take much longer to show in the system during peak filing periods or scheduled system maintenance.

Arizona LLC Publication Requirement Non-Compliance Penalty

I searched through the Arizona Limited Liability Company Act and couldn’t find anything stating that Arizona applies a penalty for failing to meet the publication requirement.

However, the Secretary of State can revoke your Statement of Qualification if you’re a Limited Liability Partnership (LLP) and fail to comply. This is in chapter 5 of the Arizona Revised Statutes (A.R.S.), § 29-1103 (D).

While the act specifically states LLPs, I believe that a similar administrative penalty could apply to your LLC if you don’t complete the publication requirement. In this case, your LLC may face administrative dissolution if you fail to publish the three publications within the state deadline.

Do I have to publish my LLC in Arizona?

All newly-formed Arizona LLCs must publish a Notice of Formation in a local newspaper. The state requires you to complete three consecutive publications to be compliant.

However, you’re exempt from the requirements if your Statutory Agent is located in Maricopa County or Pima County. The ACC automatically publishes the notices online in these states.

What states have LLC publication requirements?

Currently, only Arizona, Nebraska, and New York require newly-formed LLCs to publish a Notice of Formation in local newspapers.
