Filing your Articles of Organization with the Colorado Secretary of State officially forms your LLC and recognizes it as a separate business entity. To begin full business operations, you must complete several state regulatory procedures and legal filings, one of which is the Periodic Report in Colorado.

Under C.R.S. 7-90-501, all Colorado LLCs must submit an annual Periodic Report to the Secretary of State.

Note: You must file your Periodic Report annually, even if nothing has changed. Your filing confirms that your information has been reviewed and remains up-to-date.

What Is A Periodic Report In Colorado?

The Colorado Secretary of State Periodic Report filing is equivalent to the Annual Report filing in other states. You must submit it annually using the Secretary of State’s online system to maintain your good standing. If you don’t, you face penalties and potential loss of good standing.

1. When Is The Colorado Periodic Report Due?

Your Colorado Periodic Report is due by the end of the second month following the anniversary month of your formation. The same filing deadline and fee ($25.00) applies to each operating year, as long as your LLC remains active in the state.

The state gives you a 5-month Periodic Report filing window in which you must complete your filing. You can file up to 60 days after the end of the second month following your anniversary month if you miss the due date. However, you’ll be charged a $50.00 penalty fee for your late filing.

Once the 60-day window is finished, your LLC cannot file the Periodic Report. Your LLC will be marked as “delinquent,” and you’ll lose your good standing with the state. I’ve discussed what happens following your delinquency status below.

Example: Your LLC was officially formed on May 1, 2025. Therefore, your anniversary month is May 1, 2026. This means that:

  • Your earliest due date is March 1, 2026.
  • Your latest due date is July 31, 2026.
  • You can file your Periodic Report within 60 days of July 31, 2026 (Your latest due date). However, you must pay a $50.00 penalty fee.
  • Your LLC will be labeled “delinquent” if you fail to file your report by September 2026. You may face legal risks, which I’ve discussed below.

The Colorado Periodic Report filing fee has been raised to $25.00 since July 1, 2024. You can read the official change statement at Periodic Report Filing Fee to Increase July 1.

However, this is considered low compared to the national fee averages, which exceeded $58 in 2024.

Note: Your filing fees and penalties can be paid using a credit card, debit card, or a prepaid account. The state accepts Visa, MasterCard, American Express, and Discover.

2. Penalties For Not Filing Your Periodic Report On Time

As I’ve stated above, your LLC will be labeled “Delinquent” if you haven’t filed your Periodic Report by the first day of the third month after your LLC’s anniversary month.

Under C.R.S. 7-90-902, you must submit a “Statement Curing Delinquency” and pay a $100 penalty fee. This will reset your anniversary month.

Note: I highly recommend that you file your Periodic Report on time. Alongside losing your good standing, you risk losing your original business name. It becomes available for others to use if your delinquency status isn’t resolved.

Tip: Your Colorado Periodic Report MUST be submitted online via the Colorado Secretary of State website. There is no other filing option available at the moment.

1. Before Filling

Before you start filing, you will need to use the Record Identification or ID Search site to find your LLC before beginning your report filing.

b. Locate Your LLC

To begin, search your LLC name in the system without a designator (Ending). Alternatively, enter your 11-digit Entity ID Number.

c. Confirm

Next, confirm your authorization to make changes.

d. Choose Periodic Report

After clicking “Confirm,” your Entity Information will be pre-filed in the required fields. This is the information on record with the Colorado Secretary of State.

Note: This information cannot be updated through your Periodic Report filing.

After clicking “Confirm,” you’ll see a list of documents available for filing. Click “File Periodic Report” to begin the filing process. This should take you to the Secretary of State’s notification page, where you’ll be given the purpose of your report filing and instructions.

Click “Next” to proceed to the Information Entry Form.

2. Update Your Registered Agent’s Information

Now you can start filing your Periodic Report by revising and updating your Registered Agent’s information.

a. Review Or Update Your Registered Agent Information

A Registered Agent is a Colorado individual or business responsible for receiving and processing official state correspondence and legal notices on behalf of your LLC. This doesn’t have to be an LLC Owner or Director.

Check your current Registered Agent information on file once you’re directed to the “Registered Agent: Step 1” page.

Underneath, you must choose your type of Registered Agent. You have two options to pick from:

  1. Individual: This can be yourself, a family member, a friend, or an LLC Member.
  2. Entity: A business entity or third-party Colorado Registered Agent service.

b. Search Your Registered Agent ID Or Name

Enter your ID Number or Registered Agent’s name in the provided field.

Your Registered Agent should be shown on a dropdown list below once you’ve entered their ID Number or Entity Name. I’ve shown this in the picture below.

Next, click the appropriate hyperlinked Registered Agent.

Note: You can enter a different ID Number or Entity Name if your Registered Agent has changed or the filed information is incorrect.

c. Confirm Your Registered Agent Information

Next, confirm or update your Registered Agent information. You can leave the applicable boxes auto-filled if everything is correct and up-to-date.

3. Update Your Principal Office Address

In this step, you will need to check and update (if needed) your LLC’s principal office address. Fill the required fields with your principal office address details. You need to fill in two required sections:

a. Update Your Street Address

You will need to enter your LLC’s principal office street address. This address must be a physical location, not a P.O. box.

b. Update Your Mailing Address

Provide your complete mailing address if it differs from your street address. Include your city, state, and ZIP/postal code. You can use a P.O. box address for this section.

Include the country and province (if applicable) if you’re using an address outside the U.S.

Finally, click the “Yes” checkbox to confirm your Registered Agent’s appointment. Then, click “Next” to proceed.

4. Confirm Your Registered Agent Information

You can check your LLC’s Registered Agent information again. Then, you will need to confirm your consent to submit such information by ticking “Yes” and click “Next” to move to the next step.

5. Update Your Filer Information

Step 5 requires you to update your filer information.

First, tick the checkbox “I have read and understood the perjury notice above.”

Note: Make sure that you read the statement carefully so that you understand what you’re consenting to.

Underneath, provide your name and address. Fill the required fields marked with an asterisk.

Once the required fields are completed, review your filer information. You can click “Add another filer” if you want to appoint multiple ones. If not, you’ll act as the sole report filer.

6. Subscribe To The Email Notification Service

In Step 5, you’ll be asked if you want to subscribe to the email notification service. As I mentioned above, I recommend that you subscribe to be reminded of important report due dates and events that affect your LLC.

7. Review The Filled Information

Review your filled information in Step 5. Click the “Edit” buttons to make changes if needed.

8. Make Your Fee Payment

Finally, select your desired payment method. Proceed with your payment to complete your Periodic Report filing.

Note: Make sure you save a copy of your receipt and Periodic Report filing once you’ve completed your application.

  2. Continue to the next page.
