How To Perform A Business Name Search In Ohio

1. Access The Portal And Enter Your Desired LLC Name

To begin, navigate to the main search portal: Ohio Secretary of State Business Search. Then, enter your desired LLC name in the search bar and click the “Search” button.

Keep these tips in mind when searching:

  • Don’t add your designator (“LLC”, “L.L.C.”, “Limited Liability Company”, etc.) when performing your search.
  • Leave out periods, commas, apostrophes, etc.
  • Perform your search using uppercase OR lowercase letters.

Tip: When performing the Ohio business search by name, I recommend entering only the main words of your desired Ohio LLC name.

Example: Your desired LLC name is “John Doe LLC”

  • Search for “John Doe” first.
  • Then search for “John.”

This should catch all “potentially similar” results.

2. Check Your Search Result

After performing your search, you should see a table of results under your search bar. This will be shown as long as you’ve performed your search using the steps above.

While the table will show different columns, you only need to focus on the name column. This is where you can interpret and act on your results.

How To Interpret Your State Of Ohio Business Name Search Result 

You have four possible outcomes when performing your Ohio business name search. I’ve discussed each one and how you can interpret them below.

1. The Search Results Show Names That Are Not Too Similar To Yours

Your LLC name is likely available to use if the results show names that are “not too similar to yours.”

Example: Your desired name is “John Doe LLC.”

  • The records show “John Doe Real Properties LLC.”
  • Your name may be available.

2. The Search Returns No Results

Your desired LLC name is unique and available to use if your search returns “no results.” Make sure you run the search again using only part of your LLC name to be sure.

Example: You searched “Cat And Dog Vibe”

  • The search returned no results.
  • To be safe, run a few more rounds, but only use “Cat And Dog,” “Cat,” or “Dog” to be sure.

3. Your Exact LLC Name Appears In The Search Results

Your LLC name is not available to use if your search results returned your exact LLC name in your list of business records. This is because an existing business entity is already using it.

4. A Name That Is Very Similar To Yours Appears In The Results

Your desired LLC name may not be available to use if a name very similar to yours appears in your search results.

Example: Your desired LLC name is “Mothers Helping Others”

  • You see a result showing “A Mother Helping Others.”
  • You need to change your desired LLC name to something different.

5. Do You Need To Reserve Your LLC Name?

You do NOT need to reserve your desired business name before registering it with the Ohio Secretary of State under Section 1706.07(E).

When naming your Ohio business entity, you should be aware of the rules and requirements set under Section 1706.07 of the Ohio LLC Act.

1. Use Mandatory Designators

Your desired Ohio LLC name must contain one of the following designators (endings):

  • LLC.
  • L.L.C.
  • Ltd.
  • Ltd.
  • Limited Liability Company.
  • Limited.

2. Avoid Prohibited Designators

Your desired name can NOT sound like an Ohio corporation or another business entity besides an LLC. You can NOT use the following words and designators in your name:

  • Inc.
  • Corp.
  • Incorporated.
  • Corporation.
  • Cooperative.
  • Co-op.

3. Avoid Prohibited Words

You can NOT use words and abbreviations restricted by law in your Ohio LLC name. It must NOT include:

  • A slur against an ethnic group, gender, religion, or heredity.  
  • A misleading name or a name that implies an affiliation with a government agency, if none exists.

For example, you cannot use “I.R.S.” in your name unless you’re connected to the Internal Revenue Service.

Furthermore, avoid using words restricted to licensed professionals. Examples include banks, insurance agencies, etc. You need permission first before using these.

Don’t Use These Meaningless LLC Name Changes

You can consider making small changes to your desired LLC name if it’s already taken when performing your search. However, be aware that Ohio Secretary of State will NOT accept the following methods, as they do not see them as making your name unique and distinguishable.

1. Using The Same Name As Another Type Of Entity

The state will NOT accept your name if it matches an existing entity name, even if it’s a different business type.

Example: You can not use the name “John Doe LLC” if the name “John Doe Corp” is found in the Ohio name search results.

2. Using Punctuation, Symbols, And Spaces

You can NOT create distinguishability by adding and/or removing punctuation, using symbols, or spaces. This includes changes such as commas (,), periods (.), apostrophes (’), hyphens (-), symbols (such as & or +), and differences in capitalization or spacing.

In the following examples, making these changes would still lead your formation filing to be rejected:

  • “John Doe, LLC” is NOT distinguishable from “John Doe LLC.”
  • “Hill Supermarket” is NOT distinguishable from “Hill’s Supermarket.”
  •  “P.L.A.Y., Inc.” is NOT distinguishable from “Play, Inc.”
  • “Knight and Day” is NOT distinguishable from “Knight & Day.”
  • “Barnstormers” is NOT distinguishable from “Barn-Stormers.”
  •  “Mister Coffee, LLC” is NOT distinguishable from “Mr. Coffee, Ltd.”
  • “Do Not Stop, Inc.” is NOT distinguishable from “Don’t Stop, Co.”

3. Adding Non-Meaningful Or Filler Words

Adding non-meaningful or filler words (a, an, the, and, or) won’t create distinguishability in Ohio.

Example: Your desired LLC name is “Bright Path LLC.” You can NOT use it on Ohio if the search results show the following names:

  • “The Bright Path LLC.”
  • “A Bright Path Inc.”
  • “Bright And Path Corp.”

4. Plural And Possessive Word Formations

Making a word plural or possessive by adding an “s” doesn’t create distinguishability when filing your Ohio formation documents.

Example: If your desired LLC name is “Blue Lantern LLC,” it’s still not available if you try to use “Blue Lanterns LLC.”

5. Abbreviations Vs. Complete Name Or Word

You can NOT create distinguishability by using an abbreviation instead of a complete word (this works both ways).

Example: Your desired LLC name is “California Auto Repair LLC.” It is not available to use if any of the following names appear in your search results:

  • “CA Auto Repair, L.L.C.”
  • “California Auto Repairs Inc.”
  • “CA Automobile Repair Company.”

Tip: Make sure you search for the full word and any common abbreviations when checking name availability. This ensures that your LLC name is actually unique and available to use.

Example: If you want to use “February” in your LLC name, search for your business name using “Feb” as well.

6. Using Different Tenses

Using different tenses of the same word doesn’t make your desired name unique and distinguishable.

Example: “Build Right Construction, LLC” is NOT distinguishable from “Building Right Construction, Inc.”

How To Make Your LLC Name Unique: A Detailed Guide

These are six ways you can make your desired LLC name unique to ensure that your Ohio formation documents are accepted. The correct method depends on your preference and your desired business name.

1. Numerals Or Spelled Out Numbers

You can create distinguishability by using numerals (“5” or “101”) instead of spelling out the number (“five” or “one hundred and one”). This also applies when using Roman numerals (“V” for five, and “MCMXI” for 1911).

Example: Your desired LLC name is “7 Hills LLC.” The search results return an entity named “7 Hills.” In this case, you can use one of the following names instead:

  • “Seven Hills LLC.”
  • “Seven 7 Hills LLC.”
  • “VII Hills LLC.”

2. The Addition Of Letters 

You can make your desired name distinguishable by adding letters to your name. For example:

  • “A Plumbing” is distinguishable from “AA Plumbing.”
  • “ABC” is distinguishable from “AABC,” “ABBC,” “ABCC,” “ABCD,” and “AABBCC.”

3. Changing Word Order

You can change the word order in your desired business name to make it unique and distinguishable in the state.

For example, “Energy First” is distinguishable from “First Energy.”

4. Alternative Spellings

Using alternative spellings can create distinguishability between your desired LLC name and existing state business names. This includes name variations, spellings, and misspellings (whether intentional or not).

For example, your desired Ohio LLC name is “Quick Start LLC.” However, your search results return an existing state business called “QuickStart Inc“, so your name is not available.

You can change the spelling and use one of these names instead:

  • “Quickie Mart” is distinguishable from “Kwikee Mart” or “Kwik-E-Mart.”

Note: Misspelled words do NOT conflict with the same properly spelled words. This applies whether the alteration was intentional or not. For example, the LLC name “800-OPERATOR” is distinguishable from “800-OPERATER”.

5. Different Word Forms

Your name may still be considered distinguishable if you’ve used the same base word, but with different word forms, meanings, or functions (not just a tense change).

  • “Sam’s Cleaners” is distinguishable from “Sam’s Cleaning.”
  • “Cleatus the Trucker” is distinguishable from “Cleatus’s Trucking.”

6. Foreign Language

You can also create distinguishability by using the same word or words but in a different language.

Example:

  • “The French” (La Fleur) is distinguishable from the Spanish version “La Flor” and the English version “The Flower.”
