New York’s “Search Methods Tool” requires four basic steps when performing a business name search. I found it simple enough to navigate once you understand what each box means. You’ll need to use a trial-and-error search method depending on your search results.

1. Using The Search Methods Tool

Navigate to the New York Division of Corporations: Business Entity Database.

You should follow these 4 steps to search for your desired business name:

  1. Enter your desired LLC name in the “Entity Name” box.
  2. Choose “BaseWord” in the “Search Functionality” section.
  3. Tick the “Limited Liability Company” box.
  4. Click “Search the Database.”

2. Understanding Your New York LLC Search Results

Your name search results determine the next steps to take to ensure your Certificate of Formation is accepted. You must follow the guide below carefully, using the examples as reference points to avoid potential delays. These are four possible results and what they mean:

  • Your LLC name is unique means that it’s available.
  • If “No business entities were found, your name is likely available.
  • When the exact name is shown on the screen, your name is unavailable.
  • If very similar business names are listed, your name is likely unavailable.

Note: Regarding Result 4, while you may theoretically get approval for the name, I don’t think using it is a good idea, as it could confuse your customers.

a. Result 1: Your LLC Name Is Unique (No Similar Names)

Your desired LLC name should be considered distinguishable and available if the search result shows no similar names.

Example: Your desired LLC name is “GREEN TEA.” The search results returned the similar names “GREEN KEY EXPRESS LLC” and “GREEN TABLE TEA LLC.” In this case, your LLC name should be available.

b. Result 2: No Business Entities Were Found

If the results show “No business entities were found,” the good news is that your desired LLC name is likely available. However, make sure that you check for similar matches using part of the name to be sure.

Example: Search for “GREEN TEA” instead of searching for “GREEN TEA SALON.”

c. Result 3: The Exact Name Is Shown On Screen

A New York business is already using your desired LLC name if the search results show the exact name exists. In this case, it’s unavailable, and you’ll need to choose another.

Example: Your desired LLC name is “GREEN TEA AND COFFEE.” Your results show the same name exists, so your name isn’t available to use.

d. Result 4: Very Similar Business Names Are Listed

Your LLC name is likely unavailable if your search results return a very similar name. This depends on the nature of your business compared to the one already operating. If your business name is similar to another one, but they operate in completely different industries, it should be approved.

Example: Your desired LLC name is “DESIGN STUDIOS.”

Your search shows “DESIGN STUDIO LLC,” which is similar, so you might need to choose a different name. If your desired business name, “DESIGN STUDIOS,” and the existing business, “DESIGN STUDIO LLC,” both make jewellery, the name is unavailable.

Remember: If your desired LLC business is a car design company, it should be accepted. Even though the name is approved, I won’t use a name similar to another brand. In the long run, it will confuse your customers and may damage your brand awareness.

3. What If My Desired LLC Name Isn’t Available?

You must choose a different LLC name or a suitable variation if your desired name isn’t unique. Perform the same process listed above using a different name.

Tip: Don’t apply for your EIN or buy any marketing materials before your LLC name is approved. This ensures that you don’t waste valuable time or money if your name is rejected.

You should take note of each rule, including any exceptions, if you want your desired LLC name to be accepted by the state of New York. We’ve discussed the five most important rules and how to follow them to ensure a smooth filing process.

1. Rule 1: Using The English Language Or The English Alphabet

The state of New York rules that your business name can only contain:

  • English alphabet letters (a,b,c).
  • Arabic numbers (1,3,10).
  • Roman numerals (I, IX, MMVII).
  • English keyboard symbols ($, £, “”).

If your desired LLC name is in another language, you must do one of the following:

  • Translate it into English.
  • Write it using letters of the English alphabet.

Example 1: Your desired New York LLC name is “Étoile Dorée Designs LLC.” It has to be filed as “Etoile Doree Designs LLC” in English letters.

Example 2: Your desired LLC name is “Café Crème LLC.” You need to register it as “Cafe Creme LLC,” though your branding may still contain accents.

2. Rule 2: File Your Desired LLC Name With Or Without Commas

You can file your desired LLC name in New York with or without commas. This state will accept both versions.

Example: The LLC name “Sunset Market” may be filed as:

  • Sunset Market LLC.
  • Sunset Market, LLC.

The state of New York allows several other designators (Endings) in your LLC name, including “LLC.”

3. Rule 3: Using Designators (Endings)

You must use one of the following designators at the end of your LLC name:

  • LC.
  • LLC (Most commonly used).
  • L.C.
  • L.L.C.
  • Limited Company.
  • Limited Liability Company.
  • Ltd. Liability Company.
  • Limited Liability Co.

4. Rule 4: Do Not Use Inappropriate Designators

Make sure that your New York LLC does not sound like a different New York Corporation or business entity besides an LLC.

The following words and designators CANNOT be used in your LLC name:

  • Inc.
  • Corp.
  • Incorporated.
  • Corporation.
  • Cooperative.

If you use any of these, your Certificate of Formation will be rejected by the state.

5. Rule 5: Avoid Using Restricted Words

Your LLC name cannot include abbreviations or words restricted by law.

They’re not allowed to suggest that your LLC business is a bank, government entity, or anything misleading.

Words such as “blind” and “handicapped” require approval from Social Services in New York. The word “exchange” requires approval from the Attorney General.

Words such as “school” and “academy” suggest that you’re an educational institution. These require approval from the Commissioner of Education.

Words reserved for licensed professionals, such as architects, attorneys, accountants, dentists, and engineers, cannot be used in your LLC name.

Making Sure Your New York Business Name Is Distinguishable

Compare your desired LLC name to existing state businesses using the “New York Division of Corporations Business Entity Database.”

You must choose a different business name or a suitable variation if your name is not distinguishable.

These are the main rules regarding indistinguishable LLC names. Follow these closely to ensure that your Certificate of Formation is accepted by the state.

1. Designators

You can’t create distinguishability in the state of New York by using different designators. I know this is the easiest option, but it will lead to your application being rejected.

Example: Your desired LLC name is “Bizreport LLC.”

It’s still unavailable if these names appear in your New York Business Name Search:

  • Bizreport, L.L.C.
  • Bizreport, Corp.
  • Bizreport, Inc.

2. Numerals And Spelled-Out Numbers

Using numerals (5 or 500) instead of spelling out the number (five or five hundred) doesn’t make your LLC name distinguishable.

Example: Your desired LLC name is “12 Oceans LLC.”

You must still pick another name in the following examples:

  • Twelve Oceans LLC.
  • Twelve 12 Oceans Inc.

3. Capitalization

Different capitalizations (Lowercase or uppercase letters) don’t create distinguishability. This applies to all parts of your business name, including the designator (Ending).

Example: Your desired LLC name is “Green Garden LLC.”

It’s not available when using the following examples:

  • GREEN GARDEN INC.
  • Green GARDEN Limited Liability COMPANY.
  • green garden llc.
  • Green gardeN, Inc.

4. Spaces And Hyphens

You cannot create distinguishability by adding or removing spaces and hyphens between words.

Example: Your desired LLC name is “Silver Moon Candles LLC.”

It’s not available when using the following spaces and/or hyphens:

  • Silver-Moon-Candles Inc.
  • SilverMoonCandles Incorporated.
  • Silver Moon Candle Store, L.L.C.

5. Suffixes, Derivations, And Deviations

Using suffixes, derivations, and deviations doesn’t always make your LLC name distinguishable. Whether different name variations are accepted depends on the examiner’s opinion. Therefore, you should view this rule as being implemented on a case-by-case basis.

Example: Your desired LLC name is “Empire Creations LLC.”

It may still be unavailable when the following examples exist:

  • Empire Creates Inc.
  • Empire Creatives LLC.
  • Empire Creativity Ltd. Co.

6. Verb Tenses

Different verb tenses won’t make a name distinguishable, as the focus is on the keyword. The LLC examiner has the final decision during the review process. Again, your approval may depend on the examiner you get.

Example: Your desired LLC name is “Dream Big LLC.”

It might still be unavailable when the following verb tenses are used:

  • Dreamed Big Inc.
  • Dreaming Big LLC.

7. Filler Words

Filler words won’t make your desired LLC name unique. You can’t just add different fillers to try to create distinguishability. While there are some exceptions, this is the general rule.

Example: Your desired LLC name is “Blue River LLC.”

It is still unavailable when using the following filler words:

  • A Blue River Inc.
  • The Blue River LLC.
  • Blue and River L.L.C.

8. Singular, Plural, And Possessive Words

Making a letter plural or possessive by adding the letter “s” won’t create distinguishability.

Example: Your desired LLC name is “Golden Leaf Café LLC.”

It cannot be used in the following examples:

  • Golden Leaf Cafes Inc.
  • Golden Leaf Café L.L.C.
  • Golden Leafs Café LLC.

9. Punctuation And Special Characters (Symbols)

Adding or removing punctuation marks or special characters doesn’t create distinguishability in most cases.

Example: Your desired LLC name is “Golden Path Wellness LLC.”

You must choose another name if the following names are used:

  • Golden/Path/Wellness Inc.
  • Golder Path “Wellness” LLC.
  • Golden Path! Wellness! Inc.

a. Special Characters that DO Create Distinguishability

However, these special characters (Symbols) create distinguishability according to the New York Division of Corporations:

  • Dollar sign ($).
  • At sign (@).
  • Plus sign (+).
  • Hastag sign (#).
  • Percentage sign (%).
  • Equal to sign (=).
  • Cent sign (¢).

Example: Your desired LLC name is “Bright Ideas LLC,” but the name “Bright Ideas Inc” already exists.

You could create distinguishability by using the name “Bright # Ideas LLC.” I would say that the correct usage depends on your specific business name. The more relevant the special character is, the better.

Note: You cannot replace words with symbols, as symbols are treated the same as their word equivalents.

Example: The name “Love and Peace LLC” is not distinguishable from “Love & Peace LLC.”

Do I need to reserve a name before forming an LLC in New York?

You do not need to reserve a business name before forming your LLC in New York. File your Certificate of Formation using your desired LLC name. Reserving a name is seen as an unnecessary step with an added cost.

Does New York require “LLC” in the name?

Your New York LLC name must include a suitable designator (Ending). Allowable examples include “LLC,” “Ltd. Liability Co,” and “Limited Liability Company.”

Does my New York LLC need a DBA?

You do not need a DBA when forming an LLC in New York. You should only use a DBA if you’re operating under a different business name other than your legal one.

Complete a Business License Application and pay $5 to register your Trade Name. It must be distinguishable from existing ones. However, there is no limit on the number of Trade Names that you can use.

What does “distinguishability” mean?

Distinguishability means that your business name must be different and unique from existing New York business names. It must be distinguishable in the Secretary of State’s business records.

Two New York businesses cannot have the same name. For example, “Meadowlark Landscapers LLC” cannot be used if “Meadowlark Landscapers Inc” already exists. In this case, you need to choose another name.

How do I come up with a business name?

Your business name is really important for your branding. While your New York LLC name can match your brand name, it doesn’t have to.

1. Brainstorm different names while listing your company’s features.
2. Review the list while adding different name variations.
3. Revisit your list after a short break.
4. Read all names out loud while getting help from others.
