Your LLC name must be unique and comply with the state naming rules and regulations. This should be done before filing the Articles of Organization. If you file your LLC paperwork using an unavailable business name, your filing will be rejected by the state.

In this guide, I will explain how to correctly perform a Missouri business name search. You are going to learn how to properly interpret your results, how to follow the state’s naming rules, and what to do to make your desired LLC name distinguishable.

Missouri Business Name Search Overview

The Missouri Business Entity Search tool is an online resource that enables you to search for existing state business names in the state records.

Using the Missouri LLC Name Search tool before filing your Articles of Organization ensures that you file using a unique and distinguishable business name. This helps reduce the chances of rejection to save you valuable time and money when forming your business.

To begin your search, navigate to the Missouri Business Entity Search website. Then, enter your desired LLC name in the provided search field.

Select “Any Words” in the “Includes names” dropdown box. Then, click “Search” to look up existing businesses.

Tips:

  • Make sure you leave out “LLC”, “L.L.C.”, or “Limited Liability Company” when performing your searches.
  • Don’t use commas, periods, apostrophes, etc.
  • Search using uppercase or lowercase letters.

How To Interpret Your Missouri LLC Name Search Results

Once you’ve completed your business name search in Missouri, make sure you carefully review your results. This helps you determine whether your desired business name is available to use or already registered in the state.

1. No Business Names Overlap With Your Desired Name

If the system shows “No records to display,” your desired LLC name is likely unique and available to use.

I recommend running another search just to be sure. Search for part of your desired LLC name to check for similar and potentially conflicting search results. I’ve given an example of how to do this below.

Example: Your desired LLC name is “John Doe LLC.”

  • First, search for “John Doe.”
  • Then, search for “John” or “Doe.”

This confirms that no existing business names are too similar to your desired LLC name.

2. Names “Not Too Similar” To Your Desired Name Appear

If the system shows state business names that differ enough to potentially make your desired name unique and distinguishable, your desired LLC name is likely available to use.

Example: Your desired business name is “Anna Frank Bakery LLC.”

  • Your search results show the name “Anna’s Bakery LLC.”
  • Your desired LLC name MAY be available to use.

3. Your Exact Desired Name Appears

If the exact business name appears in your search results, your desired LLC name is not available to use because an existing state business is already using it.

Example: Your desired LLC name is “Anna’s Bakery LLC” and the search results show the name “Anna’s Bakery LLC”. In this case, your LLC is definitely NOT available to register in the state.

4. Really Similar Names To Your Desired Name Appear

If your Missouri search results show a business name that is very similar to your desired one, it may NOT be considered distinguishable and unique. Therefore, your desired name may be unavailable.

Example: Your desired business name is “Anna Bakery LLC.” Your search results show the name “Anna’s Bakery LLC.”

Your desired name may NOT be available for registration. If it is, you may need to check with the state to confirm.

Do I Need To Reserve My Desired LLC’s Business Name?

You’re NOT required to reserve your desired business name before filing your Articles of Organization with the Missouri Secretary of State (SOS) under Missouri Revised Statutes (RSMo) §347.025. However, if you need additional time to prepare your formation documents or want to stop other state businesses from using your name, I recommend making a reservation.

Once filed, your name reservation request is valid for 60 days. You can extend it up to a maximum of 180 days. After this, your desired LLC name will be released and can NOT be reserved again.

Your name reservation costs $25 and can be done using two main methods:

  1. File an online Missouri name reservation via the Business Registration Online Portal.
  2. Complete Form BE-1 and mail it to the Missouri SOS.

Your desired Missouri LLC name must be unique and distinguishable from existing state business names and fictitious names under RSMo § 347.020.(3). These are the ones already recorded on the state’s official database.

In addition, there are other naming requirements that you will need to uphold. I’ve discussed the key naming requirements in the following sections to help you complete your LLC formation process correctly.

1. Required Designators

Your desired Missouri LLC name must contain one of these designators (endings):

  • LLC.
  • L.L.C.
  • LC
  • L.C.
  • Limited Liability Company.
  • Limited Company.

Note: Most businesses tend to use “LLC” at the end of their business name. It’s the most recognizable designator.

2. Prohibited Designators

Your desired LLC name can NOT imply that it is a different type of business entity or corporation by using one of the following words:

  • Inc.
  • Ltd.
  • Corp.
  • Incorporated.
  • Corporation.
  • Limited Partnership.

3. Prohibited Words

Your Missouri business name must NOT include legally restricted words or abbreviations that may mislead the public. Examples include suggesting that it’s a government entity, bank, or regulated agency.

Furthermore, it can NOT use terms reserved for licensed professionals. Examples include architects, accountants, attorneys, dentists, or engineers.

4. Adopted Names for Foreign LLCs

Foreign LLCs can use a used/reserved Missouri business name if they fulfill certain requirements. These are set according to the state’s official guide. They can:

  • Use an assumed name in Missouri.
  • List the assumed name on applications to transact business in the state.

An assumed name is treated as the foreign LLC’s name in Missouri and therefore does not need to be separately registered as a fictitious name, provided that the foreign LLC’s legal name and assumed name are used together on documents filed with the Missouri SOS.

How To Make Your Missouri LLC Name Distinguishable

Warning: My recommendations are general guidelines and not official mandatory rules.

The Missouri SOS does NOT give official rules regarding name distinguishability. Therefore, I recommend that you contact the corporations unit to confirm name availability after using the Missouri business search tool.

1. Don’t Use Other Types Of Designators

You can NOT create distinguishability by using different business name designators (endings).

Example: Your desired business name is “Blue River Studios LLC.” You can NOT use it if any of the following names are shown in your search results:

  • “Blue River Studios, Inc.”
  • “Blue River Studios Corp.”
  • “Blue River Studios, L.L.C.”

While the name endings are different, the core wording remains the same. In this case, select a new, meaningful name. This should preferably be one resembling your original name choice.

Note: These are some better examples that will be accepted by the state:

  • “Blue River Creative Studios LLC.”
  • “Blue River Media House LLC.”
  • “Blue River Digital Studio LLC.”

2. Don’t Add Filler Words

You can NOT create distinguishability by using non-meaningful or filler words in your desired business name. Examples include “the,” “a,” “an,” “and,” “&,” “of,” “or” “or.”

Example: Your desired LLC name is “Sunset Valley Produce LLC.” It is NOT available if any of the following business names already exist:

  • “The Sunset Valley Produce LLC.”
  • “A Sunset Valley Produce Inc.”
  • “Sunset Valley and Produce L.L.C.”
  • “Sunset Valley of Produce Corp.”

Note: These are some better examples that you could use:

  • “Sunset Valley Produce Visual Studio LLC.”
  • “Sunset Valley Produce Design House LLC.”
  • “Sunset Valley Produce Content Studio LLC.”

3. Plural Or Singular Words And Possessive Words

Making a word possessive or plural will NOT create distinguishability. Examples include adding an “S.”

Example: Your desired name is “Meadowlark’s Designs LLC.” You can NOT use it if the following state business names already exist:

  • “Meadowlark Designs LLC.”
  • “Meadowlark’s Design Inc.”
  • “Meadowlarks Design, L.L.C.”

Note: These are some better names that won’t be rejected when filing your formation documents:

  • “Meadowlark Creative Designs LLC.”
  • “Meadowlark Design Studio LLC.”
  • “Meadowlark Design Works LLC.”
