How Much Does An LLC Cost In Utah?

1. Choosing A Compliant LLC Name ($0)

Choosing a name for your Utah LLC is a great place to start. Best of all, it’s free because you don’t have to reserve it before filing your official paperwork.

To make sure your application goes through smoothly, just check that your name:

  • Stands out from other businesses already registered in Utah.
  • Ends with a tag like “LLC” or “Limited Liability Company.”
  • Doesn’t use any confusing or banned words.

It’s a good idea to use the Utah Name Availability Search tool first to make sure your choice is available and ready to go.

I also wrote a guide on the Utah Business Name Search page.

2. Appointing A Utah Registered Agent ($0 – $199 Annually)

You have to choose a Utah Registered Agent. This is a person or company whose job is to accept all the important official mail and legal papers for your LLC. Utah law (Utah Code Ann. § 48-3a-111) makes this a mandatory requirement to keep your business legally sound.

You’ve got a few options for your Utah Registered Agent:

  • The LLC owner (if eligible).
  • A trusted Utah resident.
  • A professional service (which is what most people choose).

So if you want to be your own agent, it’s totally free, but there are some things to keep in mind. Basically, you’ll need a physical Utah address, no P.O. boxes allowed, and someone actually has to be there during business hours to sign for mail. Also, your name and address will be part of the public record. If you miss an important document, you could end up with fines or even lose your LLC’s good standing status, which would be a total bummer.

Because of that, many LLC owners choose professional Registered Agent services to enhance reliability and reduce compliance risks. These services typically cost $150 to $199 per year and vary by provider and features. I recommend comparing providers to ensure the best privacy and value.

For more details, see my guide to the Best Registered Agent Services In Utah.

3. Filing Your Utah Certificate Of Organization ($59)

The Utah Certificate of Organization legally establishes your LLC. Your business cannot operate under Utah Code Ann. § 48-3a-20 until this filing is accepted.

Your LLC officially forms when the Utah Division of Corporations reviews and approves your Certificate of Organization. The Utah Division of Corporations and Commercial Code is responsible for doing this and making sure the document complies with state regulations.

When submitting this document, you’ll need to pay a one-time filing fee of $59. This fee applies to all domestic Utah LLCs, regardless of whether you file online or by mail.

Filing online through the Utah Division of Corporations Business Registration System is the fastest option. In most situations, online submissions are often approved the same day.

If you choose to file by mail, you can download the official Certificate of Organization form. All you need to do is complete it and send it to the right state office. Mail filings generally take three to four business days to process, not including mailing time.

Utah also provides an expedited processing option for those who need faster approval. For an additional $75 fee, processing time is reduced to one to two business days. In total, the filing cost will now increase to $134.

For a step-by-step explanation, you can refer to my guide on How To File The Certificate Of Organization For Utah LLCs.

4. Completing Your LLC Operating Agreement ($0)

Think of an Operating Agreement as your company’s rule book. It clarifies ownership and establishes how the business operates.

While not required for state filing, having one is essential for transparency and preventing conflict. Furthermore, this document also defines your LLC’s management structure. In a “Member-managed” setup, every member participates in the business, whereas “Manager-managed” means you appoint managers to handle operations. For more guidance, check out: Member-Managed LLC Vs. Manager-Managed LLC.

You can also find more details in my Utah LLC Operating Agreement blog. If you use an LLC service to make this document for you, you may be charged a fee, but you can totally do it for free using my free templates here:

5. Obtaining Your Utah Employer Identification Number ($0)

Think of an EIN as a Social Security Number (SSN) but for your business. Your business needs this number to complete several important operating tasks.

Without this number, your business can’t have its own space at the bank, it can’t hire helpers to work with you, and it can’t tell the government it’s doing a good job with its money. It helps everyone know your business is real and following the rules!

Good news: applying for an EIN is free!

You should wait to apply for an EIN until after the State of Utah has formally approved your LLC. After the IRS accepts your application, they send you an EIN Confirmation Letter (Form CP 575) as proof of issuance.

To know more about getting an EIN for your LLC, read my article: How To Get An EIN For Your Utah LLC.

I also have the following guides for each method of registering:

6. Obtaining The Business Licenses And Permits (Varies)

Utah doesn’t actually have a general state business license requirement, so you won’t have to worry about a standard licensing fee.

But you might still need specific permits depending on exactly where you are and what your business does.

It is a good idea to contact your local offices to get the most accurate pricing. If you need more information, take a look at my blog post about Utah Business License Requirements And Additional Permits.

7. Sales And Use Tax License ($0)

Selling taxable products to consumers in Utah requires a Sales Tax License under the Utah Code § 59-12-106(2)(a).

Utah Code § 59-12-106(2)(a)

That extra bit is called “sales tax,” and you have to give it to the state boss. Well, before you can start selling, you need a special “permission slip,” which is the Utah Sales and Use Tax License.

Good news: getting this slip is totally free – no money needed! You just fill out a quick form online. Once you have it, you just have to remember to count that extra money and send it where it needs to go.

The best part is that the license stays active on its own as long as you keep filing and paying your tax returns, so you don’t have to worry about any renewal fees.

You can get more details about your tax filing duties on the Sales And Use Tax page.

Need step-by-step instructions for the process? Just check out my guide on How To Obtain A Utah Sales And Use Tax License.

8. Utah LLC Annual Report Fee ($18 Per Year)

You need to file an Annual Report (also called an Annual Renewal) for your Utah LLC every year to keep it active, per Utah Code Ann. § 48-3a-212.

Utah Code Ann. § 48-3a-212(3)

To keep your LLC active in Utah, you just need to pay an $18 annual report fee every year. It’s pretty straightforward to handle.

You’ve got two ways to file: the online method is super quick through the Utah Division of Corporations (just heads up, you’ll need a Utah ID), or you can go the old-school route and mail your form and payment to P.O. Box 146705 in Salt Lake City.

For a step-by-step explanation of the filing process, read my detailed guide on the Utah Annual Report.

9. Managing Your Utah LLC Tax Responsibilities (Varies)

At baseline, each Utah LLC is taxed by the IRS according to the number of members in the business. Single-Member LLCs can expect to be taxed like a Sole Proprietorship. On the other hand, Multi-Member LLCs are taxed like a Partnership.

If you want a different tax treatment, you can submit a separate form with the IRS to ask for an elective tax status. This lets your LLC elect S Corporation or C Corporation tax status for federal and state taxes.

You’ll also need to consider other state taxes and maybe local taxes if your location requires any. Contact Utah State Tax Commission for more info. But if I were you, I’d honestly just hire an accountant here to handle the paperwork. Most of them charge between $400 and $900 a year for a small business, and it’s a lifesaver to know you aren’t missing anything.
