After selecting your LLC name, you need to appoint an Ohio Registered Agent. Every LLC operating in Ohio is required to designate and maintain one under O.R.C. § 1706.09(A). The agent’s role is to receive official state correspondence, legal notices, and service of process.

You can choose from two main Registered Agent options, each affecting the overall Ohio LLC cost differently:
- An individual: You, a trusted friend, or a family member who lives in Ohio.
- A business entity: A professional Registered Agent service with a physical address in Ohio.
If you nominate yourself or another individual, you won’t pay an annual fee. Even though this option is more budget-friendly, it can come with several drawbacks:

- Your agent needs to remain available during standard business hours. Using an individual increases the risk of missing important legal documents, which can result in penalties or administrative problems.

3. Submitting Your Ohio Articles Of Organization ($99)

To officially form an LLC in Ohio, you need to file your Articles of Organization with the Ohio Secretary of State. Plus, you’ll be required to pay a one-time $99 filing fee, making this one of the main startup costs.
The state doesn’t legally recognize your business as an LLC until the Secretary of State approves this filing under Ohio Revised Code (O.R.C.) § 1706.16.

5. Obtaining Your Ohio EIN ($0)
When operating an Ohio LLC, you need to secure an EIN from the Internal Revenue Service (IRS). You’ll use your EIN for core business activities like onboarding employees, opening a business bank account, and filing taxes.

6. Obtaining Necessary Business Licenses And Permits (Varies)
Note: Ohio doesn’t issue a statewide general business license. As a result, your LLC’s licensing obligations depend on both your business location and industry.
For this reason, the cost of professional and municipal licenses varies widely. Fees typically range from $50 to over $1,000.
Generally, most licenses also require periodic renewal, with renewal fees commonly ranging from $25 to several hundred dollars.
I suggest checking your specific licensing requirements and associated LLC costs in Ohio with your local city or county clerk. Additionally, you can verify with the appropriate state regulatory agency.
Some Ohio LLCs don’t need any licenses or permits at all, which brings their total licensing cost to $0.

7. Sales Tax License ($50 Per Location)
If your LLC needs to collect and remit Sales Tax, you have to get a Sales Tax License from the Ohio Department of Taxation. This is required under O.R.C. § 5739.17(A).

Ohio offers several types of Sales Tax Licenses, but the most common is the Vendor’s License for in-state businesses.
This license costs a one-time fee of $50 per location and doesn’t require a renewal fee to keep it active. To remain compliant, all you need to do is file and pay your sales tax returns accurately and on time.
When you register online, you’ll also create an OHID (Ohio ID) through the Ohio Business Gateway. This login allows you to access Ohio Tax e-Services for other tax filings and transactions.

8. Register And Pay The Ohio CAT ($0)
The CAT is imposed for the privilege of doing business in Ohio. Any business that goes over the taxable gross receipts limit is required to register for CAT and submit returns. This applies regardless of its industry or business structure, in accordance with O.R.C. § 5751.02.
Starting in the 2025 tax year, an LLC is only subject to CAT if its annual taxable gross revenues are more than $6 million.
Registration through the Ohio Business Gateway is free. That said, once registered, you need to continue filing and paying any required tax by the applicable deadlines. 9. Handling Your Ohio LLC Tax Obligations (Cost Varies)
After registering with the Ohio Department of Taxation, your LLC needs to stay current with ongoing tax requirements. Your specific obligations depend on your business activities and location.

Your Ohio LLC may be responsible for one or more federal taxes based on how the business is structured and operated. Common federal tax responsibilities include:

- Federal excise taxes: Applicable to certain services, products, or regulated industries.
- Self-employment tax: Applies to LLC members who actively work or run the business and is calculated according to their share of profits.
b. State-Level Taxes
In addition to sales tax, Ohio LLCs may need to collect and remit several state taxes, including:
- Personal income tax: At baseline, LLC income passes through to members and is taxed on their Ohio personal returns at progressive rates ranging from 0% to 3.5%. That said, there is potential for reductions through the Business Income Deduction.
