Start your LLC for $0 plus state fee.

To get your Limited Liability Company (LLC) officially on the books in Massachusetts, you’ll need to send a Certificate of Organization to the Secretary of the Commonwealth. The cost to register an LLC in Massachusetts is either $500 or $520, and the amount you land on comes down entirely to how you choose to submit your application.

The part people tend to forget is that forming the company is only the start, and there are ongoing costs to keeping your company alive and well. A regular Annual Report needs to be filed to maintain your legal standing. Plus, if you’d rather hand your official paperwork off to a professional Registered Agent service, that’ll nudge your maintenance costs up a little further.

Are you interested in getting the full walkthrough on getting started? I’ve got a detailed step-by-step over here: How To Start A Massachusetts LLC.

Below, I’ll lay out every initial and ongoing Massachusetts LLC cost so you can budget without second-guessing yourself. But before we get into it, give the table a quick scan to see all the possible line items you might run into while setting things up.

Breaking Down LLC Costs In Massachusetts

Note: If you’d rather not handle the steps below yourself, an LLC formation service can take them off your hands. This is assuming you don’t mind parting with a little extra cash.

My top picks have been compiled here: Best LLC Services.

1. Picking A Name For Your LLC ($0)

Choosing a name for your LLC won’t cost you a thing. You’re not required to reserve your preferred name in advance to get your company started.

What you do need to do is make sure your pick plays by the state’s naming rules under M.G.L. Chapter 156C, §3.

M.G.L. Chapter 156C, §3

Your chosen name should also be up for grabs. Run your choice through the free Massachusetts Business Search tool, and you’ll see right away if someone else already picked it out.

I walk through how the tool works, plus the naming rules, in this piece: Massachusetts Business Name Search.

2. Your Registered Agent Options In Massachusetts ($0 or $199 Yearly)

To form your LLC, you’re required to name a Resident Agent, also called a Registered Agent, under M.G.L. Chapter 156C, §5.

This is just the person or company on the hook for receiving legal documents and official state notices on your LLC’s behalf. To pull that off, your agent needs a physical street address in the state and has to be around during normal business hours.

It won’t cost you anything extra if you choose to act as your own Registered Agent. The same goes if you have someone you know handle it for the LLC, such as a business partner, a friend, or a family member.

Here’s why I’d steer you away from that, though. Your agent’s personal information, their name and address specifically, gets posted right there on public record. Anybody can pull it up, which throws the door wide open to people you’d rather not hear from. On top of that, going the do-it-yourself route bumps up the odds you’ll miss a crucial notice. This is how businesses wander into compliance trouble and the steep penalties that ride along with it.

A professional Registered Agent wipes all that off the table. You’re looking at a yearly fee somewhere between $50 and $199, and every dollar is worth it. Your privacy stays protected, and you get to sleep easy knowing someone’s always standing by to catch and forward your important state notices.

If you’re not sure which Registered Agent to go with, here are my recommendations on the Best Massachusetts Registered Agent Services.

The filing cost of an LLC in Massachusetts is a one-off. There are no monthly charges or recurring annual fees to get your Massachusetts company up and running.

If you go digital, the state needs roughly 1 to 2 business days to sort out and approve your paperwork. The mail route runs on that very same internal timeline, but now you’ve got to layer in transit time for the postal service. This means you’re probably looking at about a week to get everything back in hand.

Do you want to file it yourself? My instructions for this process are right here: How To File Massachusetts Certificate Of Organization For LLCs.

4. Your Business Operating Agreement ($0)

An Operating Agreement for your LLC is a contract that’s put in writing between the company’s owners. It spells out exactly who owns what slice of the LLC, how the day-to-day gets handled, and how profits get carved up.

State law under M.G.L. Chapter 156C, §2(9) doesn’t twist your arm to make one, but you should produce one anyway. Think of it as protection against any partner misunderstandings that can crop up along the way. And if your business ever winds up in front of a judge, having this document on hand proves you’re running a legitimate operation, not just a weekend hobby.

You don’t submit this document to the state. It’s an “internal document.” You just keep it tucked safely alongside your main business records and slip a copy to every member.

Locking down a solid agreement shouldn’t empty your wallet. Grab my free templates below, which are set up for both single-member and multi-member operations.

From there, tailoring the terms to your specific business is a breeze with my step-by-step instructions: Massachusetts LLC Operating Agreement.

5. Getting Your Employer Identification Number/ EIN ($0)

An EIN goes by a few names: Employer Identification Number (EIN) or Federal Employer Identification Number (FEIN).

Whatever you call it, the federal government uses this number to keep tabs on your company for income taxes, and you’ll need it to set up an LLC bank account. If you’re planning to hire employees somewhere down the line, then it’s non-negotiable.

You can snag an EIN for your LLC straight from the Internal Revenue Service (IRS), and it’ll cost you absolutely nothing. There are two main ways to file, and the right one for you depends on your U.S. residency status.

Check out my guide on How To Get An EIN For Your Massachusetts LLC.

Note: There’s one catch. You have to get your EIN AFTER your Certificate of Organization is approved, not before.

6. Licenses & Permits Fees In Massachusetts (Varies)

Odds are your LLC will need to line up some extra business licenses or permits to operate legally in Massachusetts. What exactly you need depends on your industry and the specific spots where you do business. You’ll be dealing with a mix of regulators too, since some permits come down from state agencies while others get handled locally by individual towns, cities, or counties.

Since every jurisdiction sets its own fee schedule, pinning down an exact cost just isn’t doable. That means reaching out to your local government offices directly to confirm which rules apply to your company.

One more thing: don’t pencil this in as a one-and-done expense. Plenty of these licenses need regular renewals to stay valid, so those recurring fees belong in your long-term budget.

To minimize confusion on who to call, I rounded up all the contact links and state resources in this article: Massachusetts Business Licenses.

7. Sales And Use Tax Registration Certificate ($0)

If you count as “a vendor” in the state, you’ve got to collect Sales Tax and file a Sales and Use Tax Return. This kicks in the moment you start selling physical products to customers located in Massachusetts.

Before any of those sales can happen legally, registration with the Commissioner of the Massachusetts Department of Revenue (DOR) under M.G.L. Chapter 64H, §7 is required. Skip it, and the state will shut down your retail business.

M.G.L. Chapter 64h, §7
M.G.L. Chapter 64h, §7. Photo: Erik Pham

The certificate itself, happily, won’t cost you anything.

Right now, the state only takes online applications, which you’ll complete through the MassTaxConnect system. Once your physical Sales Tax Certificate is issued, it needs to be hung up where people can see it at each of your locations. You’ll also collect a 6.25% tax on every qualifying transaction and send those returns straight to the DOR.

Here’s my full guide: How To Get Massachusetts Sales And Use Tax Registration Certificate.

8. The Annual Report Fee ($520 Or $500 Yearly)

Massachusetts wants your LLC’s information kept current, and the way you do that is by filing an Annual Report under M.G.L. Chapter 156C, §12(c)-(d). This filing is what keeps your LLC in good standing and compliant with state law so it can keep operating.

M.G.L. Chapter 156C, §12(c)-(d)
M.G.L. Chapter 156C, §12(c)-(d). Photo: Erik Pham

How you file decides what you pay. Submit online, and it’s $520. Do you prefer mailing it in? That shaves things down to $500.

The deadline lands on or before the anniversary of your Certificate of Organization filing. Say your LLC was created on May 15, 2026. Your first Annual Report would then be due May 15, 2027, and that same date comes back around every year you stay active.

If you need a hand getting it done, my full breakdown is here: How To File Your Massachusetts LLC Annual Report.

9. Fees For LLC Taxes (Varies)

Owners need to juggle a whole spread of Massachusetts LLC taxes, ranging from federal to state and local.

What you’ll owe rides on your industry and how much you’re pulling in, so there’s no clean estimate I can hand you here. Every business runs its own way. Your particular situation is what decides exactly which taxes apply to your LLC.

I recommend bringing an accountant on board to untangle it all. That move keeps you fully compliant and steers you clear of needless fines. Sure, you’ll pay a modest fee for the professional help, but that upfront cost is a bargain next to the hefty penalties you’re risking by going it alone.

Frequently Asked Questions

How long does it take to get an LLC approved in MA?

Using the digital system, the state takes roughly one to two business days to go over and process your formation documents. If you choose postal mail, things slow down a touch, which puts your total wait closer to a week once you factor in standard mailing times.

Do I have to renew my LLC every year in Massachusetts?

Yes, an Annual Report is due every year, on or before the calendar anniversary of your original formation date, to keep you active and fully compliant. Online submissions cost $520, while a paper mail filing brings it down to $500.

How much does it cost to open an LLC in Massachusetts?

You’ll pay either $500 or $520 to get a Massachusetts LLC off the ground, and the exact figure depends entirely on how you file. That’s a one-time fee for the LLC Certificate of Organization. Some companies also need to secure a business license, which hinges on your industry and location, so the cost of any local permits varies.

How much does an LLC cost in Massachusetts per year?

Every Massachusetts LLC owes $520 or $500 a year for the Annual Report. These mandatory state fees go to the Secretary of State, and paying them is what keeps your company in good standing.

If you hire a Registered Agent service, you’ll also have an annual subscription to pay, which usually sits somewhere around $150 to $249 annually.

Finally, your location and industry decide whether you need a business license at all. Because of this, you should check directly with your local municipality to find out if your specific permit carries any annual renewal fees.
