How Much Does It Cost To Start An LLC In Maryland?

Before you can get things off the ground, confirm that your desired business name is good to go. It needs to be unique and distinguishable to be deemed available. Furthermore, it has to follow the state naming rules.

2. LLC Registered Agent ($0–$200)
Note: The term “Registered Agent” may be referred to as “Resident Agent” in Maryland. I’ve used the familiar Registered Agent term to keep things simple throughout my article.
Every Maryland LLC must appoint and continuously maintain a Registered Agent according to the Maryland Corporations Code §4A–210. This is mandatory. It should be sorted once your desired name has been decided.
The primary role of your appointed agent is to receive and correctly process important state regulatory docs and legal filings on behalf of your business.
Make sure that they’re available during normal operating hours. They’ll also need to have a physical address in the state. With this in place, they’re good to go.

Your Registered Agent cost depends on your choice. Act as your own agent or use a friend/family member, and it’s completely free. However, I don’t advise this at all.
Most LLC owners go with a professional Registered Agent service, and you’re looking at around $50 to $200 per year.
Here’s why this is worth it. While it may seem like an easy way to save some cash by appointing yourself, the risks often outweigh the savings. First, your personal address stays off the public record. You also ensure that any important legal notices are reliably handled and forwarded to you on time.

3. Articles Of Organization Formation ($100 – $525)

Now that you’ve completed your initial requirements, it’s time for your business to get started.
You’ve got to file your Articles of Organization with the state if you want to form a Maryland LLC. It’s a strict requirement under the Maryland Corporations Code §4A–202. You can’t skip it. The state charges a $100 filing fee to handle your paperwork. If you go with their standard processing option, it typically takes around 8 weeks to get everything finalized.

In a hurry? The state offers two main expedited service options. This increases your LLC costs in Maryland, but it might be worth it.

4. Draft Operating Agreement ($0)
With your business formed, it’s time to establish some of your internal structures. This is where the Operating Agreement (OA) comes into play.
Your LLC needs an OA even though Maryland law doesn’t force you to make one. It’s an internal contract. It binds the LLC members together and sets up the rules for how your company should run day-to-day.
You want this document. Having these internal rules locks down your structure, keeps everyone on the same page so you avoid nasty fights later, and proves to outsiders that your business is a legitimate, organized entity.

5. LLC EIN Number Fee ($0)
Next up, your Employer Identification Number (EIN). This handy 9-digit federal ID is given out by the Internal Revenue Service (IRS). Think of it as a Social Security Number (SSN) but for your business.
You’ll need one to hire employees, open a dedicated business bank account, and file some of your taxes. Basically, you’ll need to get one to run your LLC properly.
The good news is that getting your EIN is free.
There’s one caveat. You need to obtain it after your Articles of Organization are approved.

You’ve got two main ways to apply. Your best option depends on whether you have a U.S. Social Security Number or an Individual Taxpayer Identification Number (ITIN).
a. Apply Online (For U.S. Citizens And Residents)
b. Filing Form SS-4 By Mail Or Fax (For Non-U.S. Residents)
6. Business Licenses & Permits (Varies)
It’s important to note that there’s no general business license in Maryland.
Even so, you may need to obtain several business licenses and permits before you can start legally operating. These depend on your location and chosen business activities.
When put into practice, some LLCs may need health permits, local permits, professional licenses, or even zoning approval before being able to begin.
Your fees and renewal costs vary. Because of this, I highly recommend checking with your city, county, or licensing board to avoid frustrating fines and business delays.

7. Obtain Maryland Sales Tax License ($0)
Under the Maryland Statutes §11–702, you’ll need to get a Sales and Use Tax License from the Comptroller if you sell tangible personal property in the state. It’s also called a Seller’s Permit.
This is required regardless of whether you sell stuff online or in a physical location.

Getting the Maryland Sales and Use Tax License is free. And you have three main methods to choose from.

8. File Your Annual Report & Business Personal Property Return ($300+)
Once you start operating, you must file an Annual Report according to the Maryland Tax-Property Code § 11-101. This is one of your main recurring Maryland LLC costs.

Last but not least, fulfil your ongoing tax obligations. These depend on your chosen operating industry and business activities.
Unfortunately, I can’t give you a concrete cost estimate. Every business is different, so your specific circumstances determine your tax obligations. There are also state and local income taxes that you likely have to worry about.
So, I highly suggest working with a professional accountant for this step. They’ll help streamline your tax obligations and keep everything in order.
