When forming your Maine Limited Liability Company (LLC), you must pay $175 to file your Certificate of Formation documents with the Maine Secretary of State (SOS).

Once your business has been approved, you need to pay an $85 filing fee to complete your Annual Report. Furthermore, you may have several additional outgoings, depending on your operating location and the type of business you’re involved in.

How Much Does An LLC Cost in Maine?

1. Choose Your Desired Business Name ($0)

You don’t need to pay anything to choose your desired name, nor do you need to reserve your business name. Some states require this, but Maine does not.

Just make sure that your desired business name is available to use and follows state rules under the Maine LLC Act §1508(2). If you use a name that’s unavailable or restricted, your filing will be rejected, and you’ll lose your filing fee, meaning you will have to pay to start all over again.

So before filing your Certificate of Formation to form your LLC, use the Corporate Name Search tool to search and compare your desired name against other business names on file.

2. Appoint A Registered Agent ($0 – $199 Per Year)

As part of your normal daily operations, you’ll need to receive and correctly process important state documents, legal filings, and service of process. This is where your Registered Agent comes in. Under the Maine LLC Act §1661, every LLC operating in the state must appoint and maintain an official agent.

You can do this totally free if you appoint yourself, a trusted friend, or a family member. However, is saving money worth the increased privacy risk? With your agent’s details (full name and address) going on the Maine public records, I don’t recommend it.

You should hire a professional Registered Agent service for $150 to $199 per year. You can list their address instead of yours, which keeps your personal details protected and allows you to still comply with state law.

3. File Your Certificate Of Formation Documents ($175)

Filing your Certificate of Formation with the Maine SOS is what officially forms your LLC under the Maine LLC Act §1531. Think of this as the foundational LLC filing that brings your LLC into existence.

Important: Unlike most U.S. states, you don’t have the luxury of an online filing system in Maine. You must file your formation documents by mail and pay a $175 one-time filing fee.

4. Complete Your LLC’s Operating Agreement ($0)

Now that your business is officially formed, you need to set up your internal operating procedures, including how your LLC will be structured and run. To do this, you can use an Operating Agreement.

Even though you don’t need to file this document with the SOS under the Maine LLC Act §1521, I strongly suggest maintaining a detailed written agreement to give yourself the best chance of operating efficiently.

Without this in place, your LLC is governed by the state’s default operating laws. Definitely not something you want to happen for everything to align with your business needs.

Some banks also require proof of your agreement to open your business bank account. It can also be very helpful in the unfortunate case that you end up in court, meaning that the benefits of having an agreement extend beyond just internal business procedures and rules.

Clearly defining your management structure ensures your business operations can be governed effectively. You can choose between two main options:

  • In a member-managed LLC, all members are involved in daily operations and business decisions.
  • In a manager-managed LLC, members appoint one or more managers to handle daily operations and key business decisions, while other members become passive investors.

5. Acquire Your EIN ($0)

A Maine EIN is a unique 9-digit federal identification number given to you by the IRS. Think of it as a Social Security Number (SSN), but for your business. It’s used to identify your LLC for tax purposes and allows you to open a dedicated business bank account, hire employees, and obtain your required business licenses. You can’t function properly without it.

Choose your application method based on your U.S. residency status. I’ve discussed both methods in the sections below and linked some useful guides.

6. Obtain Any Applicable Business Licenses (Varies)

Now that you have your EIN in place, it’s time to secure your necessary business licenses. One of the great things about operating your business in Maine is that it has NO general statewide business license requirement. Therefore, you don’t need to pay anything.

However, this doesn’t mean that you can simply begin operating. You may need several additional licenses and permits, depending on your operating location and activities.

The tricky part tends to be working out your licensing costs. Every business is unique, which means that I can’t give you an exact figure. Contact your relevant local and state licensing agencies to confirm your costs, including registration AND your renewal fees.

For some of you, your licensing cost could be completely free ($0)! This may be the case if you conduct business in a certain location and your activities don’t require a license.

7. Register For Your Sales Tax Account ($0)

The good news is that this step costs nothing. If you’re required to obtain a Sales Tax account from the Department of Administrative and Financial Services, you only need to give up your time. This is required if you’re subject to Sales Tax and must register, collect, and remit it under Maine Statutes §1754-B.

8. Complete Your Annual Report Filing ($85 Per Year)

Your Annual Report provides the state with an update on your business information. It’s their way of keeping tabs on all businesses, so it isn’t something that you should take lightly. Under the Maine LLC Act §1665, you must file your Annual Report with the Maine SOS to keep active and in good standing.

The $85 filing fee needs to be paid across the full lifecycle of your LLC. You can file from January 1 to June 1, giving you plenty of time to get things in order.

Don’t worry if you’ve just finished your formation requirements. Your first report and payment are due the year after your LLC was formed.

Let’s pretend that you formed your LLC on March 20 2026. In this example, your first report is due by June 1 2027, but you can start filing it early from January 1 2027.

9. Pay Any Necessary Taxes (Varies)

Note: If you’re feeling overwhelmed by your taxes, I highly suggest working alongside a professional accountant when completing your returns. They’ll ensure everything is completed correctly while you focus on other parts of your business.

I can’t give you a concrete figure on how much you’ll need to pay your accountant. However, most charge around $300 per year for a simple return, up to $900 for complex filings.

With so many different tax types in Maine, it’s impossible for me to give you an exact estimate of your annual costs. Instead, I’ve listed some of the potential taxes that you may need to pay as an LLC owner:

  • State income tax.
  • Local income tax.
  • Federal taxes.
  • Sales Tax.
  • Business taxes.
  • Self-employment taxes.
  • Payroll tax (if you have employees).
  • Property tax (if the LLC owns property).

Every business is different. Your tax requirements depend on your chosen industry and operating location, meaning that it’s best to check with the Maine Revenue Services for more information about your tax requirements.
