1. Choosing Your Desired LLC Name ($0)

Note: Choosing your LLC name is free ($0).

Under the Louisiana Revised Statutes (RS) §12:1306, your desired LLC name must be unique and distinguishable from existing businesses on file with the Louisiana SOS. Your filing will be rejected if you attempt to use a name already being used by another business operating in the state.

The state provides a FREE tool called the Louisiana Business Filings Search. This allows you to view all business names registered with the state. You can compare your desired LLC name to determine if it’s available to use.

Alongside this, you can carry out a preliminary check directly with the Louisiana SOS:

  • By phone: 225.925.4704.
  • By fax: 225.932.5314.
  • By mail: P.O. Box 94125, Baton Rouge, LA 70804.

Important: Performing a preliminary check does NOT guarantee that your name will be available at the time that you decide to file your LLC formation documents.

Once you’ve performed your name check, you need to make sure it follows the state’s naming rules and regulations.

2. Reserving Your LLC Name (Optional $25)

You’re NOT required to reserve your LLC name when forming your business in Louisiana under Louisiana RS §12:1307.

However, you must file your Articles of Organization and Initial Report online via the geauxBIZ portal if you’re located in the following parishes: Ascension, Bossier, Caddo, Calcasieu, East Baton Rouge, Jefferson, Lafayette, Livingston, Orleans, Ouachita, Rapides, St. Tammany, Tangipahoa, or Terrebonne.

Note: You can file your Articles of Organization and Initial Report by mail if you’re located in other parishes.

In this case, you do NOT need to obtain an EIN before filing, meaning you won’t need to pay the $25 reservation fee.

Using geauxBIZ requires you to obtain an EIN before completing your application process.

This process is reversed in Louisiana compared to most U.S. states. Usually, you’ll form your LLC first, then apply for an EIN. This ensures that your EIN is issued under the correct LLC name.

Doing this in reverse increases the risk of acquiring your EIN, then later realizing that your LLC name is unavailable. If this happens, you may need to complete extra paperwork to correct the name associated with your EIN.

However, Louisiana offers a workaround for this potential issue:

  1. First, reserve the name to ensure it’s available to use.
  2. Use the same name to file your EIN application.
  3. Following this, file your Articles of Organization and Initial Report documents online.

Note: As I’ve said above, you need to pay a $25 one-time reservation fee for online and mail applications.

Once filed, your desired LLC name is reserved for 120 days.

The good news is that you will get the $25 reservation fee back once you’ve paid for your Articles of Organization filing.

3. Getting Your EIN ($0)

Once you’ve reserved your LLC’s official name, you can use it to apply for your EIN. An EIN, also known as a Federal Employer Identification Number (FEIN), is a unique 9-digit federal identifier issued by the Internal Revenue Service (IRS). It’s mainly used to identify your business for federal tax purposes.

Alongside being a prerequisite for filing your LLC formation documents, it also allows you to carry out several important business functions:

  • Hiring LLC employees (if applicable).
  • Opening a dedicated business bank account.
  • Filing required taxes.
  • Getting a Sales Tax Certificate (if applicable).
  • Obtaining any necessary business licenses and permits.

Important: If you choose to file your LLC formation documents by mail, you must wait until your LLC is officially formed before applying for your EIN from the IRS.

Your EIN is free to obtain when applying through the official IRS website, regardless of your chosen application method.

You can choose between two main application methods when applying for your EIN. The best method depends on your U.S. residency status. I’ve discussed both methods in more detail below.

4. Appointing A Registered Agent ($0 Or $150 To $199 Per Year)

You must appoint and continuously maintain a Registered Agent to form your LLC under Louisiana RS §12:1308.

The main job of your Louisiana Registered Agent is to receive and correctly process important state notices, legal documents, and service of process on behalf of your LLC.

Use one of the following three options, provided that they meet the requirements listed below:

  • Yourself.
  • A family member or a trusted friend.
  • A professional Registered Agent service.

Your agent must have a physical Louisiana street address and be available during normal operating hours to receive important documents.

There is NO additional cost if you choose to be your own agent or appoint someone you know. However, this comes with several operational risks, which I’ll discuss below.

I highly recommend hiring a professional Registered Agent service. This typically costs between $150 and $199 per year. It’s your main Louisiana LLC cost that needs to be budgeted for.

The cost can be justified for the following reasons:

  • Privacy: Your agent’s name and address become part of the Louisiana public record. Hiring a professional service allows you to use their address instead of your own.
  • Compliance support: Many Registered Agent services offer reminders for important filing deadlines, ensuring that your LLC keeps its good standing.
  • Lower operational risks: It is more difficult for an individual to reliably receive legal documents and state notices due to other commitments.

5. Filing Your Articles Of Organization And Initial Report ($100)

The standard state filing fee for the Articles of Organization and Initial Report is a one-time $100 filing fee, regardless of how you file. Once approved, this is what forms your LLC under Louisiana RS §12:1304.

You can also use an expedited filing method for an additional fee. This speeds up your processing time and must be paid on top of your standard processing fee:

  • 24-hour processing: $30.

6. Creating Your LLC Operating Agreement ($0)

An LLC Operating Agreement is an internal contract between LLC members. It outlines LLC ownership, management structures, and profit distribution.

Under Louisiana law, you do NOT need to draft and maintain an Operating Agreement. Despite this, I recommend that every LLC, including single-member LLCs, should draft an agreement, keep it with their official business records, and give a signed copy to each member.

Note: You do NOT need to file your agreement with the Louisiana SOS or any other official government agency.

Louisiana state recognizes both written and oral Operating Agreements under Louisiana RS §12:1301. However, I highly advise creating and maintaining a written agreement for better legal enforceability.

To clearly show how your LLC is governed, your Operating Agreement must reflect your LLC management structure:

  • Member-managed LLCs: All members participate in daily business operations and decision-making processes.
  • Manager-managed LLCs: Members appoint one or more managers to handle daily operations while other members act as passive investors.

7. Obtaining Any Required Business Licenses & Permits (Varies)

Important: You do NOT need a statewide general business license to legally operate as an LLC in Louisiana. Therefore, your requirements primarily depend on your operating location and business activities.

With each business being different and various agencies having different fee schedules and requirements, your total licensing cost varies depending on the number and type of licenses needed.

I highly recommend contacting the relevant local, state, and federal agencies if you want to confirm your exact registration fees. Some licenses require annual renewal, meaning you should be aware of the renewal requirements when making sure they stay active.

Generally speaking, license fees in Louisiana range from $50 to over $1,000, depending on your license type. As I’ve already said, some licenses require periodic renewal, with fees going from $25 to several hundred dollars.

Note: For some LLCs, the total licensing cost may be $0 if no licenses are required to operate legally.

8. Getting A Sales Tax Certificate ($0)

If you use, consume, store, lease, sell (at retail), or rent taxable property or provide taxable services in Louisiana, your LLC qualifies as a “dealer” under Louisiana RS 47:301(4).

If you’re classed as a “dealer,” you must collect and remit Sales Tax under the Louisiana Department of Revenue (DOR) requirements. To do this legally, you must obtain a Sales Tax Certificate beforehand.

Note: The Sales Tax Certificate is issued by the Louisiana DOR and is free to obtain.

You can use the geauxBIZ portal to obtain your Sales Tax Certificate. You’ll use the same application process used to file your Articles of Organization and Initial Report.

Note: GeauxBIZ is a comprehensive filing system. Therefore, alongside your LLC formation filings, it’s used to register with the DOR and Workforce Commission (if you have LLC employees).

Alternatively, you can register your LLC and obtain your Sales Tax Certificate directly with the DOR. You can do this using one of the following methods.

These options are available if:

  • You filed your Articles of Organization and Initial Report by mail.
  • You simply need a Louisiana DOR business account to file state tax returns.

Once you’ve got your certificate, you need to file and remit Sales Tax by the stated due dates to remain in compliance and keep the certificate active. You do NOT need to worry about a renewal fee.

The current state Sales Tax rate is set at 5%. Check the R-1002, Table of Sales Tax Rates for Exemptions, for further information regarding tax rates.

9. Filing Your LLC’s Annual Report ($30 Per Year)

Every LLC operating in Louisiana must file an Annual Report and pay the $30 filing fee each year for the life of your LLC.

Doing so ensures that your LLC remains compliant and in good standing with the state under the Louisiana RS §12:1308.1.

Your Louisiana Annual Report is due each year by your LLC’s anniversary date. This is the date that your LLC was approved by the state. Your first report must be completed in the year after your LLC was officially formed.

Note: You can file your Annual Report up to 4 weeks before your actual due date.

10. Filing And Paying Any Required Taxes (Varies)

You may need to pay many different taxes when operating your LLC in Louisiana. Every LLC has a different operating structure, meaning your specific circumstances determine your tax requirements. Because of this, your annual tax costs can vary widely.

Furthermore, I am NOT an accountant or CPA (Certified Public Accountant). Because of this, I can NOT offer an exact amount or estimate either.

Note: I highly recommend working with a CPA or qualified accountant to ensure your taxes are properly filed and paid.

These are some of the taxes that Louisiana LLC owners may need to pay:

  • Self-Employment Tax: LLC members generally need to pay medicare taxes and social security on their earnings.
  • Louisiana State Income Tax: Income tax is paid on the member’s share of LLC income.
  • Sales and Use Tax: This must be paid if your LLC sells taxable goods or services in the state.
  • Federal Income Tax: Members report and pay taxes on shares of business income using their personal federal tax returns.
  • Local Taxes: This can include city-level or parish taxes, such as occupational licenses and local Sales Tax, depending on your operating location.
