Every Kentucky LLC operating in the state must appoint and continuously maintain an official Registered Agent under KRS 14A.4-010. This can be an individual or a professional business entity. Their main job is to receive and correctly process official state regulatory notices, legal filings, and service of process on behalf of your LLC.

You have two main Kentucky Registered Agent requirements. These must be met regardless of your agent type:
- Your agent must maintain a physical street address in Kentucky.
- Your agent needs to be available during normal operating hours.
You can choose the following as your agent under Kentucky law, provided that they meet the above requirements:
- An individual Registered Agent: Yourself, a trusted friend, or a family member.
- A commercial third-party Registered Agent service.
You do NOT need to pay an annual fee if you choose to appoint yourself or another individual. While this saves you money initially, it comes with several operational risks. I’ve discussed the main ones below.
- Identity fraud: The personal details (full name and address) of your Registered Agent will be available to view on the Kentucky public record. If you act as your own agent, you expose your personal details and increase your risk of identity fraud.
- Compliance risks: As stated above, your agent must be available to receive and process important business documents during normal operating hours. If you appoint an individual to act as your agent, the risk of missing important documents and legal notices is greatly increased.

You must complete and file your Articles of Organization formation documents with the Kentucky SOS under KRS § 275.020. Once approved, you become an official, legally recognized entity in the state. This one-time filing is your most important formation requirement.

Your one-time filing fee is based on your business type, regardless of your chosen filing method (online or paper):

4. Making Your Kentucky LLC Operating Agreement ($0)
An LLC Operating Agreement is a foundational business document outlining how your LLC will be managed and operated. Think of it as a crucial internal rulebook that governs the rules when operating your business. Alongside this, it states how everyday business operations and decisions will be managed.
This is an internal business document. Therefore, you do NOT need to submit it to the Kentucky SOS or any other official government agency. I advise keeping a signed written copy safely stored with your official business documents. Furthermore, make sure that each LLC member maintains an up-to-date, signed copy for reference.
Your LLC management structure should be clearly outlined in your internal Operating Agreement. This can be one of two main structures:
- Member-managed LLCs: Every LLC member is responsible for daily operations and decision-making processes. Furthermore, they can bind the LLC in business contracts.
- Manager-managed LLCs: Every LLC member appoints one or more managers to run daily operations and make key business decisions. Other LLC members act as passive investors.

Under KRS 275.190, every Kentucky LLC operating in the state must file an Annual Report once per year. This ensures that the state has correct and up-to-date information regarding your main business details.
