1. Pick Your Desired LLC Name ($0)
Your first step when forming your LLC is to pick your desired LLC name. Naming your LLC does NOT cost anything.
You’re NOT required to reserve an LLC name in Iowa. Therefore, you don’t need to pay to reserve your desired name.
Under Iowa Uniform LLC Act §489.112, your name must be unique and distinguishable and comply with state rules.

2. Appoint An Official Registered Agent ($0 – $199 Per Year)
Your Iowa Registered Agent can be an individual or business entity, provided that they meet the main requirements. The primary job of your appointed agent is to receive and process important state regulatory notices, legal filings, and service of process on behalf of your LLC.
Under the Iowa Uniform LLC Act §489.115, every LLC needs to appoint and maintain an official Registered Agent when filing its Certificate of Organization.

Your agent must have a physical state address and be available during normal operating hours to receive notices and legal documents.
You can choose between 3 Registered Agent options, provided that they meet the above requirements:
- Yourself.
- A trusted friend or a family member.
- A professional Registered Agent service.
You can save money initially by appointing yourself or a friend as your agent for $0. However, this exposes your LLC to significant long-term operational risks. These are much more likely to happen if you choose to use an individual as your Registered Agent.
One of the main risks is missing important state regulatory notices and legal documents. If this happens, your LLC may face penalties and potential loss of good standing.
Alongside this, your agent’s name becomes part of the Iowa public record once your Certificate of Organization documents have been approved. If you use a personal address, you create potentially harmful privacy risks.
Many LLC owners hire a professional third-party Registered Agent service to avoid these issues. These typically cost from $150 to $199 per year. A high-quality service will reliably handle and process important state notices and legal filings. You must file your Certificate of Formation with the Iowa SOS and get it officially approved before your LLC is recognized as a separate business entity in the state under the Iowa Uniform LLC Act §489.201.

- Two Business Days: $50
- Five Business Days: $15
Note: The expedite service is ONLY available for in-person filing.
I recommend filing online because most filings are approved within 1 business day, so paying for expedited service is usually unnecessary.
There is NO single standardized form for your Iowa Certificate of Organization. However, the Iowa SOS offers guidance on your required filing content. You must create your own agreement, as long as it includes the required information under Iowa Uniform LLC Act §489.201(2).

4. Complete Your LLC Operating Agreement ($0)
While your Certificate of Organization documents officially form your LLC, your Iowa Operating Agreement defines how your LLC is managed, run, and operated.
You do NOT need to adopt an Operating Agreement in Iowa under the Iowa Uniform LLC Act §489.105. Furthermore, you do NOT need to file it with the Iowa SOS.

With your agreement clearly governing how your LLC operates, it must define your LLC management structure:
- Member-managed LLC: All LLC members participate in the daily operations and decision-making processes.
- Manager-managed LLC: Members appoint one or more managers to handle daily operations, while members act as owners with limited involvement in management.

5. Get An EIN ($0)
Note: You must wait until your LLC is officially formed before obtaining your EIN from the Internal Revenue Service (IRS). Your application may be delayed or rejected if you attempt to apply before your LLC has been officially approved.

Your Iowa EIN is a unique 9-digit federal ID number issued by the IRS to identify your LLC for tax purposes. It functions similarly to how a Social Security Number (SSN) identifies an individual.

6. Obtain Your Applicable Business Licenses (Varies)

7. Get Your Sales Tax Permit ($0)
Under Iowa Code §423.36, you must apply for a Sales Tax Permit with the Iowa Department of Revenue (DOR) before conducting business activities if your LLC engages in taxable retail sales.

- By mail: Complete the Iowa Business Tax Permit Registration form (78-005) and submit it with the Iowa DOR.
Your permit should remain valid until canceled or revoked if you fail to file your required tax returns. Therefore, you do NOT need to pay a renewal fee. Ensure that you pay your tax return on time to keep your permit active.

8. File Your Iowa Biennial Report ($30 Or $45 Every 2 Years)
Under Iowa Uniform LLC Act §489.212, any LLC operating in the state must file its Biennial Report with the Iowa SOS every two years to remain active and in good standing.

Note: Your filing fee depends on your chosen filing method:
- Online via Fast Track Filing: $30.
- Paper filing by mail or in person: $45.
Generally speaking, this is a key part of the cost of operating an LLC in Iowa. Alongside your Certificate of Organization, you must pay this fee every two years if you want to continue operating.
Your filing period runs from January 1 to April 1 in the first odd-numbered year after formation and the same thereafter.
For example:
- If your LLC is formed on September 10, 2026, your first Biennial Report is due by April 1, 2027, and then every 2 years after.
- If your LLC is formed on September 10, 2027, your first Biennial Report is due by April 1, 2029, and then every 2 years after.

9. Pay Any Necessary Taxes (Varies)
Your LLC must pay taxes each year, as long as it continues operating.
Several tax layers may apply to your LLC. Therefore, your total tax payment depends on your business activities. Alongside this, the exact amount depends on your business structure, revenue, and location. Because of this, I can NOT provide an estimate in this section.
Some of the main taxes that you must pay include:
- Self-employment Tax: You may need to pay social security and medicare taxes on your income.
- Federal Income Tax: Profits from your LLC are typically passed to you and reported on your tax return.
- Sales Tax: You need to collect and remit Sales Tax to the Iowa DOR if you sell taxable goods or services.
- State Income Tax: Income earned by individuals and certain business entities is taxed in Iowa.
- Local Taxes: You may need to pay property taxes or local option sales tax, depending on your operating location.
