How Much Does An Idaho LLC Cost?

1. Choose Your Desired LLC Name ($0)

Your first step before filing your Idaho LLC’s Certificate of Organization is to choose a unique and distinguishable business name. Alongside this, it must meet the state’s naming rules and regulations under I.C. §30-21-301.

2. Appoint An Idaho Registered Agent ($0–$199 Annually)

Under I.C. §30-21-402, every LLC conducting business in Idaho must appoint and continuously maintain an official Registered Agent. The primary job of your agent is to receive and process important state regulatory notices, legal documents, and service of process on behalf of your LLC.

Your Idaho Registered Agent must meet two main requirements:

  1. Maintain a physical Idaho street address.
  2. Be available during normal business hours.

Under official state law, you can choose the following as your agent, as long as they meet the stated requirements.

  • An individual: This can be yourself, a trusted friend, or a family member.
  • A domestic/foreign business entity: The business must be authorized to work in the state.

You do NOT need to pay anything if you appoint yourself or another individual as your agent. However, you face several serious operational risks when doing so:

  • Your Registered Agent’s full name and address will appear on the Idaho public record. This can expose your personal details to identity fraud when serving as your own agent.
  • Your agent must be available during normal operating hours to receive important state notices, legal filings, and service of process. If you appoint an individual, you increase the risk of missing these important documents, meaning you have a higher chance of facing legal and compliance issues.

You must file your Certificate of Organization for your LLC to be officially recognized as a separate business entity in Idaho under I.C. §30-25-201. This one-time filing is your main Idaho LLC formation requirement.

4. Complete Your Idaho LLC Operating Agreement ($0)

An Operating Agreement is an internal business document outlining how your LLC will be run, operated, and managed. It outlines your member roles, management roles, and operational procedures. In most cases, it will discuss decision-making processes, governance, and amendment procedures. This allows flexibility in how your business operates in Idaho and is set under I.C. §30-25-105.

You do NOT need to complete and maintain an internal Operating Agreement in Idaho. Despite this, I strongly advise creating one. Once it’s signed by LLC members, it becomes legally binding and overrides default state operating rules.

Your Idaho Operating Agreement can be written, oral, or implied. Alongside this, it can consist of multiple documents, depending on your business structure and operational needs. Even so, I highly advise using a written operating agreement.

Note: Keep an up-to-date, signed, written copy of your agreement with your official business records. Also, make sure that each LLC member maintains a copy for their reference.

Your Operating Agreement needs to specify your LLC’s management structure. This may be:

  • Member-managed: All LLC members are responsible for daily operations and have the authority to bind the LLC in contracts.
  • Manager-managed: LLC members appoint one or more managers to operate the LLC. Other members act as passive investors.

5. Acquire Your EIN ($0)

You must obtain an EIN from the Internal Revenue Service (IRS) before beginning business operations in Idaho. Your EIN is FREE to obtain when using the official IRS website and is required to complete several important operational activities. These include:

6. Obtain Any Applicable Business Licenses And Permits (Varies)

Note: There is NO general statewide business license requirement in Idaho. Therefore, your licensing obligations depend on your operating location and industry.

With this, licensing costs vary widely and are determined by the relevant licensing agencies. Generally speaking, fees range from $50 to over $1,000. Most licenses require periodic renewal, with costs from about $25 to several hundred dollars.

You may NOT need to obtain any permits or licenses, resulting in a total licensing cost of $0.

8. Finish Your LLC Annual Report Filing ($0 Or $0 + $20 Manual Processing Fee)

Under I.C. §30-21-213, every Idaho LLC operating in the state must file an Annual Report once a year with the SOS. This keeps the state up-to-date with your current business information. You may face penalties and potential administrative dissolution if you fail to file your Annual Report on time.

Note: The Idaho SOS recommends that you use the online filing method. It’s free and should be approved immediately.

You must submit your Annual Report by the end of your anniversary month each year. Your first report is due the year after your LLC is formed.

Example: Your LLC was approved on April 15, 2026:

  • Your anniversary month is April.
  • Your report is due by April 30 every year.
  • Your first report is due by April 30, 2027.
  • Your report is then due by April 30 every year thereafter.

9. Complete Your Idaho LLC Tax Responsibilities (Varies)

Your LLC must meet several ongoing tax obligations after registering with the Idaho Department of Revenue. These primarily depend on your operating location and industry.

Note: I highly recommend working with a professional accountant when conducting business in Idaho. They’ll handle your tax requirements and ensure your filings are completed correctly.

a. Federal Taxes

You may need to pay several taxes at the federal level:

  • Federal income tax: This depends on your tax treatment.
  • Payroll taxes: This applies to LLC members.
  • Self-employment taxes: This must be paid if you have employees in your LLC.

b. State-Level Tax

Your business earnings and activities primarily determine your state-level tax requirements:

  • Income tax: Most LLCs are treated as pass-through entities. Income is taxed at a flat 5.3%.
  • Employer taxes: LLCs with employees must withhold state income tax and pay unemployment insurance (UI) taxes.
  • Personal property tax: LLCs must report property annually. However, many qualify for exemptions.

c. Local-Level Taxes

You may need to pay local taxes in addition to your federal and state-level taxes. These are imposed by the cities and counties that you operate in:

  • Real property tax: LLCs with real estate must pay county property taxes. Rates are set by local districts.
  • Business personal property (BPP) tax: This applies to business assets like equipment and machinery.
