When forming a Limited Liability Company (LLC), the main expense is filing your Articles of Organization with the Colorado Secretary of State (SOS), which costs $50 and establishes your business as a separate legal entity.

The total cost of forming and operating your LLC in Colorado depends on your state filing fees and optional services. For anyone wondering, “How much does an LLC cost in Colorado?” your key expense is the Articles of Organization fee.

These are additional requirements when operating an LLC:

  1. Reserving your Colorado business name.

  4. Registering for a Doing Business As (DBA) name.
  5. Completing your LLC Operating Agreement.
  6. Acquiring your Employer Identification Number.

You do NOT need to pay anything to choose your Colorado LLC business name. The Colorado Secretary of State does not charge a separate fee for approving your business name during the formation process.

Your desired business name is automatically reviewed and approved by the state at no extra cost when filing your Articles of Organization. This is the document that officially forms your LLC in the state. There is no need to submit an additional Name Reservation form or make a separate payment.

So, how do you complete this first foundational step? Over anything else, you need to remember that your desired name needs to be unique and distinguishable while following the state’s business naming rules and regulations. Simply include your chosen name when filing your formation documents, and get it officially registered once it’s been approved.

Note: Don’t worry about reserving your desired business name unless you feel really strongly about holding it. Think of this as an optional step that is NOT required for most businesses.

Tip: Make sure your name is unique and distinguishable from existing state business names before submitting your LLC formation documents. Your filing may be rejected if your name is too similar to an existing business.

2. Appointing A Registered Agent ($0 Or $199/Year)

All LLCs operating in Colorado must appoint and maintain an official Registered Agent under Colorado Revised Statutes § 7-90-701. This is an individual or company responsible for receiving and processing official state correspondence and legal documents on behalf of your LLC.

  1. Act as your own Registered Agent ($0): You’re allowed to act as your own agent or appoint a friend, family member, or business partner with a physical Colorado street address. They must be available to receive and process documents during normal business hours. There is no extra cost, but it has risks, which I’ll discuss below.
  2. Hire a Registered Agent Service (Roughly $199/year): You can use a professional third-party Registered Agent Service. They’ll handle your paperwork and keep your personal details off the public record, making it the better option even with the added cost. Typical services cost around $199 per year, depending on the provider.

You must list the name and address of your Registered Agent when filing your Articles of Organization with the Colorado Secretary of State.

Filing your Colorado Articles of Organization officially creates your LLC in the state. It costs $50, which is the state filing fee paid to the Colorado Secretary of State.

Here’s what you need to do:

  1. File your Articles of Organization with the Colorado Secretary of State along with your $50 one-time payment.
  2. Your LLC is now officially recognized by the state and exists as a separate legal business entity.
  3. The $50 fee is a one-time payment. You do not need to pay any monthly or annual formation charges again.

You must submit your Articles of Organization using the online filing method. The Colorado Secretary of State will not accept mail filings. Once completed, you must pay the required fee electronically using one of the following payment methods:

  • Debit Card.
  • Credit Card (Visa, MasterCard, American Express, Discover).

If you apply using the official IRS website, obtaining an EIN in Colorado is completely free. Some third-party websites will charge an additional fee to apply for you. However, you can complete your application in a few minutes, so I wouldn’t recommend this.

7. Filing Your Colorado LLC Periodic Report ($25 Per Year)

Known as the “Annual Report,” in most U.S. states, the Colorado “Periodic Report” is used by the SOS to keep tabs on all businesses operating in the state, including your own. All you need to do is complete the required fields, pay the $25 filing fee, and submit it once a year by the end of your LLC’s registration anniversary month.

Let’s say that your LLC was formed on June 10, 2024. You’ll need to submit your report by the end of June every year to maintain compliance and keep your good standing.

When filing, you must update your key LLC details. This includes your business address, member details, and Registered Agent information.

  • You must file your Periodic Report online. This is the only submission method that the Colorado Secretary of State will accept.
  • Payments must be made electronically by debit card or credit card.

8. Obtaining Your Colorado Business Licenses And Permits (Varies)

First things first, you have NO general state business license requirement, meaning that there’s NO standard licensing cost. However, you’ll likely need to obtain specific business licenses and permits, depending on your chosen business location and activities.

State-level licenses are required by certain professions, while local business licenses or permits may be needed by local governments.

9. Get Colorado Sales Tax Licenses

Selling taxable products to consumers in Colorado requires a Colorado Sales Tax License under the Colorado Revised Statutes § 39-26-103.

The cost to apply for your Sales Tax License is $66. This includes a $50 refundable deposit (For your new Sales Tax account) and the $16 License fee.

The license fee is prorated in six-month increments depending on the month and year in which you apply. You can check this table to know the exact fee:

Your Sales Tax License is valid for a two-year period ending on December 31 of the next odd-numbered year. You must renew your license before January 1 of the following renewal cycle if your LLC is still operating for a fee of $16 for each business location.

Last on the list is completing your LLC’s tax responsibilities, which depend on your operating location, chosen activities, and business size. Don’t get these confused with the filing fees that I’ve discussed above.

Common ones include local income taxes imposed by certain cities and counties, state income tax based on profits earned in the state, and federal income tax determined by your total income and tax classification.

You may also need to pay Sales and Use tax if you sell taxable services or goods in the state, Self-Employment Tax to cover Medicare and social security, Payroll tax if you have employees, and Property Tax if you own real estate.
