How Much Does It Cost To Start An LLC In Arkansas?

You’ve got to meet several mandatory state fees and additional costs to get things off the ground, which primarily depend on how you decide to form your business. 1. Arkansas Business Name Cost ($0)

a. Name Availability Checking ($0)

The Arkansas Business Entity Search tool on the Secretary of State website lets you check if your LLC name is already in use. It’s completely free and allows you to compare your desired name to existing businesses already registered in the state.

If you’ve confirmed name availability, you’re free to proceed with your next filing obligations. Although, quickly check your legal name alongside any planned fictitious names, also known as “Doing Business as” (DBAs) just to be sure that everything is in order if you plan to use them.

b. Optional Name Reservation ($22.5$25)

Arkansas does not ask you to reserve a name before forming an LLC. However, this option can be helpful if you’re not prepared to file your formation papers. A reservation protects the name for 120 days and keeps others from using it while you finalize paperwork or coordinate with partners.

The reservation fee is $22.50 online or $25 by mail. You can reserve your name through the Arkansas Secretary of State’s Online Filing System or by submitting the RN-06_1 Name Reservation Form.

Note: When you file your Articles of Organization, the state will check name availability again. Because of this, reserving a name is optional. Still, it can offer peace of mind if you need extra time before filing.

2. Arkansas Registered Agent Fee ($0–$200)

Get a name in place, and you can move towards securing an official Registered Agent. This isn’t something to just pass by. You’ll need one when operating as an LLC under Arkansas law (A.C.A. § 4-38-115). Once appointed, they’ll receive and correctly process any of your state docs, legal filings, and Service of Process on your behalf.

The main thing you’ll need to worry about here is your agent’s address. They’ll need a physical Arkansas street address that isn’t a P.O. box; otherwise, they’ll be rejected. Once in place, this is known as your “Registered Office.”

When it comes to cost, this totally depends on your choice of agent. Act as your own agent, and you won’t need to pay a cent. The same is likely true if you appoint a trusted friend or family member. If you want to keep things above board and hire a professional service, expect to pay around $50 to $200 per year.

While you might be thinking that it’s a great way to save money if you act as your own agent, this actually isn’t the case. Use a professional service, and you keep your personal details off the public record. You also have a business besides you to ensure you maintain compliance by meeting key filing deadlines.

3. Arkansas LLC Certificate Of Organization ($45–$50)

With your name in place and an official agent by your side, time to get your formation docs in place. File your Certificate of Organization with the Arkansas SOS, and you’ll officially have legal recognition as a functioning business, making it a core formation requirement.

List your Legal name, principal address, and Registered Agent details in the core business info fields. Submit it and you have a firm legal structure and operating identity.

4. LLC Operating Agreement Fee ($0)

Before I get into this step in more detail, it’s important to note that you don’t actually need to maintain or even make an Operating Agreement in Arkansas. Even so, I strongly recommend doing otherwise.

5. LLC EIN Number Fee ($0)

This little 9-digit federal ID number, officially known as the Employer Identification Number (EIN), is given to you by the Internal Revenue Service (IRS). Its bascially like your Social Security Number (SSN) but for your business. Without one in place, you can’t pay taxes, open a dedicated business bank account, or legally hire employees.

Apply using the official IRS website, and you’ll get an EIN completely free. While third-party websites charge a small fee, it’s not necessary to use them, nor would I advise it. Dedicate around 15 minutes to completing your application, and you’ll get your number immediately.

6. Arkansas Business Licenses & Permits (Varies)

First things first. There’s no Statewide General Business License requirement for any LLC. Due to this, you don’t have a single state license fee or universal renewal procedure. Your license needs are primarily based on your operating location and chosen industry, with many businesses needing local licenses and/or permits.

Get a local license, and you maintain complaince with set rules and health and safety standards. The problem is that requirements and fees can significantly vary based on your location, making it vital that you check what actually applies to your area.

So, some cities or counties issue local business and occupation licenses, which need to be renewed annually or biannually. You’ve also got special permits to potentially worry about, with restaurants and food service companies requiring approval from local health departments prior to operating. Home-based businesses may need zoning approval, while certain regulated professions, such as construction and healthcare, probably need specific certificates or licenses, which cost from $50 to $1,000 depending on the industry.

As you can see, things aren’t simple in this step. With such a large variation in rules and fees, it’s best to speak to your specific operating agency or relevant licensing board for further details and better fee estimates. Don’t do this properly, and you face fines, penalties, or even potential suspension of your business operations.

7. Sales And Use Tax Permit Registration ($50)

If your Arkansas LLC sells taxable goods or services, you’ll have to register for a Sales and Use Tax Permit through the Arkansas Department of Finance and Administration (DFA).

The registration fee is $50, whether you file online or by mail. Once approved, your LLC can collect and remit Sales Tax to the state.

The Sales and Use Tax Permit is a one-time registration. It doesn’t expire and stays valid as long as your business remains active and does not change ownership or structure.

8. Arkansas LLC Annual Franchise Tax ($150)

All Arkansas LLCs must pay an Annual Franchise Tax under A.C.A. § 26-54-104. This tax is required each year to keep your company in good standing with the state. The payment is due even if your LLC earns no income, as this allows your business to stay legally active.

The Arkansas Annual Franchise Tax is a flat $150 fee. It needs to be paid by May 1st each year when you file the Annual Franchise Tax Report with the Arkansas Secretary of State.

You can submit the report and payment in two ways:

  • Pay online through the Arkansas Franchise Tax Portal. This is the fastest method and provides instant confirmation after you pay.
  • File by mail by downloading the form from the portal and sending it to the Secretary of State.

Online payments include a small processing fee: about $5 for credit cards or $3 for electronic checks. That said, your total cost for the Arkansas Annual Franchise Tax will fall between $153 and $155 when paying online.

Once the tax is paid, the state updates your LLC’s status to show that it is in good standing. This status protects your business name and keeps your company legally active. Additionally, it helps strengthen credibility when applying for financing or contracts.

9. Arkansas Other LLC Taxes (Varies)

Your Arkansas LLC may owe several types of taxes based on how the company is structured and the kind of business you operate. There is no single tax amount that applies to all LLCs.

a. Federal Level Taxes

Most LLCs are taxed as pass-through entities at the federal level. In other words, the LLC doesn’t pay federal income tax directly. Instead, each owner reports their share of profits or losses on their personal return and pays federal income tax plus a 15.3% self-employment tax. These payments are generally made quarterly on April 15, June 15, September 15, and January 15 of the next year.

b. State And Local Taxes

State and local taxes in Arkansas vary widely. Most LLCs follow the same pass-through structure used at the federal level. Therefore, many businesses don’t pay state income tax at the company level.

Additionally, Arkansas offers an optional Pass-Through Entity (PTE) Tax. This allows LLCs to pay income tax at the entity level rather than through individual members. The PTE tax rate is 3.9% on regular income and 1.95% on capital gains. Returns are due on April 15 each year.

Plus, if your LLC sells taxable goods or services, you must collect and remit sales and use tax through the Arkansas Taxpayer Access Point (ATAP). You’ll need to file a return even when there are no sales, which is called a “Zero return.”

If you hire employees, expect to pay state withholding tax, unemployment insurance, and the employer share of federal employment taxes. Amounts depend on your payroll size. Your city or county may also require local licenses or professional permits. These range from $50 to more than $1,000, depending on your industry.
