How Much Does An Arizona LLC Cost?

To officially form your Arizona LLC, you need to submit the Articles Of Organization (Form L010) by mail or online.
In both cases, you will pay a one-time fee of $50.
Approval takes about 13-15 business days. It takes more time for mail submissions, so I recommend filing online.

4. Publishing A Newspaper Publication (Fee Varies By County)
Within 60 days of filing your Articles of Organization with the ACC, you have to publish a formal notice in a newspaper three consecutive times to announce to the public that your business now operates legally.
The Arizona Revised Statutes (A.R.S.) § 29-3201 governs this requirement.

Note: You are exempt from this publication obligation if your Statutory Agent (Registered Agent) lives in the Counties of Pima or Maricopa.
The cost usually falls between $60 and $120, depending on your county. Fortunately, you only need to complete this publication requirement once for the lifetime of your LLC.

5. Creating An Operating Agreement For An Arizona LLC ($0)
An Arizona LLC Operating Agreement is a written document that defines the relationship between the members of the LLC. It is for internal use only. You don’t need to file it with the ACC.
Each member should hold on to a signed copy with the company’s official business records.

6. Getting An EIN ($0)

7. Securing Arizona Business Licenses And Permits (Fee Varies By County And Business Activity)
In Arizona, there is currently no general business license at the state level. Therefore, there are no license costs associated with the State of Arizona.

8. Obtaining The Transaction Privilege Tax (TPT) License
You need to collect Transaction Privilege Tax (TPT) if your LLC sells products or services to consumers in Arizona.
To collect and pay this tax, you have to get a TPT License through the Arizona Department of Revenue (ADOR):

There are two levels of TPT licensing jurisdiction in Arizona:
- State level.
- Municipal level.

a. State Level Transaction Privilege Tax License ($12 Per Location)
It will cost you $12 per LLC location to file the state-level TPT License with the ADOR. You will only be required to pay this registration fee once.
b. Municipal Arizona TPT License (Fee Varies By Location)
The cost of a municipal TPT license, which includes an initial filing fee and a renewal fee, can tally up to $50 per location per county, depending on how many businesses you have and where they are.
Below is an example to illustrate the costs if you had an LLC that operated in Scottsdale and Snowflake County:
- In Scottsdale, each business location costs $50. This follows the official ADOR TPT license fee worksheet. If you have two businesses in Scottsdale, the total cost adds up to $100.
- In Snowflake, the fee is $2 per location. If you only have one store there, the total cost is $2.
In this example, your total TPT license adds up to $102 for both counties.
Your municipal TPT License remains valid for one calendar year, running from January 1st to December 31st. All businesses are required to renew their licenses by January 1st each year, even if the original license was issued late in the previous year.

9. Remitting The Transaction Privilege Tax (Rate Varies By County And Industry)
You are obligated to pay the TPT to the ADOR. As mentioned previously, the TPT is a tax you need to pay for having the privilege of running an Arizona business.
Depending on your LLC’s activities, city, and county, the rates of this tax will differ. Due to this variation, it’s essential to check the current tax rates before you file.
I suggest going over the official Tax Rate Table on the ADOR website. This will give you the most precise and updated information relating to tax rates.
The frequency at which you file the TPT depends on your total estimated annual liability. This includes the combined Arizona, county, and municipal TPT obligations for your business. Here are the different possible scenarios:
- Annual: Your LLC has less than $2,000 estimated annual combined tax liability.
- Quarterly: Your LLC has between $2,000-$8,000 estimated annual combined tax liability.
- Monthly: Your LLC possesses more than $8,000 estimated annual combined tax liability.
- Seasonal: This is for businesses operating 8 months or less per year.
