Filing your completed Articles of Organization documents with the Kentucky Secretary of State (SOS) officially forms your Limited Liability Company (LLC). However, you must perform a business name search first to ensure your desired LLC name is unique and distinguishable compared to existing state business names.

If your name isn’t unique and distinguishable and doesn’t follow the state’s naming rules, your Articles of Organization filing will be rejected. Therefore, you need to choose a suitable name before officially creating your LLC.

In this article, I will discuss how to complete the Kentucky business name search process. You’ll learn how to interpret the different results and ways to make your name unique and distinguishable.

Your Kentucky LLC name must be unique and distinguishable from existing business names on record with the Kentucky SOS under KRS (Kentucky Revised Statutes) § 14A.3-010(1). If it’s not, your Articles of Organization formation documents will be rejected by the state.

You have two main name search tools that you can use when performing a business name search in Kentucky. These are the Business Entity Search tool and the Name Availability Search tool.

  1. Business Entity Search tool: This tool allows you to see all documents on file with the Office of the SOS.
  2. Name Availability Search tool: This tool is used to check your desired name against existing business entity records currently on file with the Office of the SOS. This helps you see if your name is distinguishable and available for use.

Note: The Name Availability tool offers direct and straightforward search results. Therefore, I’ve chosen to focus on this tool in my guide.

Completing The Kentucky LLC Name Search Procedure

1. Access The Portal And Enter Your Desired LLC Name

To begin, navigate to the Kentucky Name Availability Search tool page. Then, enter your desired LLC name in the “Enter Company Name” search field. Once complete, click “Search Business Name.

Make sure you don’t include an entity designator (name ending). Examples include “LLC,” “L.L.C.,” or “Limited Liability Company.”

When performing your search, I recommend entering the main words of your desired LLC name when completing your search.

Example: You can enter the following if your desired name is “John Doe LLC.”

  1. Search for “John Doe.”
  2. Search for “John.”

This should catch all potentially similar results.

2. Check Your Search Result

The system should show a table of results under your search bar with several columns once you’ve completed your search. Focus on the “Company Name” column when interpreting your search results. I will discuss how to do this correctly in the section below.

How To Interpret Your Kentucky Name Search Results

You have 4 possible outcomes when performing your Kentucky LLC name search. I’ve discussed how to interpret your potential results below so you can pick a name that’s unique and distinguishable compared to existing business names.

Disclaimer: Business entity names will be filed on a first-come, first-served basis by the Office of the SOS. Therefore, you have no guarantee that a name searched using the Name Availability Search tool will be available when filing.

1. No Results Returned

If your results show “No matching organizations were found,” your desired LLC is unique and available to use. When this happens, run a second search using part of your desired LLC name to confirm your results.

Example: Your desired LLC name is “John Doe.

  1. Your search results returned no results.
  2. Search again using the words “John” or “Doe” to confirm your results.

2. Your Exact LLC Name Appears

If your results return your exact business name, your desired LLC name is NOT available to use. In this case, an existing Kentucky business is using your desired business name.

In the sections below, I’ve discussed how to make your name unique and distinguishable. I suggest trying my recommended methods first before completely changing your name.

Example: Your search results show the name “John 3rd” in the search field and results table. Therefore, the name is NOT available to use.

3. The Results Show Names Not Too Similar To Yours

If your results show names that are not too similar, your desired LLC name is likely available to use.

Example: Your desired LLC name is “John A.” If your results show “John A. Berger,” your desired LLC name is likely available.

4. A Similar Name Appears In The Results

Your desired LLC name may NOT be available to use if your results return a very similar LLC name.

Example: Your desired name is “John’ Anderson LLC.

  • Your search returns “John Anderson, INC.
  • Your name may not be available.

You can NOT automatically prevent others from using the same or similar business name by reserving your desired name or filing your Articles of Organization documents. Furthermore, it does NOT grant you trademark protection.

When naming your Kentucky business, there are a few requirements set under KRS § 14A.3-010(3) that you must be aware of.

1. Comma Use 

You may file your desired LLC name with or without commas. The SOS will accept both versions.

Example: Your desired business name is “Grandpa Joe’s.” You can file it as:

  • Grandpa Joe’s LLC.
  • Grandpa Joe’s, LLC.

You can use several different designators if you don’t want to use “LLC”.

2. Required LLC Designator

Your LLC name must end with one of the following designators:

  • Limited Liability Company.
  • Limited Company.
  • LLC.
  • LC.

You can also use one of these permitted abbreviations:

  • “Limited” may be abbreviated as “Ltd.”
  • “Company” may be abbreviated as “Co.”

If you’re a Professional LLC, your name must end with one of these designators instead:

  • Professional Limited Liability Company.
  • Professional Limited Company.
  • PLLC.
  • PLC.

3. Prohibited Designators

Your desired LLC name must sound like an LLC. It can NOT sound like another business entity. Because of this, you can NOT use the following designators or abbreviations:

  • Inc.
  • Incorporated.
  • Corp.
  • Corporation.
  • Limited Liability Partnership.
  • Cooperative.
  • Non-Profit Corporation.
  • Non-profit.

4. Prohibited Or Misleading Language

Your desired LLC name can NOT contain language that states or implies that your business is formed for a purpose other than one permitted by governing law. When naming your LLC, your name can NOT suggest that you’re engaged in activities that are:

  • Unlawful.
  • Require regulatory approval or licensing that your business doesn’t have.

Example: Your LLC name should NOT include wording falsely implying that it’s a:

  • Government agency.
  • Regulated financial institution (e.g., “Bank”).
  • Licensed professional entity (unless organized as a Professional LLC).

5. Accepted Characters

Your Kentucky LLC name must use characters that the SOS’s system can reproduce and record. These include:

  • English letters.
  • Numbers (Arabic numerals 0–9).
  • Roman numerals.
  • Common typographical symbols (examples include punctuation and symbols such as !, @, #, %, >, &, *, (, ), -, +, “, ‘, :, ;, /, ?). 

6. Foreign LLC Names

Foreign LLCs must register in Kentucky using their real legal name under KRS § 14A.3-030. Your name must be unique and distinguishable compared to existing business names and also comply with Kentucky’s naming requirements.

Your Kentucky LLC name must contain characters that can be reproduced by the SOS’s system. This is generally the English alphabet and accepted symbols, as stated above. Foreign LLCs must adopt an English character version if their name is written using a non-English alphabet.

Furthermore, if your foreign LLC’s name is NOT unique and distinguishable in Kentucky, you need to adopt a fictitious (alternate) name before conducting business in the state. Your adopted name must also satisfy Kentucky’s distinguishability and formatting requirements.

Small Changes That Don’t Create Distinguishability

In the sections below, I’ve summarized some practical insights regarding small changes that won’t create a unique and distinguishable LLC name. These are according to the state’s guidelines. Read through these to ensure your desired business name is approved as quickly as possible.

1. Designator Changes

You can’t change your business suffix to make your desired business name unique. The state ignores LLC endings when checking name availability. For example:

  • Changing “LLC” to “Inc.,” “Corp.,” or “Company.”
  • Adding or removing words like “Partners” or “Group.”

Example: Your desired LLC name is “Acme Consulting LLC.”

The following names are NOT unique and distinguishable:

  • Acme Consulting Corp.
  • Acme Consulting Inc.
  • Acme Consulting Partners.
  • Acme Consulting Company.

2. Use Of Articles

The state will disregard words like “a,” “an,” and “the” when checking if your name is distinguishable. Therefore, adding or removing them won’t necessarily make your name available. 

Example: Your desired LLC name is “Carpet Universe LLC.”

The following names are NOT unique and distinguishable:

  • The Carpet Universe Corporation.
  • A Carpet Universe Inc.

3. Conjunctions

Using conjunctions (words/symbols that connect terms) is disregarded when determining distinguishability. Examples include “and,” “or,” and symbols such as “&,” “+,” “/”). Therefore, changing only these connectors usually won’t make your name unique.

Example: Your desired LLC name is “Run and Gun Enterprises LLC.”

The following names are NOT seen as unique and distinguishable:

  • Run & Gun Enterprises Company.
  • Run + Gun Enterprises Inc.
  • Run / Gun Enterprises Corp.
  • Run ‘N Gun Enterprises LLP.

4. Punctuation & Spacing

Using small formatting changes does NOT make your name unique and distinguishable in Kentucky. If you try to do this, your formation application will be rejected.

When determining if your desired name is unique and distinguishable, the state ignores symbols and punctuation. This includes: Commas (,), Periods (.), Apostrophes (‘), Quotation Marks (“), Dashes (-), Exclamation Points (!), and Question Marks (?).

Example: Your desired LLC name is “CD LLC.”

The following search result names would NOT be viewed as unique and distinguishable:

  • C-D LLC.
  • C & D LLC.
  • CD’s LLC.
  • C.D., Inc.

5. Possessive Words

You can’t create distinctiveness by changing a word to its possessive form (by adding an apostrophe + “s” or just an apostrophe). The state will disregard apostrophes (‘) when determining name availability. Therefore, possessive variations will NOT create a unique name.

Example: Your desired LLC name is “Blue Sky Consultant LLC.”

If the following names come up in your search results, your filing will be rejected if you try to use your desired name:

  • Blue Sky Consultant’s LLC.
  • Blue Sky Consultants’ LLC.

6. Capitalization

Capitalization differences (uppercase and lowercase letters) do NOT make your desired name distinguishable. The Kentucky SOS will NOT consider capitalization when determining name availability. 

Example: Your desired LLC name is “Riverstone Holdings LLC.

It’s NOT available to use if any of the following names are in your search results:

  • RIVERSTONE HOLDINGS INC.
  • RiverStone Holdings, Limited Co.
  • rIvErStOnE hOlDiNgS LLC.

What To Do If Your Kentucky Business Name Is Rejected

You don’t need to panic if your Kentucky Articles of Organization filing is rejected. You’ll be told the reason behind the rejection, allowing you to make the necessary changes when filing again.

You should file again using a variation of your LLC name or a different LLC name.

1. Do You Need To Reserve Your Kentucky Business Name?

You do NOT need to reserve your desired Kentucky LLC name before registering it with the state under KRS § 14A.3-020.

Once approved, your Kentucky LLC name reservation request stands for 120 days. You can file your Reservation or Renewal of Reserved Name (RES) request with the SOS for $15.

  • Your name reservation can be renewed for additional 120-day periods.
  • You must submit your renewal request 30-days prior to your expiration date.
