What Is The Iowa Business Name Search?

The Iowa SOS offers a free tool known as the Iowa Business Entity Search. This lets you compare your desired business name against businesses already registered in the state during a business name search in Iowa to see if your name is available to use.

Under the Iowa Uniform LLC Act §489.112, your name must be unique and distinguishable compared with existing business names already registered with the state. If you try to file your formation documents using an unavailable name, your filing will be rejected.

How To Interpret Your Iowa Entity Search Results

Here, I explain how to interpret search results. This should help you choose a unique and distinguishable business name before filing your Iowa formation documents.

1. No Results Found

If your search results show “Sorry, no results,” your desired LLC name is unique and available to use.

If you get this result, conduct a secondary name search using part of your desired LLC name. This should be done to confirm your initial results.

Example: Your desired name is “John Doe LLC.”

1. Your initial search returned “No Results.”
2. Confirm your results by searching again using the words “John” or “Doe.”

2. Your Exact Desired LLC Name Appears

If your exact desired LLC name appears in the results, your business name is NOT available to use.

In this case, think of a variation of your desired name to make it unique or choose a totally different one. I will explain how to make your name distinguishable in the sections below.

Example: Your desired name is “2700 MATTHEW JOHN, LLC.”

1. Your search results show the same name.
2. This name is NOT available to use.

3. Names That Are Not Too Similar Appear

If your search results show names that are NOT too similar, your desired business name is likely available to use.

Example: Your desired name is “Fastfood LLC”.

Your desired name is likely available if your results show “BLUE STAR FAST FOODS, LTD.”

4. A Very Similar Name Appears

Your desired LLC name may NOT be available to use if your results show a very similar name.

Example: Your desired name is “4648-JOHNSON LLC.”

Your name may NOT be available to use if your search results show “4648 JOHNSON, LLC.”

5. Fictitious Name

Your desired LLC name may already be registered as a fictitious name on the Iowa search results. However, you can still use it under state guidelines. This is because the Iowa SOS does NOT consider distinguishability when examining fictitious names.

Example: Your desired LLC name is “ABSTRACT AND TITLE SERVICES OF JOHNSON COUNTY LLC.”

1. Your name is listed as a fictitious name on the state records.
2. You need to search again to ensure that it’s NOT registered as another entity’s legal name.
3. If it’s NOT, your desired LLC name can be used.

6. Inactive Names

If you click on a business, you’ll be able to see its name history. If you find an inactive name, it may be available to use. However, you should run a second search to confirm that it’s NOT being used by another active business entity.

Example:

Your desired LLC name is “SHOWTIME PARTY SALES, INC.” The results show the name history of a former name listed as “AERO STAR PARTY SALES, INC.” with an inactive status.

• You may be able to use the name “AERO STAR PARTY SALES LLC” as the formed name is inactive.
• Make sure you perform a secondary search to confirm that no other active businesses are currently using the name before filing your formation documents.

Iowa LLC Name Key Requirements

You must follow these main rules when choosing your desired LLC name. These are set under the Iowa Uniform LLC Act §489.112 and some other sections.

The use of commas is irrelevant when choosing your LLC name. The Iowa SOS will accept both versions, regardless of whether you use them.

2. Required Designators

You must include a required designator (name ending) in your desired LLC name. This ensures that your business can be clearly identified as an LLC.

Use one of the following terms or abbreviations in your desired LLC name:

• L. L. C.
• LLC.

• LC.

You can abbreviate “Limited” to “Ltd.” Also, “company” may be abbreviated as “Co.”

If your business is a professional LLC, your name must contain one of these designators under the Iowa Uniform LLC Act §489.1103. These include:

• “Professional Limited Company.”
• “Professional Limited Liability Company.”
• “P.L.C.”
• “PLC.”
• “P.L.L.C.”
• “PLLC.”

3. Prohibited Designators

Your desired name has to clearly sound like an LLC to be accepted by the state. It may NOT sound like a different business entity.

The following designators or abbreviations can NOT be used when filing your formation documents:

• “Corporation” or “Professional Corporation.”
• “Incorporated.”
• “Professional Association.”
• “Limited Partnership,” “Limited Liability Partnership,” or “Registered Limited Liability Partnership.”

4. Prohibited Words

Your desired LLC name may NOT include words that may confuse your business with a government agency. Examples include “FBI,” “Treasury,” “State Department,” etc.

5. Restricted Words

Your business name can NOT include certain restricted words commonly used by regulated industries, unless you get approval from the appropriate state agency. This is stated under the Iowa Uniform LLC Act §489.112(5).

Examples include:

• “Insurance” (insurance-related businesses).
• “Bank” or “Trust” (financial institutions).
• “University” or “College” (educational institutions).

How To Make Your LLC Name Distinguishable

Under the Iowa SOS naming guidelines, you can alter your LLC name in different ways to make it distinguishable compared to existing business names on file.

1. Differences In Letters And Numbers

You can make your desired LLC name distinguishable by using different letters, numbers, or changing their arrangements. Under Iowa naming rules, even small variations can make your name unique.

• Use different letters or numbers to make your name distinguishable.
• Use a different sequence or order of letters/numerals.
• Add spaces to separate letters to create distinguishability.

Example:

• “MO MONEY LLC” is distinguishable from “MOE MONEY LLC.”

• “MO MONEY LLC” is distinguishable from “M O MONEY LLC.”

2. Plural Words And Singular Words

You can create distinguishability if your name differs in singular or plural word forms. Small changes, such as adding or removing an “s,” can make your name unique.

• “MO MONEY LLC” is distinguishable from “MO MONEYS LLC.”
• “CAT TECH LLC” is distinguishable from “CATS TECH LLC.”

3. Numerals

If there are differences between numerals, Roman numerals, and words that represent numbers, your name is considered to be “distinguishable.”

• “MO MONEY LLC” is distinguishable from “MO MONEY 5 LLC,” “MO MONEY V LLC,” and “MO MONEY FIVE LLC.”

Name Changes That Won’t Create Distinguishability

Under the Iowa SOS naming guidelines, you can NOT make your name unique or create distinguishability using minor changes.

 To avoid rejection, you should not rely on these small differences when choosing your name.

1. Changing Designators

Changing your business designators will NOT create distinguishability. The state won’t consider LLC endings when determining whether your name is available.

Example: Your desired business name is “John Doe LLC.“

If these names are on record with the Iowa SOS, your name will be rejected:

• “John Doe Inc.”
• “John Doe Corp.”
• “John Doe L.L.C.”
• “John Doe Limited Liability Company.”

If the state results show an exact name with a differently phrased “LLC” variation, your name will also be rejected.

2. Punctuation & Special Characters

Using different punctuation and special characters does NOT create distinguishability. Examples include: ‘ [ ] : , – – ! ( ) . * \ { } ^ @ ¢ $ = < > # % + _ ~

Example: 

• “MO MONEY LLC” is NOT distinguishable from “MO-MONEY LLC.”
• “MO MONEY LLC” is NOT distinguishable from “MO. MONEY LLC.”
• “AMERICAN PISTOLS, LLC” is NOT distinguishable from “AMER!CAN P!$TOL$, LLC.”

3. Capitalization

You can NOT create distinguishability by changing capitalization.

Example: 

• “JOHN DOE LLC” is NOT distinguishable from “jOhN dOE LLC.”
• “MO MONEY LLC” is NOT distinguishable from “Mo Money LLC.”

4. Swapping The Word “And” For “&”

Switching between an ampersand (&) and the word “and” does NOT create distinguishability. 

For example: 

• “SMITH & SONS LLC” is NOT distinguishable from “SMITH AND SONS LLC.”
• “JOHN & CO” is NOT distinguishable from “JOHN AND CO.”

What Should I Do If My Iowa Business Name Is Rejected?

If the state rejects your Certificate of Organization documents, they’ll notify you of the reason. This allows you to correct any issues before resubmitting your formation documents. You can revise your name to ensure it’s unique and distinguishable or choose a completely different one.

1. Do I Need To Reserve My Iowa Business Name?

Under the Iowa Uniform LLC Act §489.113, you’re NOT required to reserve your desired business name before officially registering it with the Iowa SOS.

However, you can make a name reservation to protect your desired name if you want. To do this, file an Application for Reservation of Name online using the Iowa SOS’s Fast Track Filing system. The reservation costs $10 and holds the name for 120 days.

2. What About If I Want To Use Another Entity’s Name?

Under the Iowa Uniform LLC Act §489.112(3)(6)(7), you may be able to use another entity’s name in certain situations:

• Your LLC has written consent from the other entity to use their name. The other entity must have agreed to change its own name to something distinguishable.
• Your LLC has a court order stating its legal right to use a specific name in the state.
• Your LLC has merged with another business.
• Your LLC was formed through another business reorganization.
• Your LLC has acquired all/the majority of another business’s assets. This includes its name.

If a business entity has been administratively dissolved, its name is generally NOT available for public use for five years according to naming guideline. The name may be used again once this period has ended.
