Everything You Need To Know About The Alaska Initial Report

The Alaska Initial Report form is a mandatory first filing for every newly-formed LLC operating in the state. Under AS 10.50.760(d), an Alaska LLC must file its first Biennial Report within six months of being formed.

As the first Biennial Report happens immediately following approval, it’s often referred to as the Initial Report.

Filing your Initial Report ensures that the Alaska Division of Corporations maintains accurate business information once your LLC is approved. This includes addresses and member details.

Note: Most domestic LLCs file the Initial Report. However, foreign entities do NOT need to file.

1. The Alaska Initial Report Fees & Due Dates

The great thing about the Initial Report is that filing is completely free ($0).

Your first Initial Report is due within six months of your official LLC formation date (The day that your Articles of Organization were approved by the Alaska Division of Corporations, Business and Professional Licensing).

Example: Your LLC was approved on January 10, 2026.

  • Your first Initial Report is due no later than July 10, 2026.
  • If your LLC was formed on September 2, 2026, your filing deadline is March 2, 2027.

2. Where Do You File Your Initial Report?

You can file your report online or send a hard copy by mail. The state strongly prefers that you use the online method as it’s much more efficient and easier to do.

I highly recommend you use the online filing method as well. However, I’ve described both methods so you can make your own choice.

  • Your Initial Report will be approved immediately if you submit online.
  • Your mail processing time is based on your postmark date.
  • Reports submitted from March to September are usually processed in 10–15 business days.
  • Reports submitted from October to February are processed in more than 15 days.

Note: Do NOT file using both methods. This will create a duplicate filing, which may slow down your approval process.

Navigate to the Alaska Department of Commerce, Community, and Economic Development website. On the Initial Report portal, complete your filing online or download the PDF form and send a hard copy to the state.

Filing online is the fastest and most efficient way to submit your Initial Report. It’s also highly preferred by the state as it reduces the chances of filing errors.

What You Need Before Filing:

These are the six main steps that you must follow to complete your filing:

1. Find The Online Filing Portal

Navigate to the Alaska Division of Corporations: Initial Report Online Filing portal to begin your online filing.

First, enter your LLC’s entity number, or search your LLC by name. Click “File online” once you’ve located your business in the search results.

2. Review And Confirm Your Entity Addresses

Next, review your LLC’s addresses on record (Mailing address and physical addresses). Make any necessary changes to ensure your records are kept up-to-date with the state.

Note: You cannot change your Registered Agent information when filing your Initial Report. You must file a Statement of Change and pay the required $25 filing fee if you need to update your information.

3. Add Your LLC Officials (Members)

After confirming or updating your business addresses, you must list your LLC member(s) in the next section.

Click “Add” to begin.

Enter the full name (First and last name) and mailing address of each LLC Member. Check the appropriate box in the “Titles” section. This will either be “Member” or “Manager.”

At the bottom of the page, state each member’s ownership percentage (As a number). For example, enter “50” instead of “50%.”

Once you’ve filled the required fields, click “Save.”

Click “Add” to add each additional member if your LLC has more than one. If not, proceed to the next step.

4. State The Name Of The Person Completing Your Online Application

Once you’ve added all LLC members, state the full name and contact phone number of the person completing your online application.

Check the box on the left-hand side to agree to the terms, then enter their first and last name and phone number in the required fields.

Click “Proceed” to move to the review page once you’ve entered the required information.

5. Review And Submit Your Filing

On the review page, click the “Review filing” PDF link to check your information.

  • Click “Return to filing” if you need to make any corrections.
  • Click “Proceed” if everything is correct. This will submit your Initial Report electronically.

Note: You can print or save this PDF for your business records.

6. Verify Your Filing Information

After submitting your report, the system should take around 30–60 seconds to process it.

Visit the Search Corporations Database and look up your LLC by entity number or legal name to verify your filing.

Then, select your entity number.

Scroll to the “Filed documents” section. Then, find the “Biennial Report” listing among your completed filings.

Once you’ve verified your online submission, your Alaska Initial Report is successfully filed.

How To File Your Alaska Initial Report By Mail

While the state prefers you to file online, you can also complete your Alaska Initial Report by mail. It takes a lot longer to process, but it is also straightforward to complete if you follow my steps outlined below.

I’ve split the mail filing process into 5 main steps:

1. Navigate To The Filing Portal

To begin, go to the Alaska Division of Corporations: Initial Report Online Filing portal.

Search for your LLC by your legal name or enter your LLC’s entity number (If you know it).

Click “Print file” to download your personalized Initial Report once you’ve located your LLC.

2. Open Your Personalized Form

Click the “Initial Biennial Report form” link to access your customized report. This form is generated specifically for your LLC, so it will already include most of your entity information.

3. Print The Form And Handwrite Your Information

Your personalized form can NOT be edited electronically. Therefore, you must print it as a PDF and handwrite the required information.

If no changes are needed, you can leave most sections blank. The only thing you’ll need to do is fill in the “Officials” section and sign the document.

Carefully review each section using the guidance below to complete your Initial Report filing by mail:

  • Entity addresses: Update your mailing and physical addresses if any information has changed.
  • Officials: List all LLC Members, including their name, mailing address, and ownership percentages. Tick the appropriate checkbox to indicate if they’re an LLC Member or a Manager.
  • NAICS code: Update your information if anything has changed.
  • Signature: Sign and date the form with your filing date. Then, write your name clearly in the designated field.

4. Mail Your Completed Form

Once completed, place your signed form inside an envelope and mail it to the following address:

5. Verify Your Filing

Finally, verify your filing using the Search Corporations Database. Search your LLC using your entity number or official LLC name.

Note: Processing takes approximately 10–15 days.

Look for “Biennial Report” in the “Filed documentssection to locate your filing.

Once verified, your Initial Report filing is complete. All you need to do now is wait for your application to be processed.

What Are The Risks Of Not Filing Your Initial Report On Time?

Missing your Alaska LLC Initial Report deadline can cause serious issues and consequences, even though the state has no specific late fees.

Your biggest risk is losing your good standing. If this happens, it becomes much harder for you to operate your business, access your banking services, and maintain your credibility in the state.

The state may eventually involuntarily dissolve your LLC if your Initial Report remains unfiled. Your Legal status is then revoked, and you can no longer operate in the state.

In this case, you can NOT legally operate until your status is reinstated. Alternatively, you may need to form a new LLC and start again.
