How To Use The Illinois Business Name Search Tool

The ILSOS’s Business Entity Search is also known as the Business Name Search or Business Entity Record. This tool is the state’s official online database for researching registered businesses.

Note: This tool doesn’t guarantee whether your LLC name will be approved or rejected. It’s meant only as a reference to check existing names.

To begin, go to the Business Entity Search website. From the main page, follow these steps.

Start by choosing “Keyword” as your search option. This is the most effective way to check LLC name availability. That’s because it searches all registered business names that contain your keyword, regardless of where it appears in the name.

Next, type your proposed LLC name into the “Start a New Search” field. Exclude entity designators (such as “LLC,” “Limited Liability Company,” or “L.L.C.”) as well as punctuation like commas, periods, and apostrophes. Make sure your search includes all business types and similar name variations.

Then, click “Submit” to review the results.

Note: Why can’t the search be by business name?

While it seems logical, this option only looks for close matches to the exact name entered. For instance, searching “Blue River LLC” might not return results like “River Blue Consulting LLC” or “The Blue River Group.”

How To Interpret The Results From The LLC Name Search In Illinois

1. No Results Found

If the business name search in Illinois shows no matches for your keyword, that’s a positive outcome. It indicates there’s no apparent conflict with existing business names.

To double-check, you can run additional searches using “Partial Word” and “Business Name.” If those searches also return no results, your LLC name is likely available.

Note: If you’re not prepared to file yet, you can reserve the name for up to 90 days with the ILSOS. All you need to do is submit Form LLC 1.15 to the ILSOS and pay the $25 reservation fee.

2. Similar Results That Are Clearly Distinct

Let’s suppose the results display business names that share a keyword with your desired name but differ clearly in structure or wording. In this scenario, your LLC name may still qualify in Illinois.

For example, you might want to register “Blue Haven Consulting LLC,” and the database lists “Blue Haven Capital” or “Blue Haven Cleaning.” These names are usually considered distinct because they’re unlikely to confuse the public.

3. Nearly Identical Or Matching Names

If the LLC name search Illinois returns a business name that is very close to your proposed LLC name, the state will reject it. They will see this name as not distinguishable from the existing business.

For instance, if a search for “Lakeview Advisory” shows “Lakeview Advisory LLC,” you can’t register that name.

When researching LLC name availability in Illinois, the entity status shown in the Business Entity Search directly influences name approval from the state.

Below is a summary of the main naming rules, which I have grouped by category.

1. Designators

Your Illinois LLC name should end with one of the following designators:

  • LLC.
  • L.L.C.
  • Limited Liability Company.

Names that suggest a different business structure are prohibited. These include designators such as:

  • “Corporation,”
  • “Corp.,”
  • “Incorporated,”
  • “Inc.,” “Ltd.,”
  • “Co.,”
  • “Limited Partnership,” or “L.P.”

2. English Alphabet Letters

Your LLC name may include only standard English letters (A–Z). Accents, special characters, and non-Latin alphabets are not permitted and should be removed or replaced before filing.

Examples:

  • “Summit Ridge LLC” follows guidelines, while “Sümmït Ridge LLC” doesn’t.
  • “Cafe Horizon LLC” is acceptable, but “Café Horizon LLC” is not.

3. Arabic Numbers And Roman Numerals

Illinois allows both Arabic numerals (0–9) and Roman numerals (such as I, V, and X) in LLC names.

For instance, “Highway 7 Logistics LLC” and “Studio IV LLC” would be acceptable names.

4. Permitted Symbols

An Illinois LLC name can include some specific symbols accepted by the ILSOS, including:

For example, “R&D Solutions LLC,” “A+ Consulting LLC,” and “Smith & Co. LLC” are LLC names that would be approved.

5. Restricted Terms

Illinois limits the use of words associated with regulated industries. Terms such as “bank,” “banker,” “banking,” “trust,” “trustee,” or “fiduciary” necessitate prior approval from the appropriate regulatory agency. Without authorization, filings that include these words will be rejected.

Examples:

  • “Lakeview Consulting LLC” is acceptable.
  • “Lakeview Bank LLC” or “Summit Trust LLC” needs regulatory approval.

6. Improper Names

Under Illinois Administrative Code § 178.190, an LLC name can’t include language considered offensive to good taste or public decency. This rule applies regardless of the language used.

Prohibited content comprises, but is not limited to:

  • Defamatory statements about individuals or groups.
  • Profanity.
  • Slurs related to race, ethnicity, gender, or sexual orientation.

How To Make Your Illinois LLC Name Distinguishable

To make your preferred LLC name unique, you need to understand what counts as sufficiently different. Illinois Administrative Code § 178.145 sets the requirements. These rules outline that only meaningful changes that alter the core wording or overall impression are usually accepted.

Below are common scenarios where Illinois generally considers LLC names too similar, along with strategies to make them acceptable.

1. Changing Designators

Illinois considers names indistinguishable if the only difference is the type of entity designator or its abbreviation. To stand out, modify the core wording of the name itself.

For example, if you want to name your LLC “Summit Advisory LLC”, you can’t use it if these names already exist:

  • Summit Advisory Inc.
  • Summit Advisory Co.
  • Summit Advisory L.P.

Another distinguishable option would be “Summit Advisory Group LLC.”

2. Punctuation

Illinois disregards punctuation and symbols when comparing LLC names. Adding hyphens, commas, slashes, periods, or decorative symbols doesn’t make the name unique.

For example, if “Brightline Consulting LLC” is already registered, these variations would be rejected:

  • Bright-Line Consulting LLC.
  • Brightline/Consulting LLC.
  • Bright Line Consulting, LLC.

An acceptable and unique alternative could be “Brightline Management Consulting LLC.”

3. Articles And Conjunctions

The state ignores common, non-descriptive words like:

  • The.
  • And.
  • For.
  • Or.
  • Of.

For instance, “Magnolia Trading LLC” is not distinguishable from:

  • The Magnolia Trading LLC.
  • A Magnolia Trading Company LLC.

To make your name unique, add a meaningful term that alters the commercial impression, such as “Magnolia Coastal Trading LLC.”

4. Pluralization And Possession

Switching a word from singular to plural or adding a possessive form doesn’t create a unique name. Illinois treats these as superficial changes.

For instance, “Riverstone Bakery LLC” is not viewed as distinguishable from “Riverstone Bakery’s LLC.”

Instead, add a descriptive word that changes the overall impression, such as “Riverstone Artisan Bakery LLC,” which would generally be approved.

5. Suffixes, Derivations, Or Word Variations

Using an identical root term with a different suffix, tense, derivation, or singular/plural form typically doesn’t make a name distinct. Instead, approval depends on how similar the names appear to the LLC assessor.

For example, if you suggest “Maple Works LLC”, it might be rejected if the following names exist:

  • Maple Working LLC.
  • Maple Workshop Inc.
  • Maple Workings, LP

A better option would be to replace the core word or add an unrelated term, like “Maple Horizon Studio LLC.”

6. Abbreviations Vs. Full Words

Using an abbreviation instead of a fully spelled-out word, or the other way around, doesn’t make an LLC name unique. The state may still view the names as too similar because they create an identical overall impression.

For instance, let’s take a proposed name like “Illinois Real Estate LLC.” This one may be seen as indistinguishable from existing names like “Illinois RE LLC,” “IL Real Estate LLC,” or “Illinois RE Co.”

In situations like this, “Illinois Property Advisors LLC” or “Prairie State Realty Services LLC” is more likely to gain approval.

What If Your Illinois LLC Name Is Rejected?

If the ILSOS denies your LLC filing, you’ll get a notice explaining the reason for the rejection. To proceed, you need to submit a new filing using a modified or completely different LLC name.
