How To Interpret Your Idaho LLC Name Search Results

There are 4 potential results when performing your LLC name search in Idaho. I’ve discussed how to correctly interpret the different results in the sections below. This allows you to choose a unique and distinguishable LLC name compared to business names already registered with the state.

1. No Results Found

Your desired LLC name is unique and available to use if your search results show “No results were found for…”

In this case, perform a second search using part of your desired LLC name. This allows you to confirm your results.

Example: Your desired name is “John Minnie Doe LLC.”

• Your search returned no results.
• Search again using the words “John Minnie” or “Minnie Doe” to confirm your results.

2. Your Desired LLC Name Appears Exactly

Your desired LLC name is NOT available to use if your results show your exact desired business name.

• It appears in your search results as the image below.
• You can NOT use that name.

3. The Results Show Names Not Too Similar To Yours

Your desired LLC name is likely available to use if your search results show names that are NOT too similar.

Example: Your desired name is “Johnnie LLC”. If your results show “JOHNNIE B’S LLC,” your desired LLC name is likely available.

4. A Very Similar Name Appears

If your results show a very similar name, your desired LLC name may NOT be available to use.

Example: Your desired name is “John Doe LLC”. Your search returns “John Doe’s”, then this name may not be available for filing.

4. Restricted Words

• “WIDGET WONDER, LLC” is distinguishable from “WONDER WIDGET, LLC.”
• “AMAZING WONDER WIDGET, LLC.” is distinguishable from “WONDER WIDGET, LLC.”
• “CAPITAL WIDGET GROUP, LLC” is distinguishable from “CAPITAL WIDGET, LLC.”

2. Internet Prefix & Suffix

Adding or removing internet prefixes or suffixes will make your name unique and distinguishable.

Example: 

• “PRECISE WIDGETS, LLC” is distinguishable from “PRECISEWIDGETS.COM, LLC.”
• “WWW.PROWIDGETS.COM” is distinguishable from “PRO.WIDGETS.COM.”

3. Foreign Words

Your desired LLC name can include foreign words, as long as they’re written using the English alphabet and meet the state naming requirements. This is set under the Idaho Administrative Code §34.04.02.100.05. Furthermore, foreign words will NOT be translated when determining distinguishability.

You have two main situations to consider:

a. LLC Name Uses English Alphabet Characters

Your LLC name is acceptable if it only uses English letters (A-Z). This applies even if the words are from another language.

Example: “Luz Verde LLC” (Spanish for “Green Light”).

When checking name availability using the Business Search tool:

• You only need to search for “Luz Verde.”
• You do NOT need to search the translated meaning (“Green Light”).

Because of this, “Luz Verde LLC” is considered to be distinguishable from “Green Lights LLC.”

b. LLC Name Uses Non-English Alphabet Characters

Your desired name can NOT be registered as it is if it contains characters NOT in the English alphabet. (examples include Korean, Chinese, Arabic, etc.).

In this case, you need to either:

• Choose a new name using the English alphabet.
• Transliterate (phonetically convert) your original name to English letters.

However, your new name must still be distinguishable from existing business names.

Example: A Korean company named “Hangang” must be transliterated to “HAN RIVER LLC.” This is distinguishable from”HAN GROUP LLC.“

Name Changes That Don’t Create Distinguishability

Under the Idaho Administrative Code §34.04.02.200, most minor changes will NOT make your business name unique and distinguishable from existing business entities on records. You must avoid using these changes if you don’t want your desired name to be rejected.

1. Designator Changes

You can NOT make your desired name unique and distinguishable by changing your business suffix. The state will ignore LLC endings when checking name availability.

Example: Your desired business name is “John Doe LLC.“

Your name will be rejected if these names are on record with the Idaho SOS:

• “John Doe Corp.”
• “John Doe Inc.”

2. Abbreviations

Special characters and abbreviations are viewed as the symbol or full word in your desired LLC name.

3. Numbers

Using words or Roman numerals for a number instead of Arabic numerals will NOT create distinguishability in Idaho.

• “THE DOE BROTHERS, LLC” is NOT distinguishable from “DOE BROTHERS, LLC.”
• “SMITH AND SONS, LLC” is NOT distinguishable from “SMITH SONS, LLC.”
• “BEST OF IDAHO SERVICES, LLC” is NOT distinguishable from “BEST IDAHO SERVICES, LLC.”

5. Punctuation And Spaces

You can NOT create distinguishability with differences in name punctuation and spaces.

Example: 

• “U.S.A. STEEL, LLC” is NOT distinguishable from “USA STEEL, LLC.”
• “PROWIDGETS.COM” is NOT distinguishable from “PRO.WIDGETS.COM.”
• “USA STEEL, LLC” is NOT distinguishable from “USASTEEL, LLC.”

6. Special Characters

Using different special characters does NOT create distinguishability in Idaho. Examples include: &, @, #, %, $, +, -, ., ,, !, ?, ‘, “, /, , *, and ( ).

Example: “AMERICAN PISTOLS, LLC” is NOT distinguishable from “AMER!CAN P!$TOL$, LLC.”

7. Plural Words, Singular Words, And Possessive Words

The addition or removal of the letter “s” to make a word singular, plural, or possessive will NOT create distinguishability.

Example: 

• “GOLDEN APPLE, LLC” is NOT distinguishable from “GOLDEN APPLES, LLC.”
• “BRIGHT STAR, LLC” is NOT distinguishable from “BRIGHT STARS, LLC.”
• “SMITH CONSULTING, LLC” is NOT distinguishable from “SMITH’S CONSULTING, LLC.”

8. Capitalization

You can NOT create distinguishability by using different typefaces, fonts, or cases.

Example: 

• “SISTERS’ DINER” is NOT distinguishable from “Sisters’ Diner.”
• “JOHN DOE LLC” is NOT distinguishable from “jOhN dOE LLC.”

What To Do If My Idaho Business Name Is Rejected?

It’s okay if your Articles of Organization are rejected. The state will inform you why your filing has been rejected. This allows you to make the required changes when filing again. If this happens, you can use a distinguishable variation or a totally different LLC name.

1. Should I Reserve My Idaho Business Name?

You do NOT need to reserve your desired Idaho business name before registering it with the state under I.C. §30-21-303.

If you want, you can make a name reservation before filing to protect it:

• Fee: $20 online or $40 by mail.
• Reserved time: 4 months (this can be renewed by filing again).
• Method: File an Application for Reservation of Legal Name with the Idaho SOS (this can be done online via SOSBiz or by mail).

2. Consent For The Use Of A Similar LLC Name
