You should be familiar with the legal and state regulatory processes when forming and running your LLC in Wyoming. This ensures that you operate according to state requirements and avoid potential operational restrictions and penalties.

1. Perform A Business Name Search
One of your first requirements to start an LLC in Wyoming is to choose a suitable business name.
This must be unique and distinguishable from existing businesses registered on the Wyoming Secretary of State database.
Use the Wyoming Business Entity Search tool on the Secretary of State’s website to check your desired name against existing business names. Furthermore, ensure that it follows Wyoming’s business naming requirements and regulations.
You can reserve your desired business name for 120 days by filing a Name Reservation application and paying a $60 filing fee. While optional, this helps secure your name as you prepare your formation documents.

2. Choose A Registered Agent
Under Wyoming Statute §17-29-113, all LLCs operating in Wyoming must choose an official Registered Agent to receive legal documents and official notices on behalf of your business.
- You can choose an individual who resides in Wyoming or a business entity authorized to operate in the state.
- They must have a physical Wyoming street address and be available to receive Service of Process during normal business hours.
- You cannot use a P.O. box. If you do, your filing will likely be rejected.
While you can serve as your own Registered Agent and save money, I highly recommend that you appoint a professional third-party Registered Agent service. This ensures that your LLC remains compliant and protects your personal details from harm.

3. File Your Articles Of Organization

You will be sent a stamped and approved Articles of Organization once your filing is approved by the state. This confirms that your business is legally registered and recognized as a separate business entity in the state.

4. Obtain An Employer Identification Number (EIN)
Once you’ve received your official approval notice, your next step is to obtain an EIN from the Internal Revenue Service (IRS).
This unique 9-digit business number identifies your LLC with the state. You need one to hire employees, file taxes, and open a dedicated business bank account.
I recommend that you apply online using the IRS website to receive your EIN immediately after completing your application. You can do it by mail, but this is significantly slower.
Once your application is accepted, you’ll receive an official EIN confirmation letter from the IRS. Make sure that you download and keep a copy alongside your official business records. I’ve attached an example of this letter below for your reference.

Note: You must file your application by mail or fax if you’re not a U.S. citizen. This is because you need a Social Security Number (SSN) or Individual Taxpayer Number (ITN) to use the online application process.
5. Create Your Operating Agreement
An Operating Agreement (OA) is a crucial internal business document that defines how your LLC will be governed and operated. Think of it as an important internal rulebook that sets the foundations for your daily business operations. Your OA should explain:
- How your LLC will be managed.
- The rights, roles, and responsibilities of all LLC members.
- How key decision-making processes are handled.

- How to admit new members, or what to do if someone leaves the business.
Note: You’re not legally required to have and maintain an Operating Agreement as an LLC in Wyoming. However, I strongly recommend that you create one as soon as possible once your Articles of Organization have been approved.
Having a legally-binding internal rulebook helps prevent potential conflicts and shows that your business operates as a separate legal entity.

6. Receive Your Business Licenses And Permits
You’re not required to get a general statewide business license when operating an LLC in Wyoming. However, you may be required to get specific local or professional business licenses depending on your location and industry. Without these, you won’t be able to operate lawfully in the state.
- You must register with the Wyoming Department of Revenue to obtain a sales and use tax license if you sell goods and taxable services. Apply using the Wyoming Internet Filing System for Business (WYIFS).
- You may be required to get a special state-issued or occupational license for certain professions. Examples include contractors, health care providers, and financial service businesses. Make sure that you confirm this with your local city or county clerk to see what licenses apply to your business.

How To Get An LLC In Wyoming: The Next Steps Once Your LLC Is Officially Formed
Your LLC is officially recognized as a separate business entity once you’ve received your approved Articles of Organization from the Wyoming Secretary of State. However, you must complete three additional steps before you can begin full business operations. These are equally important and should be done as soon as possible once you’ve received your formation documents.
1. Open Your Business Bank Account
Opening a dedicated business bank account separates your personal funds from your business debts and liabilities, helping maintain your limited liability protection. Furthermore, it prepares you for ongoing tax regulations and helps track your business expenses.
Note: Most banks, lenders, and investors will require your Articles of Organization, Employer Identification Number, and Operating Agreement when opening a business bank account or signing business contracts.
Some also require proof of your business address and an initial deposit to confirm funds. A business bank account helps build credibility when dealing with different clients and vendors.
2. File Your Annual Report
All Wyoming LLCs must file an Annual Report when operating in the state under Wyoming Statute §17-29-209.
This contains up-to-date business information and confirms that your LLC remains in good standing with the Wyoming Secretary of State.
Your Annual Report is due on the anniversary month of your formation date.
Example: Your business was officially registered on January 15, 2026.
Your Annual Report due date is on January 1, 2027, and every year thereafter.
The cost of filing your Annual Report is $60 or $0.0002 per dollar of company assets located and employed in Wyoming (Whichever is greater). This is also known as the License Tax.

- File your Annual Report online using the Wyoming Annual Report system or by mail.
- Online filings may include a small convenience fee (Based on your total license tax amount): $2.25 to $8.95.
- You cannot file your Annual Report online if your Annual Report Fee is greater than $500.
Filing your Annual Report on time keeps your LLC in good standing with the state and avoids potential late fees or administrative dissolution.
- You can file it up to 120 days before your due date.
- Your LLC will be administratively dissolved if you don’t file within 60 days after your due date.

3. Sort Out Your Annual Taxes
Wyoming is one of the few U.S. states that doesn’t require LLCs to pay State Income Tax. This means that your LLC does NOT need to pay State Income Taxes on business earnings in Wyoming. However, you may face other tax obligations depending on your business activity, structure, and location.
- You need to collect Sales Tax and obtain a Seller’s Permit if you sell products to consumers in Wyoming. This can be obtained from the Wyoming Department of Revenue (DOR).
- You and/or your LLC may need to file and pay Income Tax with your local municipality.
- You must submit payroll taxes if your Wyoming LLC has employees. These are essentially a group of filings and taxes.
Your payroll taxes include:
- Employee deductions.
- Federal Unemployment Taxes (FUTA).
- Federal Income Tax withholding.
- Local/county deductions.
- Medicare Tax.
- State Income Tax withholding.
- Social Security tax.
- State unemployment taxes (SUTA).
Your LLC is treated as a pass-through entity by the IRS. This means that, at the Federal level, profits and losses are reported on each member’s personal tax return.

- Multi-member LLCs: Submit an informational partnership return.
