2. Appoint A Utah Registered Agent
Utah law requires every LLC to designate and continuously maintain a Registered Agent with a physical street address in the state. Keep in mind that P.O. boxes aren’t permitted. This is outlined in Utah Code Ann. § 48-3a-111. Additionally, the Registered Agent needs to be available during regular business hours to accept official documents for your LLC.

The Registered Agent receives important legal documents, government communications, and state notices, including service of process. This role is essential, as missed documents can result in fines, loss of good standing, or even administrative dissolution.

Under the Utah Code Ann. § 48-3a-20, this foundational formation filing is the legal doc that officially makes your LLC a separate business entity. Until you’ve filed your Certificate of Organization with the Utah Division of Corporations and Commercial Code, you have no legal existence.

Get your formation filing completed and approved, and you’ll be able to begin some of your operational procedures. Just make sure that everything is correctly completed and pay the one-time $59 state filing fee, regardless of whether you file online or by mail.
When completing your formation docs, you’ll need to include your core business info to make sure it’s accepted. So, this includes your LLC’s legal name, full name and agent address, chosen management structure, and organizer details. Get all this in your form, and everything should go smoothly.
Luckily for you, online filings are commonly approved straight away, while mail applications take around 3 to 4 business days, once the state receives your docs.

4. Write Your LLC Operating Agreement
Think of this as your LLC’s internal blueprint, which clearly describes your ownership, management, and operational details. While it’s true that you’re not actually required to submit and maintain an agreement in Utah, I highly suggest otherwise, even if you’re a single-member LLC.
This crucial internal business doc protects your business and helps establish set rules between members. It’ll show banks that you’re a separate legal entity, help maintain your liability shield, and minimize conflict risk by helping members set clear expectations.
The great thing is that you can complete this step at absolutely no cost and get everything done within 1 to 3 business days.
If you want to get a high-quality agreement in place, make sure it states the core details regarding your operational and governance procedures. This should include member ownership percentages, profit and loss distribution methods, voting rights, procedures for adding/removing members, and your chosen management structure.
It’s really important that your agreement includes your chosen management structure. You can either be member-managed, where all owners take part in daily operations, or manager-managed, where members appoint one or more designated managers to handle everything.

5. Obtaining Your Utah Employer Identification Number
Your Employer Identification Number, or “EIN” for short, is a unique 9-digit federal ID given to you by the Internal Revenue Service (IRS). Without this, you won’t be able to complete your banking procedures, tax filings, and complaince obligations, making it a fundamental part of ensuring efficient operations.
Think of it as your business’s equivalent of your Social Security Number. You’ll need to file for one as soon as the state officially approves your LLC if you want to get off to the best possible start. Don’t get one, and you won’t be able to open a business bank account, hire employees, file federal tax returns, or build credibility with anyone.

You can get an EIN with one of two methods, depending on which situation applies to you:
a. Online application (U.S. applicants with an SSN)
b. Form SS-4 application (foreign-owned LLCs)

1. Open A Dedicated Business Bank Account
After obtaining your Employer Identification Number (EIN), one of the first actions you should take is opening a business bank account. This account is specifically for your Utah LLC.
