How To Start An LLC In Maryland

First things first, you must pick a suitable business name. It’s got to be unique and distinguishable from existing business names to be available.

Choose one that’s the same or too similar, and your formation docs will likely be rejected.

Use Mayland’s Business Entity Search before submitting your Articles of Organization to check your desired name against existing businesses.

Note: Your name also needs to meet the state’s naming requirements. Read my blog on the Maryland LLC Name Guide to learn more about the set rules and search process.

2. Choose An LLC Registered Agent

With a suitable name in place, time to focus on your Resident Agent requirements.

Note: The official term in Maryland is “Resident Agent.” However, “Registered Agent” is also commonly used. I’ve used “Registered Agent” throughout my article to keep things simple.

This is an individual or business entity that you appoint to receive and process official state regulatory docs and legal notices on behalf of your business. You must appoint an official agent in Maryland according to the Maryland Corporations Code §4A–210.

Make sure they fulfil two main requirements:

  • Must be available during normal operating hours.
  • They’ll need to maintain a physical Maryland address. This can’t be a P.O. box.

Who can be your Registered Agent? You actually have 3 choices:

  • Yourself.
  • A trusted friend or family member.
  • A professional third-party Registered Agent service (recommended).

Your agent’s name and address become part of the public record. While you’ll save money by appointing an individual, it’s not worth the risk. Use a professional service, and you keep your sensitive personal info off the public record. I highly recommend doing this.

3. Submit Your Maryland LLC Articles Of Organization

To do this, you need to complete and file your Articles of Organization with the Department of Assessments and Taxation. These crucial formation documents officially create your Maryland LLC under the Maryland Corporations Code §4A–202.

4. Draft Operating Agreement

You don’t actually have to file or even complete an agreement in Maryland. Even so, it’s a smart move to have one in place. It protects you. This internal contract binds your LLC members together and locks down the day-to-day ground rules. Having these ground rules prevents ugly disputes down the line and proves your company is organized properly from day one.

Choosing the right setup is your next move. You’ve got to make sure your paperwork accurately reflects your chosen management structure to be effective. Pick between two main options:

  • All members take responsibility for daily operations and major business decisions in a Member-managed LLC. It’s a structure that works great for small businesses.
  • You can appoint one or more managers to oversee everything instead. This Manager-managed LLC route makes a lot of sense if members want to take a passive investor role.

5. Obtain Your Maryland LLC EIN

Note: This may be referred to as an “FEIN” or a “Federal Tax ID Number.” Each term refers to the same thing, so don’t worry if you see different ones appearing. I’ve stuck to “EIN” to make things easier to understand.

This is your main federal operating obligation in most cases. An Employer Identification Number (EIN) is a unique 9-digit federal ID number given to your business by the Internal Revenue Service (IRS).

Think of it as your Social Security Number (SSN) but for your LLC.

You’ll be pretty stuck without this in place. Forget about opening a dedicated business bank account, hiring employees, submitting taxes, or even applying for certain licenses and permits.

Once confirmed, you’ll get an EIN Confirmation Letter and be good to go.

One important thing to bear in mind here. Don’t apply for your EIN until your Articles of Organization are approved by the SDAT. Your business names need to match, so get this sorted first.

If not, you’ll likely face filing delays and rejections. Not what you want at all.

You have 2 ways to obtain your EIN:

6. Obtain The Required Business Licenses

The good news? There’s NO general business license requirement in Maryland. Therefore, your main license requirements primarily depend on your chosen operating location and industry.

To learn whether you need a license at all, you’ll need to contact the relevant state, city, and county agencies. Just make sure that you check the relevant application and renewal fees, as each agency sets its own fee schedule.

7. Obtain Maryland Sales Tax License (If Applicable)

With your required business licenses in place, all that’s left to do is check your Sales Tax License requirement. Here’s how to do it.

If you sell tangible personal property in the state, you’ll need to get a license from the Maryland Comptroller under the Maryland Statutes §11–702.

Note: You need a license regardless of whether you sell products online or in a physical location in the state. You can’t escape this.

Start by registering for business tax with the Comptroller. You’ve got three main methods to choose from, each with different processing times. Note that each one is completely free.

What To Do After Your Maryland LLC Is Formed

After completing your initial formation and operational steps, your job isn’t done just yet. You’ll need to complete some additional complaince procedures to keep active and in good standing. Here’s what to do.

1. Open A Dedicated Business Bank Account

First up, open a dedicated business bank account.

This is an important step. Once operational, it helps ensure smooth accounting and record-keeping processes as you grow your LLC.

That’s not all. Having a business account in place helps maintain your personal liability protection, which is one of the biggest benefits of having an LLC. Your business assets are kept separate from your personal finances, which protects you against potential lawsuits.

There are a few things you need to have in place first. Make sure that your Articles of Organization, EIN, and Operating Agreement (if required) are complete.

2. File Your Annual Report & Business Personal Property Return

Under the Maryland Tax-Property Code § 11-101, every LLC operating in the state needs to file to maintain complaint. This mandatory document keeps the state up to date with your current business details.

If you lease, own, or use business property in the state, you’ve also got the Personal Property Tax to worry about. Some common examples include tools, furniture, equipment, and electronics.

So, your Annual Report is due by April 15 each year. The first one is due the year following your approval.

If I put these rules into practice, your first one is due by April 15, 2027, if your LLC was approved anytime in 2026.

The Annual Report fee is $300 regardless of your chosen method and may increase depending on your Personal Property Tax Return.

You’ve got two main options when it comes to filing your report and tax return.

  1. Online using the state’s Business Express page.
  2. By mail with the state’s official forms and instructions. 

One tricky thing to note here. The paper form gets updated each year, so I can’t give you exact form instructions. Don’t worry. The main content is the same.

This being said, filing your Personal Property Tax Return can be quite complicated. Here’s what I recommend:

  • You should file online if you ONLY need to deal with the Annual Report. It’s easy to complete, and you can do it yourself in most cases.
  • Get help from an accountant if you need to file the Annual Report AND the Personal Property Tax Return.

3. Renew Your Required Business Licenses & Permits

In Step 6, I discussed your potential business license and permit obligations. Getting them in place is only half the battle.

They’ll need to be renewed on time to avoid fees, penalties, and business disruption. Don’t forget this.

4. Pay Your Required Taxes

Don’t forget about paying your required taxes. You’re taxed by the IRS based on your official classification.

  • Single-member LLCs are taxed via the owner’s personal tax return.
  • Multi-member LLCs are taxed as Partnerships by default. Therefore, profits and losses pass through to the members.

Prefer something different? You can elect to be taxed as an S-Corporation or C-Corporation once you’ve filed the correct forms with the IRS.

You’ll benefit from pass-through taxation as an S-Corp, while C-Corps allow you to return earnings, but you may face double taxation.

Alongside your federal taxes, you’ll need to file any required state and local income taxes annually.

Note: It’s an excellent idea to work with a professional accountant when completing your required tax returns. I can’t overstate the importance of doing this. They’ll help you complete everything correctly and ensure you stay on track.

Your baseline cost to officially get your Maryland LLC off the ground is $100, which covers the standard Articles of Organization fee.
