Think of this as your foundational LLC filing that gets your business officially recognized. This costs you $175 and takes around 10-15 business days to be approved.
Maine is a unique state when it comes to the document-filing process. Unlike other U.S. states that give you a handy online dashboard, you must file your Certificate of Formation by mail. Definitely something to keep in mind.
It can feel overwhelming when forming an LLC yourself. But don’t worry, I’m here to show you how to start an LLC in Maine by explaining each step you need to take.

How To Start An LLC In Maine

1. Choose Your Desired Business Name
Your first task when forming your Maine LLC is to choose your desired business name. Think of this as the foundational requirement before you even think about filing any documents.
For your desired business name to be available in the state, it needs to be unique and distinguishable from existing business names. Under the Maine LLC Act §1508(2), two businesses can NOT have the same name. Things would get confusing if they did.
Luckily for you, the state offers a useful Corporate Name Search tool, where you can check your name against existing business names already registered.

It’s not enough to just make your name distinguishable. You need to follow certain rules and regulations set out by the state. While this sounds frustrating, it’s easy once you understand them. I suggest reading my guide on the Maine Business Name Search to get you started.
2. Appoint An Official Registered Agent
A Maine Registered Agent is an individual or business entity that receives and processes important state documents, legal filings, and service of process on your behalf. They’ll work alongside your LLC to ensure everything runs smoothly.
Under the Maine LLC Act §1661, you must appoint and maintain an agent if you want to operate legally in the state.

You have a few options to choose from here. You can appoint yourself, an individual such as a friend or family member, or a professional Registered Agent service. The main thing you need to worry about is making sure that they can maintain a physical Maine street address and be available during normal operating hours.
Many business owners go with a professional service when choosing their Registered Agent. While you’ll need to pay for one, I believe they’re very worth it for several reasons.
With your agent’s name and address being listed on the public records, appointing a professional service stops your personal details from being searched via the Corporate Name Search.

Your agent also ensures that your documents are correctly received and processed, allowing you to focus on growing your business without having to worry about potential penalties and fines.

3. Complete Your Certificate Of Formation Filing

Now that you’ve got your desired business name sorted and your Registered Agent in place, it’s time to officially form your LLC. To do so, you need to file a Certificate of Formation with the Maine SOS. This is set under the Maine LLC Act §1531.

Important: Unfortunately, Maine does NOT offer an online filing option. Because of this, you’ll need to file your formation documents by mail, which means that your processing time is a lot longer.
You must pay $175 for the standard processing option if you’re happy for your documents to be approved within 10-15 business days.
If you can’t wait and you really need to get your business off the ground, you can use an expedited processing option. Here are several processing options for you to choose from:

4. Create Your LLC’s Operating Agreement
Even though your LLC is officially formed, there’s still a lot of work to do. How does your business operate? What do your LLC members do? How will profits and finances be divided?
This is where the internal Operating Agreement comes in. It answers each of these questions and ensures that your business can operate as intended.
Because an Operating Agreement is considered to be an internal business document, you’re not required to file and maintain one under the Maine LLC Act §1521. Despite this, I highly recommend doing so! Think of it as your foundational business rulebook that all members can refer to when things become tricky.

You hopefully don’t need to worry about this, but having an agreement in place can help if you even end up in court. The reason being? It offers proof that your business is being properly run. Alongside this, you may need to show banks your agreement when opening a dedicated business bank account.
One of the most important aspects of your agreement is ensuring that you clearly define your management structure. This helps govern your business operations and keeps everything running smoothly.
- In a member-managed LLC, all LLC members are involved in daily operations and decision-making processes.
- In a manager-managed LLC, members appoint one or more managers to handle important business operations while the other members act as passive investors.

You’re perfectly within your rights to draft your own agreement. However, I know that this takes a long time, especially when you need to find the resources and search through the examples on the internet.

5. Acquire Your EIN
Now that you’ve got your internal operating procedures in place, you should shift your focus to obtaining your EIN. This unique 9-digit federal identification number will be issued to you by the Internal Revenue Service (IRS).
If you want to be fully operational, you must get your EIN. Why is this the case? Well, you need one to open a dedicated business bank account, identify your business when filing federal taxes, and apply for your required business licenses and permits.
Note: You must make sure that your LLC is officially formed before applying for your EIN. If you don’t, you’ll create a whole host of issues, including potential filing delays and rejections.

It’s completely free to get your EIN as long as you use the official IRS website. While you can use a third-party website and pay a small fee, I wouldn’t recommend it.

While obtaining your EIN is simple enough, you don’t have the freedom to choose any method at your disposal. Your U.S. residency status determines the best one to use from the online portal or paper filing methods.

6. Obtain Your Required Business Licenses
Important: So, the good news is that Maine has NO general business license requirement.
The bad news? You have to determine your license requirements based on your business activities and operating location.
You can get your business licenses by contacting the relevant state, city, or county agencies. Make sure you also check your application and renewal fees, since each agency sets its own fee schedule.

7. Register For Your Sales Tax Account (If Applicable)
You need to register, collect, and remit Sales Tax if you’re subject to the requirements set under the Maine Statutes §1754-B.
To do this, you first need to obtain a Sales Tax Account from the Department of Administrative and Financial Services. This is also known as a Registration Number, Retailer Number, Sales Tax Number, or Reseller Certificate. They refer to the same thing.

The great news is that your Maine Sales Tax account is completely free to set up, regardless of your chosen filing method. To register your business, you can either use the online Maine Tax Portal or submit the Application for Tax Registration by mail.
Generally speaking, the online filing method is usually the quickest. You’ll get your Sales Tax Number within 1-2 days if you apply online, or within 20 business days if you file by mail.
If you choose the latter, the state will send a letter via mail containing your Reseller Certificate once it’s been approved.

How To Maintain Your LLC In Maine
Forming your LLC in Maine is only part of the puzzle. You must complete several additional maintenance tasks to keep your LLC active and in good standing.
1. Open A Dedicated Business Bank Account
One of your biggest priorities once you’ve formed your LLC should be to open a business bank account. It makes your accounting and record-keeping much easier to manage, as it stops your personal transactions from getting mixed up with your business. This ensures that you maintain your personal liability protection, which is one of the main reasons to form an LLC in the first place.
2. File Your LLC’s Annual Report
The Maine LLC Annual Report is an important business document that keeps the SOS up-to-date with the business information of all operating LLCs. You need to make sure this is filed once a year under the Maine LLC Act §1665 if you want to maintain your good standing.

Maine keeps things simple by charging an $85 filing fee, regardless of your chosen filing method. You can file online using Maine’s online Annual Report filing service and get your filing approved immediately, or print your Annual Report from the Maine Annual Report page, submit it by mail, and get your documents approved in 1 to 2 weeks, plus mailing time.
Your report must be submitted no later than June 1 every year, but you can file it from January 1 if you want to get organized. Don’t worry, though, your first report isn’t due until the year following your LLC’s formation.
For example, let’s say that you formed your LLC on March 20 2026, your first report isn’t due until June 1, 2027, and you can file it as early as January 1, 2027.

3. Renew Any Required Business Licenses
The good news is that Maine has NO statewide business license renewal requirements or fees. This is because the state has NO general business license requirement.
Even so, you may need to obtain occupational and/or local licenses from your city, state, or county agencies to legally operate. Each may have its own renewal requirements, which can make things a little complicated.
My advice? Make sure you renew these on time to keep your business licenses active and avoid potential penalties and fines.
4. Pay Your Required Taxes
Note: I can’t overstate the importance of working with a professional accountant when completing your tax return. They’ll make sure that everything is completed correctly when handling your tax obligations.
You don’t need to pay federal taxes as an LLC. Instead of this, your LLC members will pay the taxes for the LLC. In other words, owners must pay taxes for the LLC as part of their personal tax returns.
So, how will your LLC be taxed? By default, you’ll be taxed by the IRS based on the number of LLC owners:
- Single-member LLCs are taxed like sole proprietorships.
- Multi-member LLCs are taxed like partnerships.
If you want to be taxed differently, you can speak to the IRS and complete the required forms to be taxed as a C corporation or an S corporation.
Keep in mind that you’ll likely need to pay state and local income taxes alongside federal ones. Taxes aren’t fun, but they need to be completed to keep operating legally.
