How To Start An LLC In Kentucky

You must complete 7 essential steps to form your LLC in Kentucky. I’ve discussed each one in the sections below so you can better understand how to form an LLC in Kentucky in no time at all.

1. Choose A Suitable Business Name

Under KRS (Kentucky Revised Statutes) 14A.3-010(1), your Kentucky LLC name must be unique and distinguishable from existing business entities registered in the state. Your Articles of Organization formation documents will be rejected if this isn’t the case.

2. Appoint A Kentucky Registered Agent

Every Kentucky LLC operating in the state must appoint and continuously maintain a Registered Agent under KRS 14A.4-010. You can appoint an individual or business entity to receive and correctly process important state regulatory notices, legal filings, and service of process on behalf of your business.

Your Kentucky Registered Agent must meet the following requirements:

  1. Have a physical Kentucky street address (you can NOT use a P.O. box address).
  2. Be available during normal business hours to receive and process important documents.

You can choose between two main options when appointing your Registered Agent in Kentucky, provided that they meet the requirements above:

  • A non-commercial individual agent: Yourself, a trusted friend, or a family member.
  • A commercial Registered Agent service.

Appointing an individual as your agent is completely free. However, it creates several privacy, availability, and compliance issues. Your agent’s personal details become part of the public record once appointed, which exposes them to identity fraud as an individual. Furthermore, your agent needs to be available during normal operating hours. If using an individual, this can be difficult to manage.

Because of this, I highly recommend using a professional Registered Agent service. This protects your personal details and ensures you remain compliant when operating. In most cases, a high-quality agent costs $150–$199 per year.

  • Your personal details are kept off the Kentucky public record.

3. File Your Articles Of Organization Formation Documents

You must file your Kentucky Articles of Organization with the SOS to become a legally recognized business entity. This is stated under KRS § 275.020, and it is your main Kentucky LLC registration requirement.

Choose between 2 main filing methods:

  1. Online: Using the official FastTrack Online Filings System.
  2. Paper form: Complete the Articles of Organization (KLC) form. You can send your paper form by mail or in-person at the SOS’s office.

It generally takes 1-3 business days to process online filings. Mail filings take around the same time + manual handling. In-person filings should be approved immediately.

Your Articles of Organization formation documents require you to pay a one-time filing fee. This is $40 for domestic LLCs and $90 for foreign LLCs, regardless of whether you file online or by paper. Once approved, you need to file a stamped copy with your local county clerk and pay a $9–$15 fee.

This brings your total filing cost to $49 to $55 for domestic LLCs and $99 to $105 for foreign LLCs.

4. Complete Your LLC Operating Agreement

You’re NOT required to complete and maintain an Operating Agreement when operating as a Kentucky LLC under KRS 275.175, unless you’re a non-profit LLC with no members.

Despite this, I highly advise creating and maintaining an Operating Agreement before beginning full business operations, regardless of your LLC management structure. Having one in place officially establishes your LLC’s internal rules and outlines how your business will be operated and managed.

Your Operating Agreement needs to clearly state your LLC’s management structure:

  1. Member-managed LLCs: Every LLC member is responsible for daily business operations and business decisions. This is best-suited to smaller LLCs.
  2. Manager-managed LLCs: All LLC members appoint one or more LLC managers to make business decisions and oversee daily operations. Other members act as passive investors.

5. Obtain Your EIN

An EIN is a unique 9-digit federal identification number issued by the Internal Revenue Service (IRS). It identifies your business for compliance and federal tax purposes.

You can use the official IRS website to obtain your EIN for free. Third-party websites may charge a small application fee. However, I don’t recommend using them.

You must get an EIN when operating as an LLC in Kentucky to:

  • File any required federal tax returns.
  • Manage LLC payroll and hire employees.
  • Open and maintain a dedicated business bank account.
  • Apply for any applicable Kentucky licenses and permits.

Note: Make sure you get your LLC Articles of Organization documents officially approved by the Kentucky SOS before applying for your EIN. You must be an existing legal entity in the state before the IRS will issue you an EIN.

To apply for your EIN in Kentucky, you have two main application methods. The best one depends on your U.S. residency status. I’ve discussed both methods in the section below.

6. Complete Your Required LLC Tax Registrations

Every Kentucky LLC operating in the state must file a Kentucky Tax Registration Application – Form 10A100(P) with the Kentucky Department of Revenue. This ensures that you can legally operate in the state and file and remit your required LLC taxes.

Your registration process is free ($0). Use the MyTaxes.ky.gov portal to complete your online filing or download the paper application and submit it by mail.

These are the estimated processing times:

  • Online: 5 to 10 business days.
  • Mail-in: Up to 3 weeks.

7. Acquire Your Mandatory Business Licenses And Permits (Varies)

Note: The state of Kentucky has NO statewide general business license requirement. Therefore, your licensing obligations are primarily determined by your business location and chosen industry.

Because of this, your Kentucky licensing costs are widely varied. In general, your fees range from $50 to over $1,000. Once completed, the approval process normally takes 1–4 weeks.

After you’ve obtained your licenses, they must be renewed periodically. Your renewal fees range from $25 to several hundred dollars.

In some cases, Kentucky LLCs do NOT require any licenses or permits. In this case, the total cost is $0.

You should check the specific requirements and fees with your local and state regulatory agencies first so you can better manage your budget.

What To Do Once Your Kentucky LLC Is Approved

You need to complete several post-approval procedures before your LLC can become fully operational. Once complete, you can legally operate and maintain your good standing in the state.

1. Open A Dedicated Business Bank Account

Your first step after becoming approved and operational is to open a dedicated business bank account. Doing so helps preserve your limited liability protection by showing clear separation between your personal assets and business finances. Alongside this, it improves your bookkeeping processes and financial clarity when operating.

2. Complete Your LLC Annual Report Filing

Under KRS 275.190, every LLC operating in Kentucky must file an Annual Report once a year. This provides the state with up-to-date business information and ensures your LLC remains active and in good standing on the official state registry.

You need to pay a $15 Annual Report filing fee, regardless of your chosen filing method.

You can choose between three main LLC Annual Report filing methods:

  1. File online via the Annual Report Filing Entity Selection page.
  2. Print your report and file it by mail or in person at the SOS office. Use the Business Entity Search tool to do this.
  3. File by mail using your reminder postcard.

You must pay an additional $10 fee if you change your Registered Office, Registered Agent, or Principal Office. Your additional fee is $20 if you change both.

Once complete, your processing time depends on your chosen filing method:

  • Online filings: Your filing is processed immediately.
  • Mail filings: Your processing time ranges from 1 day to 1 week. This depends on the SOS’s current workload.

You must file your Kentucky LLC Annual Report once a year between January 1 and June 30. Your first report is due in the year after your LLC is officially formed.

3. Manage Your Kentucky LLC Tax Requirements (Varies)

Once you’ve registered with the Kentucky Department of Revenue, you must meet your ongoing tax obligations. These depend on your business location and activities.

Note: I advise working alongside a professional accountant when conducting business activities in Kentucky. They’ll ensure everything is completed properly and handle your mandatory tax obligations.

a. Federal Taxes

Your Kentucky LLC may need to pay several types of tax at the federal level:

  • Federal income tax: Depending on your LLC’s tax treatment.
  • Payroll taxes: Applied to LLC members running your business.
  • Self-employment taxes: Required if your LLC has employees.

b. Kentucky State Taxes

Alongside your federal taxes, you may need to pay state-level taxes. Your requirements depend on your business earnings and activities.

  • Limited Liability Entity Tax (LLET): This tax applies to most LLCs. 
  • Pass-Through Entity (PTE) Tax: An elective 4% tax applies to net income for partnerships and multi-member LLCs.
  • Income Tax: As pass-through entities, income is reported on members’ personal tax returns.
  • Sales and Use Tax: A 6% rate applies to retail sales and some services.

c. Local Taxes

Your Kentucky LLC may also need to pay local taxes. These are imposed alongside your state-level and federal taxes and are controlled by the cities and counties in which you operate:

  • Occupational License Tax: This applies to business net profits or gross receipts to fund local governments.
  • Payroll Withholding Tax: A local tax withheld from employee wages to support city or county services.
  • Tangible Personal Property Tax: You’re taxed on business equipment and property to fund local jurisdictions.
