Once formed, business owners can take advantage of liability protection and flexible management structures. Alongside this, the state supports small businesses via its accessible resources and stable economic landscape.
Your first step when starting your Iowa LLC is to file your Certificate of Organization with the Iowa Secretary of State (SOS). To do this, you need to pay a $50 filing fee to submit your filing online or by mail. Furthermore, you need to complete additional formation steps before your business can legally operate in the state.
In this article, I will take you through the steps required to form your LLC in Iowa. You’ll learn how to start an LLC in Iowa, the required fees, expected processing timelines, and ongoing requirements that must be completed to maintain your business.

How To Start An LLC In Iowa Online: A Step-By-Step Guide

1. Choose A Compliant Business Name
Under Iowa Uniform LLC Act §489.112, your LLC name must be unique and distinguishable compared to existing business names already on record in the state.

Conduct a name search using the Iowa Business Entity Search to check if your desired LLC name is available to use. This allows you to check your name against existing business names already registered in the state.

Important: This is only a preliminary search. The final decision will be made by the Iowa SOS when filing your Certificate of Organization. Therefore, your name could still be rejected, depending on when you file.

2. Choose A Suitable Registered Agent
Under Iowa Uniform LLC Act §489.115, every LLC operating in Iowa must appoint and continuously maintain a Registered Agent.

Your Registered Agent’s main job is to receive and process important state regulatory documents, legal filings, and service of process on behalf of your business.
Your agent must meet 2 main requirements:
- Maintain a physical state address. This can NOT be a P.O. box.
- Available during normal operating hours to receive important state documents and legal notices.
You can choose between three main options when appointing your Registered Agent:
- Yourself.
- A friend or family member.
- A professional Registered Agent service.
If you choose to appoint an individual, you do NOT need to pay any fees. However, your LLC may face significant operational risks. For example, your LLC may miss important legal documents and state notices, resulting in fines, penalties, and loss of good standing.
Because of this, many LLC owners choose to hire a professional Registered Agent service. They’ll reliably receive and process important state notices and service of process.
Alongside this, your agent’s name and address become part of the Iowa public record once your formation documents have been approved. If you appoint an individual, this creates several privacy risks. 3. File Your LLC Certificate Of Organization

You must file your Certificate of Organization with the Iowa SOS to officially form your LLC under the Iowa Uniform LLC Act §489.201.

This requires a one-time filing fee of $50 for both online and mail submissions.
Your processing time depends on the filing method that you choose:
- Online via Fast Track Filing: 1 business day.
- Paper filing by mail or in-person: 2 to 3 weeks + mailing time.
When filing your Certificate of Organization in person, you can pay an additional fee for an expedited service. These must be paid on top of the standard state filing fees:
- Two business days: $50.
- Five business days: $15.
Note: I recommend filing online to get your Certificate of Organization documents approved in 1 business day. If you file this way, you won’t need to pay extra for the expedited service.
Iowa is different from other U.S. states. It does NOT provide an official pre-made Certificate of Organization form. You need to create your own document, as long as it includes the required information under Iowa Uniform LLC Act §489.201.

4. Create Your Operating Agreement
An LLC Operating Agreement is a foundational internal business document that governs how your business will be run, operated, and managed. It defines how your LLC will be structured, how profits and losses will be distributed, and how decisions will be made.
In other words, your Operating Agreement shows who owns your LLC and how it is governed and operated at every level.
You’re NOT required to adopt and maintain an Operating Agreement in Iowa under the Iowa Uniform LLC Act §489.105. Therefore, you do NOT need to file it with the SOS or any other official agency.

Despite this, I advise that every Iowa LLC should complete and maintain a high-quality Operating Agreement, even if you’re a single-member LLC. This is because:
- It helps prevent internal member disputes when operating.
- You may need an Operating Agreement to open a dedicated business bank account.
- It provides evidence that your LLC is properly operated, which can be important in legal situations.
Under Iowa Uniform LLC Act §489.102(19), your agreement can be written, oral, or implied. However, I highly recommend having a written agreement in place for stronger legal enforceability.

Since the Operating Agreement governs how your LLC operates, it must clearly define your management structure:
- A member-managed LLC: All LLC members participate in daily business operations and decision-making processes.
- A manager-managed LLC: Members appoint one or more LLC managers to handle daily business operations. Other members act as passive investors.

5. Acquire An EIN
An EIN is a unique 9-digit federal identifier issued by the Internal Revenue Service (IRS). It’s used to identify your business for federal tax purposes.
Obtaining your EIN is completely free and can be done directly via the official IRS website.
You will need an EIN to complete the following business operations:
- Opening a dedicated business bank account.
- Hiring LLC employees.
- Obtaining any necessary business licenses.
- Filing your required federal and state taxes.
Note: Your LLC must be officially formed before you can apply for your EIN. If you try to apply beforehand, your application will likely be delayed or rejected.

6. Obtain Your Required Iowa Business Licenses
An Iowa business license is a legal authorization allowing your business to operate legally in a specific industry or location.
Important: The state of Iowa does NOT require LLCs to obtain a general business license at the state level. Therefore, your licensing requirements depend on your operating location and chosen industry.
To determine whether your LLC needs a business license, I recommend contacting the relevant state, county, or city agencies. Alongside this, confirm your application and renewal fees (each agency has its own fee schedule).
Generally speaking, obtaining your necessary business licenses may cost anywhere from $100 to $1,000 or more, depending on your license type. Some LLCs may NOT need any business licenses, meaning their total licensing cost would be $0.
If you do require a license, the process generally takes 1-4 weeks. This includes your research and application time.

7. Get A Sales Tax Permit (If Applicable)
Under Iowa Code §423.36, you must obtain a Sales Tax Permit from the Iowa Department of Revenue (DOR) before engaging in any taxable business activities if your LLC is subject to Sales Tax.

It costs nothing to obtain your Iowa Sales Tax Permit. Furthermore, your permit remains valid unless cancelled or revoked by the state for failing to file your required tax returns.
You can apply for your Sales Tax Permit using 2 main methods:
- Online: Via GovConnectIowa.
- Mail filing: Complete the Iowa Business Tax Permit Registration form (78-005) and submit it to the DOR.
You should get a letter with your account number, DOR ID, and instructions on how to file and pay taxes in approximately 6 weeks following registration. Once submitted, you can keep a copy of your application form and begin collecting Sales Tax immediately.

How To Maintain Your LLC In Iowa
You must complete several ongoing operational tasks once your LLC is officially formed and running. These keep your business active and help maintain your good standing with the state. Alongside this, completing them reduces the risk of you being given costly penalties from federal, state, and local governments.
1. Open A Business Bank Account
Opening a dedicated business bank account helps separate your personal assets from your business finances. This helps:
- Strengthens your LLC’s liability protection (maintains clear separation between your personal and business finances).
- Simplifies bookkeeping and makes financial tracking easier.
- Makes your filing and tax reporting easier.
2. File Your Biennial Report
Every LLC operating in Iowa must file a Biennial Report with the Iowa SOS every 2 years under Iowa Uniform LLC Act §489.212. This helps you remain active and in good standing with the state.

You can file your LLC Biennial Report using 2 main methods:
- Online: Via Fast Track Filing for a $30 fee.
- Offline: Complete your paper filing and submit by mail or in person for a $45 fee.
Your filing period runs from January 1 to April 1 of the first odd-numbered year after formation. Then, it runs every odd-numbered year thereafter.
Example:
- You need to file your first Biennial Report by April 1, 2027, and then every 2 years after if your LLC was formed on April 15, 2026.
- Your first Biennial Report is due by April 1, 2029, and then every 2 years thereafter if you formed your LLC on May 15, 2027.

3. Renew Any Required Business Licenses
As I’ve said above, there is NO general statewide business license requirement in Iowa. Therefore, you have NO statewide renewal requirement or fee.
Despite this, you may need to obtain certain occupational and/or local licenses from your state, county, or city agencies, each of which may have specific renewal requirements.
Ensure you renew these on time to avoid potential fines, penalties, and suspension of your business operations.
4. Complete Your Tax Return
Your LLC must meet ongoing tax obligations at the federal, state, and local levels once registered with the state.
Note: I highly recommend working with a professional accountant when completing your tax return. They’ll help handle your tax obligations, ensuring that everything is completed accurately.
a. Federal Taxes
At the federal level, your LLC may need to pay the following taxes:
- Income tax: LLC profits are normally passed through to the owners and reported on their individual tax returns.
- Self-employment tax: Members may need to pay Social Security and Medicare taxes on business income.
- Employment taxes: You need to withhold and pay federal payroll taxes if your LLC has employees.
b. State Taxes
In addition to federal taxes, you may need to pay Iowa state taxes, including:
- State income tax: Iowa taxes income earned by individuals and certain businesses.
- Sales tax: You must collect and remit sales tax to the Iowa DOR if your business sells taxable goods or services.
- Withholding tax: You need to withhold and remit state income taxes on employee wages if your LLC has any.
c. Local Taxes
Your LLC may also be subject to local taxes imposed by counties or cities, depending on your operating location:
