How To Start An LLC In Idaho

1. Choose A Suitable LLC Name 

The first step when forming your LLC in Idaho is to choose a suitable business name. Under I.C. §30-21-301, your desired LLC name must be unique and distinguishable from existing business entities.

Alongside this, your name must comply with the state’s naming rules and regulations. This is the first requirement that you must meet to register an LLC in Idaho.

2. Choose An Idaho Registered Agent

Under I.C. §30-21-402, every Idaho LLC operating in the state must appoint and continuously maintain an official Registered Agent. Your agent can be an individual or a business entity, as long as they meet the requirements listed below. The main job of your agent is to receive and process important state regulatory documents, legal filings, and Service of Process on behalf of your business.

As I’ve said above, your LLC must meet two main requirements:

  1. Maintain a physical street address in Idaho.
  2. Be available during normal business hours.

With this in mind, you can choose one of the following as your Idaho Registered Agent:

  1. An Individual: This can be yourself, a family member, or a trusted friend.
  2. A domestic or foreign business entity: The business must be allowed to operate in Idaho.

While it’s free to appoint an individual as your agent, it comes with several negative operational consequences:

  • Their name and address become part of the public record. This exposes their personal information to identity theft.
  • They must be available to receive state notices and legal filings. This can be hard to maintain if you use an individual as your agent.

To form an Idaho LLC, you need to file your Certificate of Organization with the Idaho SOS under I.C. §30-25-201. This officially establishes your business as a separate legal entity in the state.

You can file your domestic Idaho LLC formation documents using three main filing methods:

  • Online: Via the SOSBiz portal (You can also print your filing from the online portal and file it by mail).
  • By mail: Complete the Certificate of Organization LLC form and send it to the SOS.
  • Walk in: File in-person using the same paper form.

Your filing fees are the same regardless of whether you form a domestic or foreign Idaho LLC. However, you can choose between the standard processing service or the expedited processing service, with each one having a different approved time.

4. Complete Your LLC’s Internal Operating Agreement

Under I.C. §30-25-105, your Idaho LLC operating agreement should define how your business is managed, operated, and governed. This includes daily operational responsibilities, business structure, and decision-making procedures, giving your LLC personal flexibility in how it will be run.

While Idaho does NOT legally require you to create and maintain an Operating Agreement, I highly recommend that you create a written one. This holds the highest legal standard and is the most easily enforced version. Once signed by all LLC members, it becomes a legally-binding business document.

Your Idaho Operating Agreement must clearly define your LLC’s management structure. This helps govern duties and relationships between your LLC members:

  • Member-managed: Every LLC member is involved in daily business operations and has the authority to bind your LLC in contracts.
  • Manager-managed: LLC members appoint one or more managers to operate your LLC and bind it in contracts. Other members act as passive investors.

5. Obtain Your EIN

An EIN is a unique 9-digit federal identifier issued by the IRS. This can be obtained for free when applying directly via the official IRS website.

You need an Idaho EIN to perform the following operational tasks:

  • File your required federal tax returns.
  • Manage payroll and hire LLC employees.
  • Open and maintain a dedicated business bank account.
  • Apply for your necessary business licenses or permits.

You must get your Certificate of Organization formation documents approved by the Idaho SOS first before applying for your EIN. This is because your business needs to be legally formed under IRS rules.

6. Acquire Your Necessary Business Licenses And Permits 

Note: Idaho has NO general statewide business license requirement. Therefore, your licensing obligations depend primarily on your operating location and chosen industry.

Confirm your specific licensing requirements and fees with the relevant local and state agencies before beginning business operations.

With each agency having different fee schedules, your licensing fees widely vary. Generally speaking, fees range from $50 to over $1,000. Your filing processes usually take about 1–4 weeks to complete. 

Some licenses require periodic renewals. Fees range from $25 to several hundred dollars.

However, some LLCs may NOT require any licenses or permits, meaning that your total cost may be $0.

7. Obtain Your Idaho Seller’s Permit

If you sell taxable goods and services, have a presence in the state, or meet certain thresholds, you may need to pay Idaho’s 6% state sales tax.

To do this, you first need to obtain a Seller’s Permit from the Idaho State Tax Commission.

This permit is free to obtain. You have NO annual renewal fee or process for your regular Seller’s Permit. Your permit remains valid as long as you’re actively operating and complying with your mandatory filing requirements.

The Next Steps Once Your Idaho LLC Has Been Approved

Once your formation documents have been approved by the state, you must continue meeting several ongoing compliance requirements. These help your business avoid penalties and maintain its good standing when operating.

1. Open A Dedicated Business Bank Account

Your first step, once your Certificate of Organization formation documents have been approved by the state, is to open a dedicated business bank account. This offers several key operational benefits, including:

  • Making sure your personal and business finances stay separate.
  • Strengthening your limited liability status.
  • Improving your bookkeeping procedures and financial organization.

2. Complete Your LLC Annual Report Filing

Every Idaho LLC must file an Annual Report once a year with the SOS under I.C. §30-21-213. This ensures that the state keeps up-to-date information on all businesses operating. If you fail to submit this mandatory filing, your LLC may be administratively dissolved.

You can choose between two main filing methods, with different fees for each one:

  • Online: File via the SOSBiz online portal and pay a $0 fee.
  • In-person: File a paper form directly at the SOS office ($0 fee) and pay $20 for manual processing.

Note: You will need to create a new SOSBiz account and link your business to your new account before filing your Annual Report online if you previously filed your Certificate of Organization by mail.

Your Annual Report must be submitted by the end of your LLC’s anniversary month once a year. Your first report is due the year after your LLC was formed.

Example: Your LLC was approved on April 15, 2026:

  • April is your anniversary month.
  • Your Annual Report is due by April 31 each year.
  • Your first Report is due by April 31, 2027. 
  • Your report is then due by April 31 every year going forward.

3. Renew Your Business Licenses And Permit

If you have obtained any business licenses, you must renew them on time to keep them active.

Each licensing agency has different renewal requirements. You should contact the appropriate agency to confirm renewal deadlines, filing procedures, and applicable fees.

Operating without a valid business license may expose your LLC to monetary penalties or criminal offenses.

4. Comply With Your Idaho LLC Tax Responsibilities

You must meet several ongoing tax obligations once your LLC is formed. These depend on your business location, activities, and operating structure.

These include:

a. Federal Taxes

Your business may need to pay several federal taxes, including:

  • Federal income tax: This depends on your tax treatment.
  • Payroll taxes: This applies to LLC members running your business.
  • Self-employment taxes: This must be paid if you have LLC employees.

b. State-Level Tax

Your state-level tax requirements are primarily determined by your business activities and earnings:

  • Income tax: Most LLCs are treated as pass-through entities. Therefore, income is taxed at 5.3% and must be paid by April 15 for the prior tax year.
  • Employer taxes: Employers must pay unemployment insurance (UI) tax.
  • Employer taxes: LLCs with employees have to withhold state income tax and pay unemployment insurance (UI) taxes.
  • Personal property tax: LLCs need to report property annually (by March 15). Some may qualify for an exemption.

c. Local-Level Taxes

You may also need to pay local taxes imposed by the cities and counties in which you operate. These are in addition to your federal and state-level taxes.

  • Real Property Tax: LLCs that own real estate must pay county property taxes. Rates are set by local districts.
  • Business Personal Property (BPP) Tax: This applies to business assets like machinery and equipment.

Note: You should hire a professional accountant when conducting business in Idaho. They’ll ensure that your required tax filings are completed correctly by handling the filing procedures on your behalf.
