How To Start An LLC In Hawaii

Tip: You can read my guide on the Best LLC Services In Hawaii if you prefer for someone to handle your entire formation process. I’ve reviewed the best services and compared their main offerings.

Starting your Hawaii LLC requires you to complete 7 essential steps. I’ve discussed each one below so you can better understand how to form an LLC in Hawaii.

1. Pick A Suitable LLC Name

Your first task when forming your Hawaii LLC is to pick a suitable business name. This must be unique and distinguishable from existing state businesses. Your filing will be rejected if the name is already taken or too similar to existing businesses. This is clearly stated under Section 16-36-15(b) of Hawaii Administrative Rules.

Note: I recommend using the Business & Documents Search tool to check if your desired LLC name is available. This tool will check your desired name against businesses already registered in Hawaii.

If you need a detailed explanation of how this tool works, you can read my guide on the Hawaii Business Name Search. I’ve also written an overview of the state’s naming rules and requirements.

2. Choose A Registered Agent

Every domestic and foreign LLC registered in Hawaii must appoint and maintain an official Registered Agent under HRS §428-107. This individual or business is responsible for receiving and processing important state regulatory documents, legal filings, and service of process on behalf of your LLC.

The following requirements must be met when appointing your Hawaii Registered Agent:

  1. They must have a physical street address in Hawaii (P.O. box addresses will NOT be accepted).
  2. They need to be available during normal operating hours to receive documents.

You have two main options when appointing your Hawaii Registered Agent:

  • A non-commercial agent: This can be yourself, a trusted friend, or a family member.
  • A commercial Registered Agent service.

While acting as your own agent or appointing a friend/family member is free, it creates compliance, availability, and privacy issues. With your agent’s personal details becoming part of the Hawaii public record, they’re more exposed to identity fraud. Furthermore, your agent needs to be available during normal business hours, which can be difficult to manage if you appoint an individual.

Therefore, I highly recommend hiring a professional Registered Agent service. They’ll ensure compliance and protect your personal details. Generally speaking, they cost $150–$199 per year.

A professional Registered Agent service will:

  • Keep your personal details off the Hawaii public record.
  • Ensure your legal documents are reliably received and processed.
  • Maintain a compliant Hawaii address.

You have 5 main application methods to choose from when completing your filing:

  1. Online: Use the Hawaii Business Express (HBE) online portal.
  2. By mail: Complete Form LLC-1 and mail it.
  3. Fax or email: Complete Form LLC-1 and send it by fax or email.
  4. In-person filing: Once you’ve completed Form LLC-1, go to the Business Registration Division (BREG).

Once you’ve completed your filing, you have to choose between two processing options. These determine your processing time and associated fees:

  • Standard processing: Your filing should be approved in 10–15 business days. The filing fee is $51. Mail submissions will take longer due to delivery time and manual processing.
  • Expedited processing (optional): You can pay an additional $25 to reduce your processing time to 1–3 business days. This brings your total cost to $76.

Read my detailed guide on the Hawaii Articles Of Organization if you want to learn more about your expedited filing options and additional requirements.

4. Complete Your Operating Agreement

The state of Hawaii does NOT require LLCs to create and maintain an internal Operating Agreement under HRS §428-103. However, I highly recommend getting one before conducting full business operations. This key business document establishes your internal operating rules and procedures. It determines how your LLC will be operated and managed on a daily basis.

HRS §428-103. Photo: Erik Pham

Your Hawaii Operating Agreement must clearly specify your LLC management structure:

  1. Member-managed LLCs: All LLC members take part in business operations and make daily decisions. This is well-suited to smaller LLCs.
  2. Manager-managed LLCs: Members appoint one or more managers to oversee key decisions and daily operations. Other members act as passive investors.

5. Obtain Your EIN

An EIN is a unique nine-digit federal ID number issued by the Internal Revenue Service (IRS). It’s used to identify your business for federal tax and compliance purposes. You can obtain it completely free when using the official IRS website.

You need an EIN to:

  • Open a dedicated business bank account.
  • Hire LLC employees and correctly manage payroll.
  • File your required federal tax returns.
  • Apply for the necessary Hawaii licenses and permits.

Note: Wait until your LLC’s Articles of Organization documents have been officially approved by the state before applying for your EIN. The IRS requires your LLC to be an existing legal entity in the state before issuing you an EIN.

You can use two main application methods to apply for your EIN. The most suitable one depends on your U.S. residency status.

6. Complete Your Required Tax Registrations

Every LLC conducting business in Hawaii needs to complete and file Form BB-1 (business application) with the Department of Taxation. During the process, you need to register for the General Excise Tax. This tax is required for every LLC operating in the state.

You can use three main filing methods:

While the registration process is free, you need to pay $20 to obtain your General Excise Tax License.

To learn more about the registration process, read my Hawaii Tax ID Number guide.

7. Obtaining Your Necessary Business Licenses And Permits (Varies)

Note: Hawaii does NOT require you to obtain a state general business license. Because of this, your licensing requirements depend on your operating industry and location.

Therefore, your license costs vary significantly. Generally speaking, fees range from $50 to over $1,000. Approval normally takes 1–4 weeks.

Following this, most of your required licenses must be renewed periodically. Renewal fees range from $25 to several hundred dollars.

I recommend checking your specific requirements and fees with your local agency and state regulatory agency first. This allows you to better manage your budget.

Some LLCs may not require any permits or licenses, resulting in a total licensing cost of $0.

For further details on your licensing requirements, read my comprehensive guide on the Hawaii Business License Requirements And Permits.

The Next Steps Once Your Hawaii LLC Is Approved

Once you’ve completed your core formation steps, you must perform several post-approval procedures before becoming fully operational. This allows your LLC to operate legally and to maintain its good standing with the state.

1. Open A Dedicated Business Bank Account

First, you should open a dedicated business bank account. This helps maintain your limited liability protection by showing clear separation between your personal assets and business finances. Furthermore, it makes bookkeeping processes easier to manage and improves your financial clarity.

2. Complete Your Hawaii LLC Annual Report Filing

Every LLC registered in the state must file an Annual Report with the DCCA BREG once a year under HRS §428-210. This gives the state your up-to-date business information, ensuring that your LLC remains in good standing.

HRS §428-210
HRS §428-210. Photo: Erik Pham

Your Hawaii Annual Report costs $12.50 if filed online and $15.00 when filed offline. Both methods require an additional $1 archival fee. This brings your filing totals to:

  • Online filings: $13.50.
  • Offline filings: $16.00.

Both methods have a standard processing time of around 6-8 weeks.

If you want faster approval, you can pay an additional $25 fee to use an expedited processing method. Submitting your report after the deadline leads to a $10 late penalty annually.

If you want to learn more about how to complete your filing and the different requirements, read my article on the Hawaii Annual Report.

3. Meet Your Hawaii LLC Tax Responsibilities (Varies)

After registering with the Hawaii Department of Taxation, your LLC must meet its ongoing tax obligations. These depend on your business location and activities.

Note: I advise working with a professional accountant to handle your tax obligations when conducting business in the state.

a. Federal Taxes

At the federal level, your Hawaii LLC may be subject to several types of tax:

  • Federal income tax: This depends on your LLC’s tax treatment.
  • Payroll taxes: This applies to LLC members who run your business.
  • Self-employment taxes: You must pay this tax if your LLC has employees.

b. Hawaii State Taxes

You may also need to pay Hawaii state-level taxes. This depends on your business activity and earnings:

  • General Excise Tax (GET): Hawaii imposes GET on the gross receipts of all business activities.
  • State income tax: LLCs are classed as pass-through entities by default. This means that instead of your LLC paying state income tax, your profits pass through to members.
  • Employer taxes (if applicable): You must pay unemployment insurance and withholding tax if your LLC has employees.

c. Local Taxes

In addition to your federal and state-level taxes, you may need to pay local taxes. These are imposed by the cities or counties where you operate:

  • County GET surcharge: Some counties impose an extra local tax on top of the state’s general excise tax. These apply to most business activities.
  • County transient accommodations tax: Counties charge an additional local tax for short-term rentals and hotel stays. This increases your total lodging tax.
  • Real property tax: LLCs that own property must pay annual county property taxes. This is based on the property’s assessed value.
  • County fuel tax: Businesses using vehicles or machinery must pay county fuel taxes. This varies by location.
