1. Pick A Suitable LLC Name

Your first requirement to officially form your LLC is to choose a suitable business name. This must be unique and distinguishable from existing Colorado business names. You must do this before any of your other Colorado LLC filing requirements, as your applications may be rejected if not.

Once you’ve verified your name availability, you must check your name against the state’s naming rules. The main ones are as follows:

  • Your name must include an approved designator, such as “LLC,” “Limited Liability Company,” or anything listed.
  • Your name cannot imply that you’re a bank, corporation, or other restricted entity (unless authorized).
  • Your name cannot mislead the general public.

2. Appoint A Registered Agent

After checking name availability, your next step is to appoint a suitable Registered Agent. Under Colorado Revised Statutes (C.R.S.) §7-90-701, all LLCs operating in Colorado must appoint and maintain an official Registered Agent. They should be an individual or entity you’ve designated to receive state notices, legal documents, and Service of Process on your behalf.

Your Colorado Registered Agent can be:

  • You (The LLC member).
  • A friend or family member.
  • A professional third-party Registered Agent service.

Regardless of your choice, they must meet the following criteria:

  • They must have an official physical Colorado street address (Not a P.O. box).

Filing your Articles of Organization with the Colorado Secretary of State officially forms your LLC with the state. Under C.R.S. § 7-80-207, the Articles of Organization officially establish your LLC as a separate business entity once approved.

It costs $50 to file your Colorado Articles of Organization. This is a one-time filing fee.

In Colorado, all filings must be done online. Therefore, you must file your Articles of Organization on the Colorado Secretary of State’s website. The state does NOT accept paper filings.

You’re not required to draft and maintain an Operating Agreement when performing business as an LLC in Colorado. However, I highly suggest that you get one for the following reasons:

  • Establishing clear rules for how profits, losses, and responsibilities are sorted.
  • Showing that your LLC is a separate legal entity that protects your limited liability status.
  • Preventing internal disputes between LLC members.

The C.R.S. does NOT specify a required Operating Agreement format. Therefore, both written and oral agreements are legally binding.

However, I recommend that you draft and maintain a written Operating Agreement. It provides clear evidence of your company’s rules and regulations in case of an internal legal dispute.

As an internal business document, you do NOT need to file your Operating Agreement with the Colorado Secretary of State or any other official state agency. Keep an agreed-to and signed copy with your official business records, making sure all LLC members also have one.

Once your Operating Agreement is complete, your next step is to obtain a Colorado Employer Identification Number (EIN). This is given to your LLC by the Internal Revenue Service (IRS). You must get one to ensure proper financial and tax operations.

  • Applying for applicable business permits and licenses.

You need to wait until your LLC has officially been approved by the Colorado Secretary of State before applying for your EIN. If you apply before, you may be faced with processing delays or rejection.

6. Get Your Colorado Business Licenses And Permits (If Applicable)

Colorado does not issue a statewide general business license. However, you may need to obtain local business licenses and permits from your city or county government. This depends on your business location and operating industry.

7. Obtain Your Sales Tax License (If Applicable)

Finally, you may need to acquire a Sales Tax License if you sell products to consumers. This applies whether you operate from a physical location or sell your products online. In this case, you’re required to collect and remit Colorado Sales Tax, which requires a Sales Tax License.

Under Colorado Revised Statutes § 39-26-103, you must register for a Colorado Sales Tax License with the Colorado Department of Revenue.

Reminder: You must obtain a separate Sales Tax License for each business location selling taxable goods and services.

The cost to apply for your Sales Tax License is $66. This includes a $50 refundable deposit (for your new Sales Tax account) and the $16 License fee.

  • This fee will be prorated in six-month increments if your license is issued after June 30. You can check the table below to check the prorated fee.
  • Your license is valid for approximately two years. This covered the year it was issued and the following year (Through December 31).
  • You must renew your license before January 1 of the next renewal cycle for a fee of $16 for each business location. This requirement applies if your business is still operating.
  • The state will automatically not renew your license if you’ve had no sales activity for 12 consecutive months.

You will need the following documents when opening your business bank account:

  • Your approved Articles of Organization.
  • Your EIN.
  • Your internal Operating Agreement (Required by some banks to confirm ownership and signing authority).

2. File Your Colorado Periodic Report

Under C.R.S. § 7-90-501, all Colorado LLCs must file a Periodic Report, commonly known as an Annual Report in other U.S. states.

Doing so maintains your good standing with the Colorado Secretary of State and confirms that your business information is up-to-date.

  • It costs $25 per year to file your Periodic Report.
  • It’s due by the end of the second calendar month following the first anniversary month of your LLC’s formation (This due date applies to every year thereafter).

Example: Your LLC was approved on May 15, 2025

  • Your first Periodic Report is due by June 30, 2026.
  • All future reports are due by June 30 every year after that.

You must file your Periodic Report online using the Colorado Secretary of State’s website. The state does NOT accept paper filings.
