2. Is Getting An EIN Mandatory For A Utah LLC?

Warning: Bad news if you’re a foreigner creating your own LLC in the U.S. Without a valid SSN or ITIN, you’ll need an EIN regardless of your chosen business structure.

Your federal tax classification depends on the number of members, with Utah enforcing the same federal rules. In simple terms, Single-member LLCs are taxed as Sole Proprietorships, Multi-member LLCs are seen as Partnerships, while businesses can elect to be taxed as Corporations by filing the necessary forms.

a. Multi-Member LLC

A Tennessee multi-member LLC is required to obtain an EIN since it is treated as a partnership for tax purposes, and federal law requires partnerships to use an EIN as their official tax identification number under Code of Federal Regulations (C.F.R.) § 301.6109-1(a)(1)(ii-C).

Its important to note that this is the only way that the IRS is able to properly identify you, meaning that it won’t be able to process filings, trace any tax obligations, or identify you as a district taxpayer without it.

b. Single-Member LLC

Choose to operate as a Corporation and obtaining an EIN becomes a mandatory requirement, just like it is for multi-member LLCs. Keep your default tax classification, and you’re not strictly required to actually get one at the federal level.

Even so, this is a narrow exception, meaning that it’s strongly advised to get an EIN if you’re looking to operate efficiently over a sustained period. Once your business grows beyond its simplest form, you’ll need an EIN to operate to pretty much any degree.

You’re more than welcome to use your SSN as your main identifier in the beginning. However, going forward, you limit your independence, complicate your accounting procedures, and increase the chance of missing your personal assets and business finances.

3. Can I Search For My EIN Number Online?

If you lose your original EIN Confirmation Letter (CP 575), the IRS can’t issue a duplicate. However, you can request an EIN Verification Letter (147C), which serves the same official purpose. Banks, licensing offices, and government agencies all accept either document for business verification.

These letters are required for opening a business bank account, submitting tax filings, or applying for permits.

When Should You Apply For An EIN In Utah?

You need to wait until your Utah LLC is officially approved by the state before requesting an EIN. In other words, your Certificate of Formation must be accepted by the Utah Division of Corporations and Commercial Code first. All you’ll need is your SSN or Individual Taxpayer Identification Number (ITIN) on hand and you’re good to go. 2. Obtaining An EIN Using Form SS-4 (Non-U.S. Residents)

Foreign applicants who don’t have an SSN or ITIN can’t use the IRS online application system. Alternatively, they need to fill out Form SS-4 and submit it either by mail or by fax. You can click on the link or the ‘Download’ button.

Once the IRS approves your EIN application, it will send you an EIN Confirmation Letter (also called CP 575). This document is the official proof that your business has been given an EIN. Plus, it proves your LLC is recognized by the IRS for federal tax purposes.

How you receive the letter depends on the filing method you used.

  • Online applicants – You can download the EIN Confirmation Letter immediately after finishing the online application and
  • Mail or fax applicants – The IRS sends the confirmation by mail, and delivery can take several weeks, depending on processing times and postal delays.

Why You Should Get A Utah EIN For Your LLC?

Secure your EIN, and you ensure that you meet the mandatory state and federal filing requirements. You also strengthen your business’s credibility, making it much easier to deal with banks, lenders, and investors. Most importantly, you can carry out your daily business operations at an efficient level, allowing you to see sustainable growth.

Note: Theres no specific direct penalties for failing to obtain your EIN. However, its the indirect ones that you need to worry about most.

Your Utah LLC needs to use its federal EIN when registering for withholding tax and any other applicable state taxes. This is done through the Utah State Tax Commission (USTC), as required under Utah Code § 59-1-401. If a company fails to register or obtain a required license with the USTC, it is treated as a violation of Utah’s tax regulations.

Penalties for this type of violation may include:

  • Not registering your LLC or failing to secure the proper license with the USTC comes with consequences. In fact, it’s classified as a Class B misdemeanor under Utah Code § 59-1-401. This can result in a fine of up to $1,000, up to six months in jail, or both.
  • Additionally, neglecting to file or pay taxes owed can lead to extra penalties calculated as a percentage of the unpaid amount. If the state determines that the non-compliance involved deliberate misconduct or an attempt to avoid taxes, the offense can be treated as a felony. In turn, this can lead to even more severe consequences.

Operate your LLC without an EIN, and you expose yourself to two separate levels of liability. You’re effectively not providing the legally required taxpayer info and failing to pay or file your federal taxes as required.

a. Failure To Provide Required Taxpayer Identification (EIN Application Violation)

The first scenario is if an LLC is obligated to submit federal tax returns or information returns but doesn’t get or supply a valid EIN. In this case, the IRS treats this as a failure to provide the required taxpayer identification. This can lead to penalties under:

A common scenario is issuing a Form 1099 used to report payments to contractors, without including a proper EIN. If the LLC sends this incomplete form to both the contractor and the IRS, it can face penalties under both § 6721 and § 6722. These will effectively double the consequences of a single mistake.

In many situations, the IRS issues a separate penalty for each return submitted without a valid or correct EIN. The fine can be as high as $330 per return. If the IRS concludes that the omission was intentional, the penalty increases substantially. In those cases, it rises to $660 per return or 10% of the amount that should have been declared.

b. Failure To Properly File And Pay Federal Taxes (Substantive Tax Violations)

Beyond identification mistakes, not having an EIN often results in more serious federal tax violations. This includes filing returns late, submitting incorrect information, or failing to pay taxes that are due.

Without a valid EIN, your Utah LLC can’t properly file federal income tax returns under the company’s name. Additionally, you won’t be able to issue and receive reportable payments as mandated.

If your LLC is obligated to file a return but submits it past the deadline or includes incomplete details, there can be consequences.  In fact, the IRS may impose penalties under IRC § 6651. Examples of mistakes include a missing or incorrect EIN.

For multi-member LLCs treated as partnerships, a late-filing penalty of $235 per partner, per month can be charged (for 2025 filings).

For LLCs taxed as corporations, the standard penalty is 5% of the unpaid tax for each month the return is late. This can go up to a maximum of 25%. Additional penalties may still apply even when no tax is due, as long as a return was required.

c. Failure To Comply With Federal Withholding Requirements

If your LLC has employees but doesn’t properly withhold and submit federal employment taxes, the individuals responsible can face serious consequences. This is ruled under IRC § 6672. These penalties include steep fines and, in severe cases, jail time.

A major source of this exposure is operating without a valid EIN. Without one, your LLC is unable to:

  • Enroll in federal payroll tax accounts.
  • Report employee withholding correctly.
  • Submit employment taxes under the LLC’s proper tax identity.

When these tasks cannot be completed, your business can’t respect federal payroll compliance. This leaves both the LLC and its responsible individuals open to serious enforcement penalties.

3. Avoidable Risks Of Operating Without An EIN For Your LLC

In practice, an EIN is what allows your LLC to participate in the U.S. financial and commercial system as a legitimate business. Without it, owners often end up using personal bank accounts, receiving payments under their SSN, and mixing personal and business funds. These are all actions that decrease the LLC’s liability protection.
