Filing your Articles of Organization with the Ohio Secretary of State officially establishes your Limited Liability Company (LLC) as a separate legal entity in the state. After receiving your approved Articles of Organization, you must obtain your Employer Identification Number (EIN) from the Internal Revenue Service (IRS).
This nine-digit Federal Identification Number allows you to perform several important business tasks. While it may NOT be required by all LLCs, having one ensures streamlined business operations and reduces the risk of potential fines and penalties. Therefore, I highly recommend getting one.

EIN In Ohio Overview
Your EIN is issued by the IRS. It’s a nine-digit number that serves as your LLC’s Federal Identification Number. It works in the same way as a Social Security Number (SSN), commonly used to identify an individual.
Obtaining your EIN in Ohio allows you to:
- Hire LLC employees.
- Pay local, state, and federal taxes.
- Open a dedicated business bank account.
- Apply for the necessary business licenses and/or permits.
Your EIN requirements depend on your LLC’s ownership structure and IRS tax classification. I will discuss the main requirements in the section further below:
- Single-member LLCs: Taxed as disregarded entities. They may not be required to obtain an EIN. However, I strongly recommend getting one for personal privacy protection and to avoid mixing personal and business finances.
- Multi-member LLCs: Taxed as partnerships. The IRS requires them to obtain an EIN.
- LLCs taxed as S-corporations or C-corporations: They must obtain an EIN, regardless of the number of LLC members.
You do NOT need to pay a fee to obtain your EIN, regardless of your chosen application method. You have two potential ways to obtain your EIN:
- Online via the IRS website: You can use this method if you have an SSN. It takes around 15 minutes to complete your application, after which your EIN will be issued immediately once approved.
- Complete IRS Form SS-4: Complete the required fields and submit your form by mail or fax. Mail applications take around 4 weeks + mailing time, while fax applications take around 4 business days to be processed.

Note: Your Ohio EIN is NOT the same thing as your Ohio e-Tax account. Your tax account is issued by the Ohio Department of Taxation and used specifically for state-level tax obligations.
1. Common EIN Names
Your EIN may be referred to by several different terms. Each one refers to the same Federal Identification Number issued by the IRS. I’ve listed the common EIN names in the table below to avoid confusion.

2. When Should I Get My EIN?
You must wait until your Articles of Organization has been approved by the Ohio Secretary of State before applying for your EIN. Your EIN will no longer match the state records if you apply for it before receiving state approval and your application is subsequently delayed, rejected, or changed. If this happens, you must cancel your application and reapply so that your business records match.

I also recommend confirming your exact number of LLC members before applying. This ensures that you have accurate LLC ownership information and reduces the risk of IRS reviews, particularly when determining compliance and tax classification.
You must update the IRS and the necessary Ohio agencies if your LLC’s business structure changes. An example would be adding or removing LLC members. Alongside this, you need to adjust your Operating Agreement, modify your ownership interests, and inform your accountant so you maintain accurate business records.

How To Get An EIN In Ohio

As I’ve briefly stated above, you have two choices when applying for your EIN. U.S. residents with a valid SSN can apply online via the official IRS website. Non-U.S. applicants without a valid SSN must complete IRS Form SS-4 and file it by fax or mail.
Here’s how to apply for an EIN in Ohio using both methods. If you have a valid SSN, I advise using the online method as it’s much faster and more efficient.
1. Obtaining Your EIN As A U.S. Resident
The fastest way for U.S. residents to obtain an EIN is through the official IRS online application. However, you must have a valid SSN or ITIN. The application process is simple and takes approximately 15 minutes to complete. Your EIN will be issued immediately once your filing has been accepted.

This is the preferred application method among most Ohio LLC owners because it offers several clear advantages:
- Immediate issuance: You’ll immediately get your EIN once your submission has been approved.
- No paperwork delays: You do NOT need to wait to mail forms or receive physical documents.

Note: While you can complete your application by mail or fax, both methods take significantly longer to process. They also offer NO additional benefits. You should only use these methods if you can’t apply via the official online IRS application system.
2. Obtaining Your EIN As A Non-U.S. Resident (Form SS-4)
Foreigners without a valid SSN or ITIN must complete Form SS-4 and submit it by mail or fax. You can NOT use the online IRS application system. Access the form by clicking the link provided or using the download button on the right-hand side of the screen.
Your EIN processing time depends on your chosen application method and the current IRS workloads. These are the generally expected timeframes:
- Mail applications: Up to 4 weeks to process.
- Fax applications: Generally processed in around 4 business days.

What Is Your EIN Confirmation Letter?
You will be issued an EIN Confirmation Letter (Form CP-575) once your application has been approved by the IRS. This is the official proof that your LLC is recognized by the IRS for federal tax reporting purposes.
Your application method determines how the IRS will send your letter:
- Online applications: Download your EIN Confirmation Letter immediately after completing your application.
- Mail or fax applications: Your confirmation letter will be sent by mail. This may take several weeks, depending on IRS processing and delivery times.
I highly recommend keeping your EIN Confirmation Letter with your official business records in a safe place. You’ll need it when opening a dedicated business bank account, filing your federal taxes, and handling important financial and administrative tasks.

Tip: The IRS will NOT issue another copy if you lose your original EIN Confirmation Letter (CP-575). However, you can request an EIN Verification Letter (Form 147C). This carries the same legal authority and will be accepted by government agencies, banks, and licensing authorities as valid proof of your EIN.

If you need assistance regarding your EIN application, you can contact IRS representatives. They’ll help answer procedural questions and resolve EIN-related issues. However, they can NOT provide legal or tax advice.

- Business hours: Monday to Friday, 7:00 A.M. to 7:00 P.M.
Here’s how to reach the correct department through the automated system:
- Press “1” to continue in English.
- Press “1” for EIN-related inquiries.
- Press “3” if you already have an EIN but cannot find it.

Who Must Get An EIN For Ohio LLCs?
Important: You must acquire an EIN if you’re a foreign individual forming a U.S. LLC (single-member or multi-member). This is because you do NOT have an SSN or an Individual Taxpayer Identification Number (ITIN) to complete your IRS tax filings.
Your Ohio LLC EIN requirements depend on your ownership structure and IRS tax classification. Ohio generally follows the same federal standards.
Your LLC normally falls into one of two categories:
- Single-member LLCs: Taxed as Sole Proprietorships by default.
- Multi-member LLCs: Taxed as Partnerships by default.
You can choose to be taxed as an S-Corporation or a C-Corporation if you file the relevant forms with the IRS.
a. Multi-Member LLCs
You must obtain an EIN if your LLC has more than one member, since multi-member LLCs are taxed as partnerships by default. Under C.F.R. § 301.6109-1(a)(1)(ii-C), partnerships are legally required to use an EIN as their federal tax identifier.

An EIN acts as your sole IRS identification number, allowing your multi-member LLC to be treated as a separate taxpayer. The IRS can NOT properly monitor your tax requirements, process mandatory filings, or separate your LLC from its individual owners without one.
b. Single-Member LLCs
Under IRS tax rules, single-member LLCs are taxed as disregarded entities. In some cases, they may NOT need to obtain an EIN. However, using your SSN creates several long-term risks:
- It reduces the separation between your personal assets and business finances.
- It complicates your accounting and record-keeping processes.
- It increases the risk of your personal information being exposed.
Because of this, I highly recommend that you obtain an EIN, even if you don’t need to.

If your single-member LLC elects to be taxed as an S-Corporation or a C-Corporation, acquiring an EIN is a mandatory requirement. In this case, obtaining your EIN helps:
- Establish a separate tax identity.
- Maintain clear bookkeeping and financial records.
- Protect your personal information from unnecessary exposure.
- Support future business growth.
c. LLCs Taxed As Corporations
You must obtain an EIN if you elect to be taxed as a C-Corporation or S-Corporation. This applies regardless of whether you have one member or multiple members. The IRS requires an EIN to process corporate tax returns, manage payroll, and enforce federal tax compliance.
Note: This requirement follows the same multi-member LLC federal regulations requiring an EIN under 26 C.F.R. § 301.6109-1(a)(1)(ii)(C).
Why Does Your LLC Need To Get An EIN?
Ohio does NOT impose direct state-level penalties if you’re found to be operating without an EIN. However, you face significant indirect state-level consequences and federal penalties if you don’t have one.
1. State-Level Penalties
State penalties will come from not complying with state requirements, such as getting required licenses or tax filings.
Example: You must obtain a Vendor License if you make taxable sales or services in the state. Your LLC first needs an EIN before registering for a Vendor License, according to the Ohio Department of Taxation’s small business guide.

If you fail to follow the law, you face significant monetary penalties under O.R.C. 5739.99(A)(C). I’ve listed the potential fines below:
- First offense (Not collecting Sales Tax): A fine between $25 and $100. You may face a felony charge of the fourth degree.
- Carrying out retail sales with the required license: A fine between $25 and $100.
- Acting as a transient vendor without the required license: A fine between $100 and $500 for your first offense. Each subsequent offence faces a fine between $1,000 to $2,500 or imprisonment for more than one month. These fines may be applied at the same time.

2. Federal Penalties
You also expose yourself to federal enforcement risks if you operate your LLC without an EIN. This is in addition to causing potential administrative delays.
a. Failure To Provide A Required Taxpayer Identification Number To The IRS
If your LLC is required to file federal tax or information returns but does NOT possess a valid EIN, the IRS treats this as a failure to provide the required taxpayer information.
If you fail to provide a valid EIN, the following laws apply, especially in cases involving incomplete or incorrect reporting:
- Internal Revenue Code (IRC) § 6721: This imposes penalties for filing incorrect or incomplete informational returns with the IRS.
- IRC § 6722: This imposes penalties for providing the incorrect or incomplete payee statements to recipients. An example would be business contractors.
Generally speaking, most violations tend to occur when completing Miscellaneous Information (Form 1099) without a valid EIN. This can trigger penalties under both sections for failing to submit complete information to the IRS and your contractor. This effectively doubles your federal consequences from one reporting error.

The IRS assesses these penalties on a per-return basis, NOT per filing period. Therefore, your financial exposure can quickly escalate:
- Each return filed without a correct or valid EIN: A standard penalty of $330 for each return.
- Intentional omissions: A $660 penalty per return or 10% of the reported amount.

You face significant cumulative penalties if you need to submit multiple information returns without an EIN.
b. Failure To Properly File And Pay Federal Taxes (Substantive Tax Violations)
You face serious federal tax compliance issues if you attempt to operate without a valid EIN. This is because it prevents your LLC from completing proper filings, reporting, and paying taxes using its correct tax identity.
- Federal tax filing limitations: You can NOT complete your required federal income tax returns without completing the IRS forms requiring a valid EIN.
- Late or missed tax payments: You can NOT pay federal taxes on time if you need to make the payments under your LLC’s name.
- Inaccurate or missing returns: Your tax filings may be considered incomplete or incorrect if you submit them without a valid EIN.
- Reporting and payment issues: Your LLC may not be able to issue or receive reportable payments to comply with federal reporting rules.
The IRS may impose further penalties if your return is filed late or contains incomplete/inaccurate information under IRC § 6651. This applies even if the issues result from missing or incorrect taxpayer identification details.

Your LLC’s size and structure determine your penalty calculations:
- Multi-member LLCs treated as partnerships: A $235 penalty per partner per month. This is applied to 2025 filings.
- LLCs taxed as corporations: A standard 5% penalty on unpaid tax applies to each month that your return is late (up to a maximum of 25%).
Penalties may still apply if you’re required to submit a federal return, even if you owe no tax. Because of this, failing to obtain an EIN delays your compliance obligations and causes federal tax violations that have financial consequences.
c. Failure To Comply With Federal Withholding Requirements
Your LLC must properly withhold, report, and pay federal employment taxes if you have employees. Failing to meet these obligations exposes your LLC members to serious personal liability.
The IRS may impose penalties on anyone responsible for collecting, accounting for, or paying federal withholding taxes if they willfully fail to do so. This includes significant financial penalties and potential criminal consequences under IRC § 6672.

These penalties primarily stem from operating without a valid EIN. This is because your LLC can NOT perform the essential payroll and withholding functions without one. These include:
- Enrolling for the necessary federal payroll tax accounts.
- Reporting accurate withholding information and employee wages.
- Submitting the required withheld employment taxes using the correct tax identity.
Your LLC is unable to comply with federal payroll requirements if these steps can NOT be completed. This exposes your LLC to serious IRS enforcement actions and trust fund recovery penalties.
3. Operational Risks With No EIN
Acquiring an EIN ensures that your LLC can operate as a distinct legal and financial entity in the U.S. business system. Without one, you must rely on temporary workarounds, which causes unnecessary compliance issues and weakens your limited liability protections.
The preventable risks include:
- Personal information exposure: Using your SSN for your business income increases the risk of personal information exposure and identity theft.
- Mixing personal and business funds: Your accounting procedures become more complicated, which undermines your limited liability protection.
- No personal and company finance separation: Using your personal bank account to conduct business transactions increases the risk of maintaining separation.
- Failure to open a dedicated business bank account: You can NOT open a dedicated business bank account or establish credit using your LLC’s official name.
Having an EIN gives you a clear federal tax identity. This supports accurate bookkeeping and reinforces the limited liability protection given by the LLC operating structure.
