After choosing a suitable LLC name, you must appoint an official Virginia Registered Agent. A Registered Agent serves as your official point of contact between your LLC and the state. Their job is to receive and process official state notices, legal filings, and service of process.
For this, your Virginia Registered Agent must:
- Maintain a physical Virginia address (P.O. boxes are NOT allowed).
- Be available during normal working hours to receive time-sensitive correspondence.
Generally speaking, choosing your Virginia Registered Agent takes approximately 1 business day.

a. Create An Internal Operating Agreement
Note: You’re NOT required to draft an Internal Operating Agreement in the state. However, I strongly recommend that you get one, even as a single-member LLC.
An LLC Operating Agreement acts as your foundational internal rulebook when operating your LLC. It clarifies how your business will be operated, managed, and governed. It also discusses who can make important decisions, how profits and losses are distributed, and what happens if your LLC is administratively dissolved.
Under the Code of Virginia § 13.1-1023, the state allows your Operating Agreement to be in any form. This may be oral, written, recorded, or a combination of all three.
However, I recommend drafting a written Operating Agreement and ensuring that each member has a written and digital copy so they’re aware of your LLC’s rules and regulations.

- Identifying your LLC for tax purposes.
- Opening a dedicated business bank account.
- Applying for your applicable business licenses and permits.

Your EIN processing time depends on your U.S. residency status and the application method. I’ve discussed your choices below:
- Online: You must be a U.S. resident with a valid Social Security Number (SSN) or Individual Taxpayer Identification Number (ITIN) to use the online filing method. 3. Phase 3: Initial Compliance
The goal of Phase 3 is to stay compliant with the state’s initial compliance requirements. This is mainly related to your mandatory business licenses and permits, which depend on your operating location and industry.
a. Obtain Your Virginia Business Licenses (If Applicable)
Note: The state of Virginia has NO statewide business license requirement. Therefore, your LLC’s obligations depend on your chosen business industry and operating location.
You must contact the appropriate licensing agency to confirm your specific LLC requirements before operating in Virginia.
Each issuing agency has a different renewal schedule and processing time. Therefore, it can take from 1-4 weeks to obtain your required licenses, depending on your operating industry and location.

b. Apply For Your Virginia Sales Tax Certificate (If Applicable)
Your Virginia LLC must obtain a Sales Tax Certificate of Registration before collecting and remitting sales tax in the state under the Code of Virginia § 58.1-613(A). This applies once you engage in taxable activities as a dealer.

The state imposes sales tax on a wide range of services and goods. You should identify if your LLC is eligible for exemption to determine whether your business activities are taxable or not.
You must first have a Virginia Business Tax Account. All procedures are conducted online via the Virginia Department of Taxation’s iFile system (VATAX). This includes creating your account and applying for a Sales Tax Certificate.

Your Virginia LLC Ongoing Requirements
With your LLC now fully operational, you must continue to manage your mandatory local, state, and federal obligations to ensure your LLC remains in good standing.
1. Virginia Annual Registration Fee For LLCs
You do NOT need to file a Periodic Report in Virginia. However, you must pay a $50 Annual Registration fee to keep your LLC in good standing. This is stated under the Code of Virginia § 13.1-1062.

Your Annual Registration fee due date is the last day of your LLC’s anniversary month. This starts from the first year after you form your LLC and continues every year thereafter, as long as your LLC remains active.
Example: Your LLC was legally formed on June 15, 2026.
Your first Annual Registration fee payment will be due on June 30, 2027 and then every year thereafter.
The Virginia SCC will send a payment notice every two months prior to your due date. I recommend paying early to avoid penalties and loss of good standing.

2. Renew Your Business License (If Applicable)
As I’ve stated above, Virginia does NOT have a general business license requirement. Therefore, your renewal schedule depends on your LLC’s required licenses.
- You do NOT need to renew your Virginia Sales Tax Certificate. It remains valid unless it’s been suspended or revoked due to violations (paying tax, filing returns, or other administrative infringements).
- Other permits at the local and state levels generally have a renewal schedule or periodic inspection.
Recommendation: I highly advise you to verify your renewal dates with the necessary licensing agencies when applying. You should also set up your own reminder schedule to avoid missed deadlines and potential loss of good standing.
3. File And Pay Your Tax
Your LLC’s tax obligations may come at the local, state, or federal levels. They may also come from all three, depending on your industry and operating location. Therefore, your LLC may be responsible for several recurring tax requirements:
Your federal tax requirements may include:
- Federal payroll tax: If your LLC has employees.
- Federal excise tax: If you operate in certain regulated industries.
- Federal income tax: Based on your LLC’s tax classification.
- Self-employment tax: Applies to members of pass-through LLCs.
At the state level, your tax payment depends on the tax status given to your LLC.
Alongside this, your LLC may need to file and pay income taxes with its local municipality (Town, city, or county).
Note: Your filing frequency may be different depending on your tax obligations. Therefore, I recommend working with a professional accountant who understands taxes to ensure you complete everything correctly.
