To keep things simple, your formation and compliance procedures can be divided into three key phases.

Combine these three phases, and you’ll wait around 6 weeks. This gets things off the ground, but doesn’t take into account potential processing times, chosen filing methods, and your ability to get done what’s needed.

How Long Does It Take To Form An LLC In Oregon?
In this article, I’ve broken down the timeframe into steps. By the end of the article, you’ll learn about the key phases, including the processing times and why you should complete them.
1. Phase 1: Formation & Registration
Phase 1 focuses on the formation and registration processes legally required to officially form your LLC with the Oregon Secretary of State.
There are three main steps you’re required to complete:
a. Step 1: Select An LLC Name
First, you’ll need to pick a suitable business name. Think of this as building your foundation before beginning your key formatting and operating tasks. If you don’t do this, things will never get off the ground.
In terms of the specifics, your name needs to be unique and distinguishable compared to existing names on the SOS’s record. You’ll also need to make sure it complies with naming rules and regulations.
Things are pretty easy for this step. You can use the Oregon Secretary of State’s Business Registry Search Tool to check if your desired name is actually available.

The name verification process should take approximately one business day to complete.

b. Step 2: Designate A Registered Agent
You’re required to appoint and maintain an official Registered Agent when forming and operating your LLC in Oregon under Oregon Revised Statutes (O.R.S.) 63.111.
Their job is to receive and process official state correspondence and legal notices on behalf of your LLC. This can be an individual or commercial business entity.

Your Registered Agent must have a physical Oregon street address according to state requirements. It cannot be a P.O. box or Commercial Receiving Agency (CMRA).

Filing your Articles of Organization with the Oregon Secretary of State is one of the most important steps to officially form your LLC. This formation document includes your LLC name, purpose, address, management structure, and Registered Agent details.
Without it, your business is not legally recognized as an independent business entity in Oregon. The expected processing time depends on your chosen filing method:
- Online: Submit your filing via the Oregon Business Registry. Processing takes approximately 1–5 business days.
- By mail: Complete and send the Oregon Articles of Organization application. Processing takes approximately 4–6 business days + Mailing time.
Both methods require you to pay a one-time $100 filing fee. Once completed and approved, your LLC is officially formed in Oregon.

What Happens After This Phase?
2. Phase 2: Post-Formation Setup
In Phase 2, you’ll primarily focus on preparing your essential tax and legal documents and setting up your internal business structures. This ensures that your LLC is ready for basic operational procedures and internal governance.
Here are the main steps you must complete:
a. Step 1: Draft Your Operating Agreement
First things first, you don’t actually need to make and maintain an Operating Agreement if you don’t want to. You also don’t need to write it out to make it legally binding, like most U.S. states, so make it oral or implied if you prefer. Oregon makes things easier for you here, with everything stated in the Oregon Revised Statutes (O.R.S.) 63.431.
An Operating Agreement (OA) is an important business document that acts as your LLC’s internal rulebook. It defines your operating procedures, management structure, and ownership.

While you’re not legally required to get one under Oregon state law, I highly recommend that all LLCs (Including Single-Member LLCs) draft and maintain a written Operating Agreement. This should be agreed to and signed by all LLC members.
I’ve recommended this for several key reasons:
- It strengthens your Limited Liability Protection and
- It provides proof of your LLC’s business structure (Commonly needed for banks, investors, and state compliance).
- It defines the rights and responsibilities of all LLC members.
- It helps prevent internal confusion and disputes among LLC members.
Tip: Your Operating Agreement must clearly reflect your chosen management structure. Your LLC will be Member-Managed or Manager-Managed. I’ve included some free Operating Agreement templates for both business structures below to help you get started.
Completing your Operating Agreement takes approximately 1–3 days. This depends on the complexity of your business terms and the required time for all members to review and sign.

Note: Your LLC must be approved by the Oregon Secretary of State first before you can apply for an EIN. This is mainly because you’ll need to list your official business name on your application.

What Happens After This Phase?
3. Phase 3: Initial Compliance
After Phase 3, you’re required to obtain the relevant business licenses and permits depending on your business location and industry.
Oregon does NOT require LLCs to obtain a Statewide General Business License with the Secretary of State. However, you may be required to obtain local business licenses and/or permits depending on your LLC’s location and business type.
Tip: I advise that you check with your local city or county government office to confirm if you need any licenses or permits.
Obtaining your required licenses from licensing boards and local agencies will take up to 4 weeks. Again, this depends on your business location and chosen industry.

What Happens After This Phase?
4. Phase 4: Ongoing Compliance & Maintenance
After Phase 3, you’ll need to focus on maintaining your good standing and legal status as you continue your business operations. Doing this ensures that your business remains active, operates efficiently, and avoids potential fines and penalties.
In your maintenance and compliance phase, you need to complete three key annual tasks:
a. Step 1: File Your LLC Annual Report
Under O.R.S. §63.787, all Oregon LLCs must file an Annual Report to maintain good standing. This provides the state with your basic business information, including your business address and Registered Agent details.

You must file your Annual Report each year on your LLC’s anniversary date. This begins the year after your LLC was formed. The filing fee is $100 per year.
Example: Your LLC was approved on May 15, 2025.
Your first Annual Report is due on May 15. 2026.
Important: You must file your report online using the Oregon Business Registry Web Renewal System.

b. Step 2: Renew Your Business Licenses
You must renew most of your Oregon municipal and professional licenses annually. This requires you to update your relevant business details and provide payment of any applicable renewal fees.
Note: You should verify your renewal deadlines with your city, county, and state licensing agencies first. This ensures that your LLC can operate efficiently without interruptions.
c. Step 3: File And Pay Your Required Taxes
All Oregon LLCs are responsible for meeting ongoing state and federal tax obligations.
The common taxes include:
- Local business taxes or fees: This depends on your business location.
- Oregon state income tax.
- Federal income tax: Based on your LLC’s tax classification.
- Employment taxes: If your LLC has employees.
You may also be required to pay the Partnership Minimum Tax (PMT) if your LLC is taxed as a Partnership.
If you’re a multi-member LLC, you’ll need to pay this tax if:
- You’ve conducted business in Oregon during the past year.
- You’re required to file an Oregon Partnership Return (Form OR-65).
