If you’re looking for a faster setup time and don’t mind paying extra, you have several expedited processing options at your disposal. Once formed, you have additional requirements before becoming fully operational.
To keep things organized, I’ve divided your Maine LLC formation and operational procedures into 3 key phases:

How Long Does It Take To Get An LLC In Maine

1. Phase 1: Formation & Registration
a. Step 1: Pick Your Business Name
Choosing a business name should be your first task before forming your LLC. Under the Maine LLC Act §1508(2), two businesses operating in the state can’t have the same name. This means that you must search your LLC name to see if it’s available to use using the Corporate Name Search tool designed by the Secretary of State (SOS).
This tool will help you check all the businesses already registered in the state, allowing you to compare your name against them. This typically takes around 1 day to do.

b. Step 2: Choose Your Registered Agent
Once you’ve picked a suitable LLC name, your focus should shift toward choosing a Registered Agent. Your agent’s primary job is to work on behalf of your LLC to receive and correctly process important state documents and service of process.
Note that this requirement is NOT optional. Under the Maine LLC Act §1661, every LLC operating in the state must appoint and maintain a Registered Agent at all times.

When it comes to appointing your agent, you can choose between yourself, a trusted friend, a family member, or a professional Registered Agent service. Regardless of your choice, you need to make sure that they’re available during normal business hours and can maintain a physical Maine street address. You can NOT list a P.O. box address in your filings.
Appointing an individual saves money at first, but I think it makes much more sense to spend money hiring a professional Registered Agent. So, why is this?
First, you have to consider the increased privacy risk. Your agent’s full name and address become part of the Maine public records. Anyone can simply look them up using the Corporate Name Search tool. This usually leads to more junk mail rather than anything useful.
Second, your agent needs to receive and handle important state documents and legal notices. This is much harder than it sounds, especially if you need to handle day-to-day business. Use an individual, and your chances of these being missed dramatically increase.

A high-quality service handles both of these potential issues without much effort on your end. They’ll meet the state requirements, maintain a valid address to receive important documents, and ensure that your personal information stays private.

c. Step 3: Complete Your Certificate Of Formation Filing

You’ve picked a suitable LLC name, and your agent is in place. Now it’s time to officially form your Maine LLC. To do this, you need to submit a Certificate of Formation to the Maine SOS according to the Maine LLC Act §1531.

Unfortunately, there’s a catch in Maine. You can only file your Certificate of Formation by mail, which extends your standard processing time to around 10-15 business days plus mailing time.

2. Phase 2: Post-Formation Setup
a. Step 1: Create Your LLC’s Operating Agreement
Creating a high-quality Operating Agreement should be one of your main priorities when completing your post-formation setup. Despite NOT legally requiring one according to the Maine LLC Act §1521, I strongly suggest that every LLC should maintain an agreement when operating.
Without one in place, your LLC becomes governed by the state’s default rules. Definitely not something you want. In most cases, these don’t match how you actually want your business to run.
Practically speaking, you may be asked to provide proof of your agreement before you’re allowed to open a bank account. In the unfortunate case that you get involved in a legal dispute, having an agreement makes things a lot easier.
In simple terms, having an agreement is a small step but can save you a huge amount of hassle going forward. Use my templates, and you can put one together pretty quickly.
Note: Creating an Operating Agreement can take you from 1 to 5 business days. This may be longer if yours is complex and needs multiple revisions before finalizing

I recommend that all LLC members sign the agreement for future reference. This also ensures that it’s legally binding if it ever needs to be used in a dispute.
It’s important that your Operating Agreement clearly defines your management structure. After all, one of its main jobs is to govern how your business operates. You can choose between two main structures:
- Member-managed LLCs allow all members to participate in daily business operations and key decisions.
- Manager-managed LLCs only allow one or more managers to handle daily operations and decision-making processes, while other members act as passive investors.

b. Step 2: Obtain Your EIN
With your agreement in place, your next post-formation task is to obtain your EIN. This is a unique 9-digit federal ID number given to you by the Internal Revenue Service (IRS).
This is an important number for several reasons. It ensures you can hire LLC employees, file your taxes, obtain any necessary business licenses, and open a dedicated business bank account. In other words, you need an EIN to operate.
Note: Make sure you don’t apply for your EIN before your LLC is officially formed. Why is this? Your application may be rejected or delayed if your business name does not match.

So, how long does it take to get your EIN? Well, it totally depends on your application method.
Applying online only takes 15 minutes and will give you an EIN immediately once your filing is approved. However, the catch is that you need to be a U.S. resident with a valid Social Security Number (SSN) or Individual Taxpayer Identification Number (ITIN). If you’re a non-U.S. resident, your filing process unfortunately takes much longer. Once you’ve completed the form SS-4, filing by mail can take up to 4 weeks plus mailing time. 3. Phase 3: Initial Compliance
a. Acquire Your Necessary Business Licenses And Permits
Great news! You don’t need to get a general business license in Maine.
Without this requirement, you have to figure out your licensing needs based on where you operate and your chosen business activities. With every business being unique, including yours, I can’t tell you the ones you need to get.
To complete this step, you should contact the relevant local and state licensing agencies. They’ll explain your requirements, making things much easier as you learn to navigate how to operate.
In most cases, this step takes between 1 and 4 weeks. If you operate in a common industry, this should be towards the lower end of the range.

b. Register For Your Sales Tax Account (If Applicable)
If you want to sell tangible property, you need to register, collect, and remit Sales Tax under the Maine Statutes §1754-B. Before doing so, you need to register for a Sales Tax account with the Department of Administrative and Financial Services.

So, how do you do this? Online filers can use the Maine Tax Portal and get approved within 1-2 days, while mail filers need to submit the Tax Registration Application Form, which takes significantly longer to process (around 20 business days).

What Happens After Phase 3?
What Are Your Ongoing Maine LLC Requirements?
Now that you’ve completed the three main phases, your LLC is officially formed and operational. Unfortunately, your business obligations don’t stop here. If you want to stay active and in good standing, you need to complete the ongoing requirements listed below.
1. File Your LLC’s Annual Report
Your Annual Report is an important business document that keeps the state informed on your current business information. Think of it like a yearly check-in, ensuring that they have up-to-date details on all businesses operating in the state. You must file this with the Maine SOS under the Maine LLC Act §1665.

You have two main filing options, with the main difference being the filing procedures and processing time. File online using the online Annual Report filing service to get your report approved immediately, or print your report using the Maine Annual Report Portal page, submit it by mail, and wait around 1-2 weeks + mailing time.
Important: Your LLC’s Annual Report must be submitted by June 1 every year. However, you can file as early as January 1 if you want to get everything done early.
Too much to do? Don’t worry, your first report isn’t due until the year after your LLC was first formed.
Let’s say that your LLC was formed on March 20, 2026. Your first Annual Report is due by June 1, 2027, but you can file from January 1, 2027.

2. Renew Any Required Business Licenses
If you remember phase 3, you had to obtain your business licenses based on your operating requirements. This is only the initial step, as you’ll need to renew them to keep your licenses active. This ensures that you can continue legally conducting business in the state.
First, confirm that your licenses need to be renewed. If they do, ensure they’re renewed on time to avoid penalties, fines, and the potential suspension of your business operations.
3. Pay Your Taxes
Note: It’s definitely worth it to work with a professional accountant when completing your tax return. Their assistance ensures that your taxes are completed and filed correctly while you focus on other aspects of business growth.
It’s important to note that LLCs do NOT pay federal income taxes. Instead, tax responsibilities lie firmly with the LLC members, meaning they’ll need to pay taxes on their personal tax returns.
Your LLC will be taxed based on its owner number by default:
- Single-member LLCs are taxed as sole proprietorships.
- Multi-member LLCs are taxed as partnerships.
If you’d prefer to be taxed differently, you can ask the IRS to be taxed as a C-Corporation or an S-Corporation.
Besides federal taxes, you’ll also need to pay local and state taxes.

Frequently Asked Questions
It takes approximately 10-15 business days (plus mailing time) for your Certificate of Formation documents to be processed using the standard filing option. If you want to speed things up, use an expedited processing option and get your documents approved in 1 business day or 1 hour. However, be aware that you’ll need to pay a lot extra.
You’re not quite finished yet. Your total formation and operational timeline is actually much longer, once you’ve completed the additional steps. These extend your formation timeline from 2 weeks to nearly 3 months, depending on your chosen filing methods and how long it takes you to complete each step.
It costs $175 to file your Certificate of Formation documents. Following this, you’ll need to pay $85 once a year to file your Annual Report and ensure you maintain your good standing. Additional costs may include Registered Agent service fees and any required business license fees.
Starting your Maine LLC requires you to choose a suitable business name, appoint a Registered Agent with a physical state address, and file your Certificate of Formation documents with the Maine SOS.
Once these are completed, you need to create your internal Operating Agreement, obtain your EIN, and apply for your necessary business licenses, based on your operating activities.
