Filing the Articles of Organization and Initial Report officially forms your Louisiana Limited Liability Company (LLC). These take 3-5 business days to process when filing online or by mail. You also need to take the mailing time into account when filing by mail.
However, this process only gets your LLC recognized with the Louisiana Secretary of State (SOS). You need to complete several additional steps before filing your formation documents, and once your LLC is formed, to become fully operational.
These additional steps can extend your formation timeline to more than 1 week, up to 3 months.

Disclaimer: The estimates given in my timeline are based on normal state and federal processing times. They assume that your formation documents are filed online, meaning they’re only estimates rather than exact figures. Your exact formation timeline depends on mailing delays, seasonal volume, chosen filing methods, and current agency workloads.
In Louisiana, your steps may change if you file your LLC formation documents by mail. This is because you do NOT need to reserve your desired LLC name or obtain your Employer Identification Number (EIN) beforehand.

How Long Does It Take To Form An LLC In Louisiana?
As I’ve mentioned above, my guide will take you through the online filing path when completing your Articles of Organization and Initial Report. There will be some differences if you choose to file by mail.

Phase 1: Formation & Registration
a. Step 1: Choose An Available LLC Name
Your first step when forming your Louisiana LLC is to choose an available business name. This must be unique and distinguishable compared to existing business names on file with the Louisiana SOS.
Under Louisiana Revised Statutes (RS) §12:1306, your filing will be rejected if you use a name already on file with the SOS.

To do this, search the existing business names registered with the SOS using the Louisiana Business Filings Search tool. Then, compare the existing business names to your desired LLC name to see if it’s available to use.
Alternatively, you can perform a preliminary name check by contacting the Louisiana SOS:
- Phone: 225.925.4704.
- Fax: 225.932.5314.
- Mail: P.O. Box 94125, Baton Rouge, LA 70804.
They’ll check if your desired name is available to use. However, this does NOT guarantee that your name will be available when filing your LLC formation documents.
Alongside ensuring that your name is available, you need to make sure that it meets the state’s naming rules and requirements.
Note: This step should take around 1 business day to complete.

b. Step 2: Reserve Your LLC Name
Important: As discussed above, you do NOT need to complete this step if you file your Articles of Organization and Initial Report by mail. This is because you do NOT need an EIN beforehand.
Under Louisiana RS §12:1307, you don’t need to reserve your LLC name. However, you will need to do this if you plan to file your Articles of Organization and Initial Report online.

This is especially important for the following locations: Ascension, Bossier, Caddo, Calcasieu, East Baton Rouge, Jefferson, Lafayette, Livingston, Orleans, Ouachita, Rapides, St. Tammany, Tangipahoa, or Terrebonne. Business owners must file online and can NOT use the mail filing process.
Businesses in other parishes may choose to file online or by mail.
The online filing process requires you to have an EIN before submission.

However, if you apply for an EIN before getting your LLC officially approved, you increase the risk of your EIN filing being associated with an unavailable LLC name.
Louisiana provides a workaround for this potential issue:
- Reserve your name first to ensure that it’s available to use.
- Use the name to file for your EIN.
- File your Articles of Organization and Initial Report online.
Note: You can reserve your desired LLC name using 2 main methods:
- Online via geauxBIZ: Your request should be processed in 3 to 5 business days.
- Mail filing by submitting the Reservation of Corporate/LLC/LC3/Partnership Name (Form 398): This takes the same time to be processed + additional mailing time.
Once approved, your desired LLC name will be reserved for 120 days. This should give you enough time to obtain an EIN.

c. Step 3: Obtain An EIN
After reserving your LLC name, you can use it to obtain your EIN. This is a unique 9-digit federal identification number issued by the Internal Revenue Service (IRS).
Alongside being required to file your formation documents online, an EIN is needed for the following purposes:
- Hiring LLC employees (if applicable).
- Opening a dedicated business bank account.
- Obtaining your necessary business licenses.
- Getting your Sales Tax Certificate (if required).
Note: You must wait until your LLC is approved before applying for your EIN if you file your Articles of Organization and Initial Report by mail.

Obtaining your EIN is free, regardless of your chosen filing method. You can use 3 main submission methods:
- Online: Available to U.S. residents with a valid Social Security Number (SSN) or Individual Taxpayer Identification Number (ITIN). Filing takes approximately 15 minutes to complete, with your EIN issued immediately once approved. Read my detailed filing instructions: How To Get An EIN Online.
- By mail: Must be used by non-U.S. residents without a valid SSN or ITIN. Complete Form SS-4 and mail it to the Louisiana IRS. Your form takes around 4 weeks + mailing time to process. Use my detailed instructions if you require more help: How To Get An EIN With Form SS-4.
- By fax: Complete Form SS-4 and submit it by fax. Processing typically takes around 4 business days.

d. Step 4: Appoint An Official Registered Agent
Under Louisiana RS §12:1308, you need to appoint and maintain a Registered Agent to form your Louisiana LLC. The primary job of your agent is to correctly receive and process state documents, legal filings, and Service of Process on behalf of your business.

You can choose between 3 main options when appointing your Registered Agent in Louisiana:
- Yourself.
- A trusted friend or family member.
- A professional Registered Agent service.
Your agent must meet the following requirements, regardless of your choice:
- They need to maintain a physical Louisiana street address (NOT a P.O. box).
- They must be available during normal operating hours to receive state notices and legal filings.
Appointing yourself or another individual as your agent seems like the quickest and cheapest option. However, I highly advise against doing this.
There is a much higher chance of missing important state notices and legal documents, resulting in penalties, fines, and potential loss of good standing. This risk is higher because you may be focused on running your business and miss these documents.
Alongside this, your agent’s name and personal address appear on the Louisiana public record. If you appoint an individual, you have a much higher risk of identity fraud.
For the reasons listed above, I highly recommend using a professional Registered Agent service. They’ll reliably receive and process your important state documents and legal notices on your behalf, reducing the risk of missing them.
Furthermore, using a professional agent allows you to use their address. This protects your personal details as they don’t go on the public record.

Once you’ve completed the steps above and have an EIN, you can file your Articles of Organization and Initial Report with the Louisiana SOS.
Once approved, your LLC is officially established and recognized as a separate business entity under Louisiana RS §12:1304.

Note: As I’ve said above, you do NOT need to reserve your desired LLC name or obtain an EIN first if you file your documents by mail.
In this case, you can proceed directly to this step once you’ve chosen an available business name and appointed an official Registered Agent.

2. Phase 2: Post Formation Setup
a. Create Your LLC’s Operating Agreement
An LLC Operating Agreement is an internal agreement among members. It acts as a foundational rulebook governing how your business is operated, managed, and run. While it’s NOT required by the state, I highly recommend that every LLC operating in the state, including single-member LLCs, create and maintain one.
Maintaining a proper written agreement helps:
- Open a dedicated business bank account.
- Strengthen your limited liability protection.
- Prevent internal disputes among LLC members.
- Show clear evidence of LLC management structure and ownership. This helps if your LLC is involved in legal disputes.
As an internal business document, you do NOT need to file your agreement with the Louisiana SOS or any other official government agency. I advise keeping it with your business records and ensuring that all members maintain an up-to-date copy for their reference.
Your agreement must reflect your management structure to clearly show how your LLC will be governed:
- Member-managed LLCs: All members participate in decision-making processes and daily business operations.
- Manager-managed LLCs: Members appoint one or more LLC managers to handle daily operations. Other members act as passive investors.

3. Phase 3: Initial Compliance
a. Step 1: Obtain Any Required Business Licenses And Permits
Important: Louisiana does NOT require you to obtain a general business license.
Therefore, there is NO universal timeline for completing this step.
Your licensing requirements depend on your operating location and chosen business activities.
Every licensing agency sets its own requirements and fees. Because of this, you need to contact the relevant agencies to confirm your requirements.
Note: It may take approximately 1-4 weeks to research and apply for your necessary business licenses.

b. Step 2: Get A Sales Tax Certificate (If Applicable)
Your business is regarded as a “dealer” if you sell, use, consume, store, lease, or rent taxable property or provide taxable services in Louisiana. This is set under Louisiana RS 47:301(4).
You must obtain a Sales Tax Certificate from the Louisiana Department of Revenue (DOR) if you qualify as a “Dealer.” This needs to be done before collecting and remitting Sales Tax in accordance with the Louisiana DOR requirements.

You can apply for your Sales Tax Certificate using 3 main ways:
- Online via geauxBIZ: Apply when filing your Articles of Organization and Initial Report. Your application takes 3-5 business days to process.
- Online via LaTAP: Use this method if you’ve already filed your formation documents by mail or need to obtain a Louisiana DOR Business Account to file your state tax returns. This takes approximately 3-5 business days to process.
- Mail: Complete the Application for Louisiana Revenue Account Number (Form CR-1) and submit it to the Louisiana DOR. Processing takes 2-3 weeks.

What Happens After Phase 3?
Ongoing LLC Operational Requirements
1. File Your Annual Report
Under Louisiana RS §12:1308.1, every Louisiana LLC must file an Annual Report once a year. This ensures that the state maintains up-to-date information on all LLCs operating in the state. You must pay a $30 one-time filing fee to submit your report.

Your Annual Report must be filed by your LLC’s anniversary date. This is the date when your LLC was officially approved by the state.
Your first report is due in the year after your LLC was approved.
Example: Your LLC was approved on May 10, 2026
- Your first report is due by May 10, 2027.
- Your report is then due every year after that.
Your Annual Report can be filed up to 4 weeks before your due date.
You have 2 options to file your Louisiana Annual Report:
- Online: Via geauxBIZ.
- Offline: Print your Annual Report form via the Business Search page and submit it to the state.

2. Renew Any Required Business Licenses And Permits
If you require a business license or permit, you need to renew them according to the requirements to keep active and maintain your good standing. Your renewal requirements depend on your license types.
I advise contacting your issuing agency(s) to confirm whether you need to renew your licenses and the fees you may need to pay.
3. File And Pay Your Taxes
Note: I suggest working alongside a CPA (Certified Public Accountant) or professional accountant to manage your taxes when operating your Louisiana LLC.
You must file and pay your required taxes to remain compliant when operating in the state. The number and type of required taxes primarily depend on your operating location, business structure, and chosen business activities.

These are some common taxes that your LLC may be required to pay:
- Federal Income Tax: All LLC members must report and pay taxes on business income using their personal federal tax returns.

- Local Taxes: These may include parish and city-level taxes, depending on your operating location.
