Delaware is one of the easiest U.S. states to form and manage your Limited Liability Company (LLC) in. However, you still have to complete several state regulatory and legal filings, all of which take time.
Getting your Certificate of Formation approved by the state takes approximately 10 business days. While you’ll be officially recognized as a separate legal entity, you won’t be able to perform full business operations. Alongside this, you’ve got to complete several ongoing tasks and complaince requirements to ensure lawful and efficient business operations.
I’ve broken the full formation and operational processes into three key phases.
- Phase 1 Formation & Registration – File your Certificate of Formation with the Delaware Division of Corporations. This officially establishes your LLC as a separate legal entity.
- Phase 2 Post-Approval Setup – After formation, create an internal Operating Agreement (OA) and obtain an Employer Identification Number (EIN) from the Internal Revenue Service (IRS) for tax purposes.
- Phase 3 Initial Compliance – Apply for any required local and state business licenses or permits to operate legally in Delaware.
You’re legally recognized and ready to conduct business once you complete these phases. Following this, fulfil your ongoing responsibilities. These include filing your Annual Report, paying the Delaware Franchise Tax, and renewing any required business licenses.

How Long Does It Take To Form An LLC In Delaware?

1. Phase 1: Formation & Registration

a. Step 1: Choose A Suitable Business Name
You must choose an appropriate LLC name before filing your Certificate of Formation with the Secretary of State. This must be unique and distinguishable compared to existing business names. Also, it has to comply with the state’s naming rules, such as using an approved designator. Common examples include “LLC” or “L.L.C.”

b. Step 2: Appoint A Suitable Registered Agent
Next up, you need to appoint and maintain an official Registered Agent under Delaware Code, Title 6, Chapter 18, Section 18-104. This is an individual or company appointed to receive official state notices and legal documents on your behalf.

c. Step 3: Complete Your Certificate Of Formation Documents
Once these initial steps are completed, you’re ready to file your Certificate of Formation with the Delaware Division of Corporations. This is required under Delaware Code, Title 6, Section 18-201.

This can be done online using the Delaware eCorp Business Services portal or by mail.
- Both processing services cost $110.
- Processing time is approximately 10–15 business days + Mailing delivery time (If filing by mail).
Note: You can use an expedited processing service provided by the Delaware Division of Corporations if you need faster approval. This can cost up to $1,000 for a one-hour processing service.

What Happens After This Phase?
2. Phase 2: Post-Approval Setup
Your Delaware LLC is officially approved, and it’s time to move to the post-approval setup phase. This is important. It ensures that your LLC is ready for basic operational procedures, tax reporting, and internal governance.
You need to complete two main steps.
a. Step 1: Make An Operating Agreement
First up, draft an Operating Agreement. This is mandatory when operating as an LLC in Delaware. Maintaining this important internal rulebook ensures smooth business operations by defining your LLC ownership, operational procedures, and management practices.
These are some of the main benefits of completing this step.
- It defines the roles and responsibilities of all LLC members.
- It protects your limited liability status by confirming you as a separate legal entity.
- It helps prevent confusion and internal disputes between LLC members.
Note – Even if you’re a Single-Member LLC, you should create an OA. This helps maintain your limited liability protection and open a business bank account.
Your OA is an internal business document. This means that it needs to be kept with your official business records rather than being filed with the Delaware Division of Corporations or any other official agency.
It should take around 1–3 days to prepare, depending on your management structure and the number of LLC members. Once completed, you need to get all LLC members to agree, sign, and date it to make it legally binding. Make sure each member keeps a physical and digital copy alongside their personal records.

b. Step 2: Apply For Your EIN
An EIN is a unique 9-digit Federal Tax Identification number issued by the IRS. It identifies your business for tax purposes, allows you to hire employees, and opens a business bank account.

Note: You must wait until your LLC has been officially approved by the Delaware Division of Corporations before applying for your EIN. If you apply before, you may face regulatory issues and run into processing delays, according to the IRS.

Your processing time depends on your chosen filing method:
- Online: Only available to U.S. residents with a Social Security Number (SSN) or an Individual Taxpayer Identification Number (ITIN). The application process takes approximately 15 minutes, and the EIN is issued immediately. Use my instructions: How To Get An EIN Online.

- By fax: Also available for those without an SSN or ITIN who need to submit Form SS-4. Processing takes approximately 4 business days.

What Happens After This Phase?
3. Phase 3: Initial Compliance
You’re able to conduct minimal business operations once you’ve completed Phase 2. The next phase is all about becoming fully compliant and operational under Delaware’s business laws.
This is important. You must obtain any required business licenses and permits before conducting full business operations.
All Delaware LLCs are required to obtain a General Business License from the Delaware Division of Revenue. This requirement is set out under Delaware Code, Title 30, Chapter 21, Section 2101.

You can apply for this using two main methods.
- Online – Use the Delaware Business One Stop Portal to submit your application.
- By mail – File your completed Combined Registration Application (CRA Form) with the Delaware Division of Revenue.
Once you’ve filed your business license application, your business is officially registered with the state.
- The filing fee is approximately $75 per industry.
- You’ll be charged an additional $25 fee for every extra business location.
- Processing and issuing times take around one month (Depending on your filing method).
- You must renew your General Business License annually (You can also choose the three-year renewal option).

a. Step 1: Obtain Your Other Licenses
You may need to get additional municipal and professional licenses depending on your business activity and location. I recommend that you apply for these at the same time as you apply for your State Business License. Processing times for different agencies can be between 1–4 weeks.
Alongside this, certain regulated business activities require a Federal license or permit. You’ll need to contact the appropriate Federal Agency to see what licenses you require. Examples include LLCs operating in broadcasting, alcohol, firearms, and transportation industries.
What Happens After This Phase?
Maintaining Your Delaware LLC In Good Standing
To keep your Delaware LLC fully operational and compliant, you must complete regular filings, renewals, and tax payments as required by state law.
Even after formation, your business must continue to meet Delaware’s ongoing compliance requirements to avoid penalties or potential administrative dissolution.
Here are your three key ongoing responsibilities:
1. Pay Your Delaware Annual Tax
You’re not required to file an Annual Report when operating as an LLC under Delaware law. However, you still need to pay your Delaware Annual Franchise Tax.
- All LLCs registered in Delaware must pay, even when generating no income.
- You need to pay a flat $300 mandatory state fee. This must be paid annually to the Delaware Division of Corporations.
- All payments must be submitted each year on or before June 1.
- Your first payment is due in the calendar year following your official formation date.

Example: Your Delaware LLC was formed on September 15, 2025.
- Your first Annual Franchise Tax payment is due on June 1, 2026.
The state of Delaware will charge a $200 penalty if you make a late payment or fail to pay. Alternatively, you’ll accrue interest at a rate of 1.5% of the total amount due every month. This includes the original Delaware Franchise Tax and the penalty fee.
- Your LLC will lose its good standing with the Delaware Division of Corporations if you fail to pay your Annual Franchise Tax or maintain an official Registered Agent.
- Your payment must be made online using the Delaware eCorp system. There is no mail-in payment option available.

2. Renew Your Required Business Licenses
So, you must review your Delaware General Business License. This is mandatory. You may need to do this every 3 months, depending on your chosen renewal option.
Furthermore, renew your municipal, industry-specific, and professional licenses. These are in accordance with the state requirements.
Fail to do this, and you can be fined up to $100 under the set rules and regulations, as you’re not displaying a valid business license. You can find this outlined in the Delaware Code Title 30, Chapter 21, Section 2109.

3. File And Pay Your Taxes
Finally, your local, state, and federal tax requirements. You need to complete these in addition to your General State Business License and Delaware Annual Franchise Tax obligations. File them on time. You will avoid fines, penalties, and potential legal consequences.
These are your common tax responsibilities.
- Federal income tax – Reports your LLC’s income based on your tax classification. Required by the IRS.
- Employment taxes – Required if you hire employees. This includes unemployment and federal payroll taxes.
- Sales and use tax – Certain goods and services may be subject to tax obligations.
- Delaware gross receipts tax – Required if you receive income from goods or services in Delaware.

What Happens After This Phase?

Your LLC should have everything required (Approvals and documents) to be fully operational when phase 3 is completed.
Here is what your LLC should have on file at this point:
- Certificate of Formation – Obtained from the Delaware Division of Corporations.
- Registered Agent – Must have a valid Delaware business address.
- EIN – Issued by the IRS for tax and banking.
- Operating Agreement – Completed internal rulebook outlining your operation procedures and management structure.
- Delaware General Business License – Obtained from the Delaware Division of Revenue.
- Licenses and permits – Any required municipal, professional, and federal licenses and permits according to your business activities.
Your Delaware LLC is fully approved and legally authorized to conduct business activities in Delaware once this checklist is completed. It typically takes around 9 weeks to complete these mandatory filings and regulations (This varies depending on your filing methods).
Make sure that you complete your ongoing compliance requirements. These include paying your Delaware Annual Franchise Tax, renewing your local and state business licenses, and filing and paying your state and federal taxes.
