How Long Does It Take To Start An LLC In California?
1. Phase 1: Formation & Registration
Begin by selecting a name for your LLC and nominating a Registered Agent possessing a physical address in California. This has to be done before submitting your Articles of Organization.

Once you have completed those first steps, you can file your Articles of Organization. This needs to be done through the BizFile Online portal.
Applications can only be submitted online since 2025 at a cost of $70.
Note: As of 2025, moving forward, you can only form your LLC online via BizFile Online. The mail option by filing the Articles of Organization – Form LLC-1 is no longer available
This initial step usually takes between three and five business days. Afterwards, you will get the official approval of your California LLC.

2. Phase 2: Post-Approval Filings & Internal Setup
During this phase, you will need to follow many essential steps.
These can all be accomplished at the same time or not far behind each other. Below are the three main steps to internally set up your California LLC:
a. Establish An Operating Agreement
First, the Operating Agreement is basically a rulebook for how your LLC is organized and run.
Filing it with the California Secretary of State is not necessary. However, members of the LLC should safely keep the Operating Agreement with the company records.
The goal of an Operating Agreement is to assist in defining each member’s rights and obligations. Plus, it strengthens your limited liability protection per California regulations.
This document can take between 1 and 15 days to elaborate, revise, and sign by all members. Of course, this timeframe varies according to your LLC’s structure, terms employed, and number of members.

b. Obtain An EIN
The Internal Revenue Service (IRS) will give you a nine-digit Employer Identification Number (EIN). This is to identify your LLC for tax and financial purposes.
Your EIN will serve you for many different business-related tasks:
- Creating a business bank account.
- Submitting federal and state taxes.
- Taking on employees.
- Applying for business licenses or permits.
It’s important to wait until your LLC is approved by the state of California before applying for an EIN.
How long this step takes will vary according to the method you used to submit your application.

If you decide to apply online, the IRS will automatically give you your EIN. They will also send your EIN Confirmation Letter (Form CP 575) the same day.
On the other hand, if you apply via mail with Form SS-4, it can take up to 4 weeks to get approved. This doesn’t take into account the mailing time.
As for faxed applications, the IRS handles and sends back your EIN in approximately four business days.

c. File The Statement Of Information
Form LLC-12, also known as the Statement of Information, has to be filed as a requirement. This is to update the California Secretary of State on your LLC’s current address, management structure, and Registered Agent.
The only way to file this form is now online through the California Secretary of State’s website. You will need to pay the fee of $20 once you submit this form.
In terms of processing times, expect around three to five business days for this step to be finalized.
Within 90 days of your LLC being officially registered, you will have to submit the initial Statement of Information. Once this is done, the next ones you will need to file are only every two years. This obligation is required by the California Corporations Code §17702.09.

Let’s have a look at a concrete example.
If your LLC was established on October 14, 2025, your first Statement of Information needs to be submitted by January 12, 2026. This would respect the 90-day timeframe. Then, every two years, another Statement of Information needs to be filed by October 14.

3. Phase 3: Satisfy The Initial Legal And Tax Obligations Within California
Once your LLC’s internal setup is finalized, your next move is to uphold California’s initial compliance requirements.
There are two essential steps you will need to follow during this phase:
a. Acquire The Required Business Licenses And Permits For A California LLC
You are not obligated to hold a general statewide business license by the State of California.
Even so, you might be required to get a distinct city or county business license or an industry-specific permit. This will depend on your company’s activities, location, and regulatory obligations.
To illustrate this, let’s say you are running a professional service, a food establishment, or a construction-related business. In these cases, you would likely need permission from local or state agencies before you begin your operations. You will likely need a Seller’s Permit, for instance.
If you’re wondering “How long does it take for an LLC to be approved in California?”, the answer can vary. Usually, it takes between 1 to 4 weeks to complete the process. However, the timeline may differ based on which jurisdiction and industry are implicated.

b. Settle The Initial $800 California Franchise Tax
To stay in good standing with the State of California, you will need to pay the California Franchise Tax (FTB). This is a yearly fee that every LLC is obligated to pay to the FTB.
To settle this payment, you can do so online or by mail. If you decide to use the mailing option, you will need to append the Payment Voucher (Form 3522) together with your check.
After your LLC receives approval, you will have to pay your first $800 Annual Franchise Tax fee. This needs to be settled by the 15th day of the 4th month after your LLC’s acceptance.
Since the state counts your formation month as month one, your payment is due roughly 3.5 months after approval. As an example, if your LLC is accepted on March 20, 2025, your initial $800 payment has to be settled by July 15, 2025.
After this initial fee is paid, the next annual franchise tax payments are owed on the 15th day of the 4th month. This is applicable for each year where you owe taxes.
Note: In some cases, you might have to make two $800 payments close to each other. This can happen if you start your LLC near the end of the year. One payment will be for the current tax year, and the other one for the next.

After forming your LLC, it is essential to maintain smooth business operations and keep your company in good standing with all state and local requirements.
Failure to meet ongoing obligations can result in penalties, loss of liability protection, or even administrative dissolution by the state. Below are the key compliance tasks you must complete:
1. Biennial Report
As long as your LLC is active, you will need to file a Biennial Report every two years. This report can sometimes also be referred to as the Statement of Information.
We mentioned this filing earlier in this article. As a reminder, it has to be filed with the California Secretary of State. This ensures your LLC’s public information stays current.
2. Annual Franchise Tax
No matter what your LLC’s income is, you will need to pay the Annual Franchise Tax. This $800 payment will need to be made each year and is mandatory for all California LLCs.
You will be required to make the payment by the 15th day of your fourth taxable month. This applies for each taxable year.
For example, if your LLC was accepted on March 20, 2025, your first $800 payment is due by July 15, 2025. Then, for the 2026 tax year, your next payment will need to be settled by April 15, 2026.
3. Estimated LLC Fee
If your LLC turns in more than $250,000 in total yearly revenue, you will need to pay the Estimated LLC Fee. The fees increase proportionally to the amount of revenue your LLC generates.
To settle the Estimated LLC Fee, you will need to file Form 3536 with the FTB. This can be done online or by mail. LLCs are required to estimate and pay this fee by the 15th day of the sixth month of the current tax year.
For instance, let’s say your LLC was formed on March 20, 2025, and your tax year runs from January 1 to December 31, 2025. In this scenario, you would need to submit Form 3536 and make your estimated payment by June 16, 2025.

4. LLC Return Of Income
If you run an LLC in California, you are obligated to submit a state-level tax return. However, the form you will need to use will differ according to how your LLC is taxed by the IRS.
You will use Form 568 for your LLC in the following taxing scenarios:
- Sole Proprietorship.
- Partnership.
- Qualified Joint Venture.
On the other hand, if your LLC is taxed as a corporation, you will need to employ one of the forms below:
- Form 100 for LLCs taxed as C-Corporations.
- Form 100S for LLCs taxed as S-Corporations.
The filing deadline for your California LLC tax return depends on how your business is classified for tax purposes. In general, Form 568, Form 100, or Form 100S must be filed each year by either March 15 or April 15.
The FTB automatically provides a filing extension of six or seven months, depending on your LLC’s entity type.
