In this section, I’ll detail each step of the formation process for an Arkansas LLC. I divided it into three distinct phases, explaining what to complete, how long each stage takes, and which filings are required.
1. Phase 1 – Formation And Registration
Let’s start with phase 1. You’ll need to complete the essential filings required to establish your LLC as a legal entity. These include choosing a suitable business name, appointing an official Registered Agent, and submitting your completed formation docs.
Once everything is approved, you can begin your post-formation steps.
These are your three essential steps.
- Pick an LLC name.
- Nominate a Registered Agent.
- Submit the Articles of Organization.
a. Step 1: Pick An LLC Name
Before submitting your Articles of Organization, you need to select a name that follows Arkansas legal requirements. Under Arkansas Code Annotated (A.C.A.) § 4-38-112, your LLC name has to be distinct from all others registered in the state. Adding punctuation, plurals, or different designators such as “LLC” or “Inc.” doesn’t make a name unique.
Your name should also include “LLC,” “L.L.C.,” or “Limited Liability Company.” Finally, you can’t use restricted or misleading words unless your business is authorized to do so.

You can check your desired name’s availability using the Arkansas Business Entity Search engine on the Secretary of State’s website. This tool compares your proposed name to all existing businesses in the state and guarantees it meets Arkansas’s discernibility standards.

Also, pay attention to Fictitious Names. In Arkansas, an LLC might operate under a different name from its legal one. This is possible only if that name is registered as a fictitious name under A.C.A. § 4-38-122. A fictitious name is also referred to as “Doing Business As” or DBA. Notes –
- Your Registered Agent needs to be available during regular business hours to receive state notices, legal documents, and official paperwork.
- You need to get written consent from your agent before filing your Articles of Organization.
- Their name and address should appear on your Articles of Organization, and missing or incorrect details often cause filing rejections in Arkansas.
c. Step 3: Submit The Articles Of Organization
The final step in Phase 1 is filing your Articles of Organization with the Arkansas Secretary of State. This filing officially creates your LLC as a legally recognized business entity. The state filing fee is $45 online (paid directly through the system) or $50 by mail (Check or money order payable to the Arkansas Secretary of State).
Once everything is processed, you’ll receive a payment receipt, a stamped and approved copy of your formation docs, and a Certificate of Approval. This confirms your formation date.

a. Step 1: Write An Operating Agreement
Arkansas doesn’t legally require an Operating Agreement, but every LLC should have one. This internal document outlines your LLC’s ownership, management, and operations. Additionally, it defines member rights, voting rules, profit sharing, and procedures for adding or removing members.
An Operating Agreement is especially useful for:
- Multi-member LLCs.
- Manager-managed LLCs.
- Preventing conflicts and misunderstandings.
- Maintaining liability protection.
Your agreement should clearly reflect your company’s management structure. You can choose between two setups that will guide who runs your LLC’s daily operations:
- Member-managed: All members share control of daily operations and decisions. This model suits small LLCs where every owner wants direct involvement.
- Manager-managed: Members designate one or more managers to oversee operations. Non-managing members act as investors and don’t handle daily decisions.

Next, obtain an Employer Identification Number (EIN) from the Internal Revenue Service (IRS). This nine-digit number acts as your LLC’s federal identification for tax and financial purposes. You’ll need an EIN to open a business bank account, hire employees, and apply for state and local licenses.
Make sure your LLC is fully approved by the Secretary of State before applying for an EIN In Arkansas. The IRS only issues this number to a legally formed entity.

- By fax – Also suitable for applicants without an SSN or ITIN. For this option, you’ll need to fax your completed Form SS-4 to the IRS. You’ll usually receive your EIN from them in about four business days.
You’ll be given your confirmation letter (CP 575) alongside your EIN as proof that you’ve been issued one.
Applying online is the best way. You’ll get instant confirmation and can download your letter from the confirmation page.
If you mail or fax your application, the IRS will mail your letter to the listed address on Form SS-4. Be prepared to wait longer.
c. What You Gain After Completing This Phase
3. Phase 3: Initial Compliance
Phase 3 is the final step before your Arkansas LLC can officially operate. Here, you’ll confirm whether your business needs state or local licenses or permits. Once these are secured, your LLC is fully authorized to conduct business in Arkansas.

Arkansas does not issue a statewide general business license. Alternatively, licensing depends on your business activities and physical location. Depending on your operations, you might need approvals from the city clerk, county office, or state regulatory board.

b. Step 2: Apply For A Sales And Use Tax Permit
If your Arkansas LLC sells goods or services that are taxable under state law, you must register for the Sales and Use Tax Permit with the state’s Arkansas Department of Finance & Administration (DFA), as stated in A.C.A § 26-52-201 and Section GRR-72 Arkansas Gross Receipts Tax Rules.

This permit lets your business collect sales tax on taxable goods and services. Plus, it allows you to remit use tax on out-of-state purchases used in Arkansas and operate legally under state tax law.
For example, if your LLC sells taxable items in Little Rock, you would charge sales tax on those transactions.
If you buy equipment from another state and use it in Arkansas, you’ll likely owe use tax on that item.
The registration fee is $50, and you can sign up using one of the following methods:
- Online: Use the Arkansas Taxpayer Access Point portal. Most registrations are finalized within a few business days, and you can access your tax account immediately after it’s activated.
- By mail: Submit the AR-1R Combined Business Tax Registration Form to the DFA. Mail submissions take 1–3 weeks, depending on the quantity to process and delivery times.

c. What Happens After Phase 3?

Creating your Arkansas LLC is just the start. To maintain your business’s good standing, you have to meet yearly compliance obligations set by the state.
1. Renew Your Local Or Specialty Business Licenses
Arkansas doesn’t mandate a statewide general business license, so there’s no state-level renewal. That said, many cities and counties require local licenses or permits, most of which renew annually or every two years.
Common examples include:
- City business or occupation licenses.
- Restaurant, food service, or health permits.
- Home-based business authorizations.
- Industry certifications from state boards.
Due to renewal rules varying by location and industry, confirm details with your city clerk, county office, or state licensing board. This way, you’ll get a better idea of timelines and obligations for your LLC’s needs. Failing to renew on time can lead to fines or a temporary suspension of your business in that area.
2. Pay Your Annual Tax
Under A.C.A. § 26-54-104, every Arkansas LLC, corporation, bank, and insurance company has to pay an annual franchise tax.

The Arkansas Annual Franchise Tax costs $150 per year and is due by May 1 to maintain good standing status.
You can file and pay online through the Secretary Of State’s Franchise Tax Portal. You’ll then be offered the option to finalize your filing online or by mail using the downloadable form. Online payments include a processing fee of about $5 by credit card or $3 by electronic check.
