If you’re planning to start your Alabama Limited Liability Company (LLC), you’ll likely be asking yourself questions like “How long does it take to form an LLC in Alabama?” Simply put, your expected timeline depends on how quickly you complete your filings and any required steps following approval.

How Long Does It Take To Form An LLC In Alabama: A Complete Timeline

1. Phase 1: Formation And Registration

a. Step 1 – Choose And Reserve Your LLC Name

Your first task is to pick a suitable business name. It needs to be both unique and compliant according to the state naming rules.

In practice, this means that it must be distinguishable from names already registered with the Alabama LLC. This is really important.

You’ll need to add an approved designator before submitting your reservation. Include something like “Limited Liability Company,” “LLC,” or “L.L.C,” and you’ll be good to go.

Note that your name can’t include restricted terms such as “bank” or “corporation.” These are seen as misleading. Cofirm your name availability before applying or reserving it using the Business Entity Records page just to be sure.

Your reservation needs to be made before submitting your official formation docs. Simply file your Name Reservation Request Form for Domestic Entities with the Secretary of State. Do this online or by mail.

Online reservations are quick and should be done within 24 hours. In most cases, it’ll be sorted in a matter of minutes. File by mail, and you’ll need to be patient. Wait around 2 to 3 weeks to get things over the line, which includes your delivery and processing times.

Your name is locked in place for 1 year once its reserved. This can be renewed. Note that making a reservation holds the name but won’t guarantee that your filing gets accepted. Bear this in mind.

b. Step 2 – Designate A Registered Agent

With your name in place, move onto your Registered Agent requirements. Under Alabama law, every LLC must appoint and continuously maintain one at all times.

Your agent is a individual or business entity appointed to receive and correctly process state regulatory docs, legal filings, and Service of Process on behalf of your business.

Choose a professional entity, and they’ll provide a seperate state address almost instantly once payment is made. This is very advantageous.

If you decide to use an individual, you’ll need to prepare their details. Don’t worry, this doesn’t take long.

So, your chosen agent needs to fulfil the following criteria:

  • Maintain a physical street address in the state. You can’t use a P.O. box.
  • Be consistently avaialble during normal operating hours to receive and handle Service of Process and official ppaerwork.

You’re well within your rights to act as your own agent or appoint someone you trust. Even so, I highly advise against this. If you want to maintain privacy and complaince, go with a professional service just to be sure. They keep your personal info off the public record, and ensure you remain in good standing when operating.

c. Step 3 – File The Certificate Of Formation

Once you’ve reserved your name and selected a Registered Agent, file your Certificate of Formation to officially create your LLC.

You can submit this document to the Alabama Secretary of State online or by mail. Online filings receive immediate approval if everything is accurate. In contrast, mail filings take 1–2 business days to process, plus mailing time.

You can submit your Alabama Certificate of Formation using the Online Business Services Portal. The fee is $208, which includes the state’s convenience fee. If all details are correct, the Secretary of State approves your filing right away. This is the fastest way to form your LLC in Alabama.

2. Phase 2: Post-Approval Filings And Internal Setup

In Phase 2, you’ll put your daily operational procedures in place, ensuring that your internal rules are firmly established. This involves completing your operating Agreement and acquiring an EIN.

a. Step 1 – Draft Your Operating Agreement

First up. your internal Operating Agreement. This foundational internal busniess rulebook will define how your LLC should be managed and operated at various levels.

Actually, theres no requirement to maintain or even make an agreement in Alabama. Even so, I highly recommend having one regardless of whether you’re a single-member or multi-member LLC.

Part of your agreement must clearly show your chosen anagement structure. You’ve got two main options here.

  • Member-managed LLC – Every LLC member takes part in daily operations and business decisions. This is best for small companies where members prefer a hands-on role.
  • Manager-managed LLC – Members appoint one or more managers to run things, while other members act as passive investors.

b. Step 2 – Get An EIN

With your agreement in place, your next goal is to obtain an Employer Identification Number (EIN). Think of it like a Social Security Number (SSN) but for your business. It’s your main federal obligation.

You’ll need an EIN to complete several vital business activities. Some common examples include opening a business bank account, hiring employees, filing required taxes, and helping maintain your liability protection. It’s really important.

Note – You can’t apply for an EIN without getting formation approval first. If your legal name on both docs doesn’t match, you’ll face delays and rejections.

Get your EIN using one of three main methods. Your choice determines how fast you’ll get it.

  • Online: Available to U.S. residents with a Social Security Number (SSN) or Taxpayer Identification Number (TIN). The application takes about 15 minutes, and the IRS issues your EIN instantly. See my guide: How To Apply For Your EIN Online.
  • By mail: Commonly used by non-U.S. residents without an SSN or TIN. You need to submit Form SS-4 to the IRS. Processing takes about 4 weeks, plus mailing time. See my article: How To Get An EIN Using Form SS-4.
  • By fax: Also used by non-U.S. residents without an SSN or TIN. For this method, you fax Form SS-4 to the IRS. Processing usually takes around 4 business days.

3. Phase 3: Initial Compliance

a. Step 1 – File The Initial Business Privilege Tax Return

After your LLC is formed and you receive your EIN, you need to file your Initial Business Privilege Tax Return. This has to be done within 2.5 months of your LLC’s creation date. This gives you about 75 days from your LLC’s approval date by the Secretary of State.

The Department’s Business Tax Regulation requires all LLCs and limited liability entities to complete this filing. You can review the rules on the Alabama Department of Revenue website.

First, create your business and tax accounts with the Alabama Department of Revenue to stay compliant and avoid penalties. Then, file Form BPT-IN and pay the fees through the My Alabama Taxes (MAT) portal.

After you file your Initial Business Privilege Tax Return, the Alabama Department of Revenue officially registers your LLC. Your next step is to obtain your Business Privilege License, which authorizes your company to operate legally in Alabama.

b. Step 2 – Secure Your Business Privilege License

Once you submit your Initial Business Privilege Tax Return, you should secure your Business Privilege License to make your LLC fully operational. County offices issue the license, and the Alabama Department of Revenue (DOR) oversees the tax and licensing requirements.

Alabama doesn’t require a separate Annual Report to be submitted to the Secretary of State. Alternatively, you report that information within your Business Privilege Tax Return, which you submit each year to the Alabama Department of Revenue.

To get your Business Privilege License, you can apply at your county Probate Judge’s Office or file online through the My Alabama Taxes (MAT) portal. The online application takes only a few minutes, and payment confirmation is usually sent within 3–5 business days.

c. Step 3 – Obtain Your LLC’s Sales Tax Permit (If Applicable)

Code of Alabama § 40-23-6(a) requires every LLC conducting taxable activities to register for a sales tax license from the Alabama Department of Revenue (ALDOR).

The only method for registration is through the My Alabama Tax (MAT) System, without any fee. The system takes 2-5 business days to process your application.

If your business is in a non-state-administered area, an additional local permit may apply. To determine, check with the relevant city or county authority.

Recurring Tasks For Alabama LLCs: Yearly Requirements

Once your LLC is formed and licensed, you still need to carry out a few yearly tasks to keep it active and compliant with the state. These obligations are simple but crucial if you want to avoid fines or administrative dissolution.

1. Renew Your Business Privilege License

Every Alabama LLC is required to renew its Business Privilege License each year.

  • Renewal period: You can renew between October 1 and October 31.
  • How to renew: Submit your renewal through the county Probate Judge’s office or the My Alabama Taxes (MAT) portal.

If your LLC runs in more than one county, you may need additional county licenses.

2. File Your Annual Business Privilege Tax Return

Alabama doesn’t ask for a separate filing of the annual report anymore. That said, you’ll need to submit a yearly Business Privilege Tax Return unless your calculated tax is $100 or less.

3. Maintain Local And Professional Licenses (If Applicable)

If your city or county requires local or professional licenses, renew them each year based on their schedule. For example, Birmingham license renewals are often due in February.

Always confirm exact deadlines with your local government or state licensing boards.

4. Renew Your Sales Tax Permit (If Applicable)

Your Alabama sales tax license expires by the end of every year. Renewal’s filing window starts from November 1 to December 31.

Failure of renewal license may cause your license be cancelled, and you will lose the ability to legally collect tax and issue resale certificates until you re-register.

5. Keep Your Records And Tax Filings Updated

To keep your LLC’s good standing status, ensure you do the following:

  • Maintain accurate financial and ownership records throughout the year.
  • File your federal and state taxes according to your LLC’s tax classification (Single-member, multi-member, or S-Corp).
  • Renew your Registered Agent service on time, if you use one.
