Anyone wishing to form an LLC in Massachusetts must file a Certificate of Organization with the SEC under the Massachusetts LLC Act §12.

Good news regarding your processing times. Regardless of your chosen filing method, your formation docs will be approved within 1 to 2 business days.

However, there’s a caveat. If you file your Certificate of Organization in Massachusetts by paper, you’ll have to wait longer to get your approval. This is due to the transit time between you and the SOS, which may take up to 1 week.

1. State Your LLC Name

First, state your legal LLC name, exactly as you want it to be on your official business docs. Make sure it includes your preferred capitalization as well as an approved designator (“LLC” or “L.L.C”), and you’re good to go.

“LLC” is the most common option.

2. The Address In The Commonwealth Where Your Records Will Be Maintained

Next up, state the address where you’ll be keeping your official business records.

Feel free to use one of the following:

  • A home address.
  • An office address.
  • The address of your official Resident Agent (a.k.a. Registered Agent).

If your address is the same as your Registered Agent’s, choose “Resident/Registered Agent” in the “Same Address As” dropdown menu. Otherwise, just leave it as the default value.

3. Add Your General Business Characteristics

You should see a box underneath asking about your business characteristics. Enter your LLC purpose here.

Don’t worry too much. It doesn’t need to be extremely specific unless you actually want it to be. Also, you won’t be asked to continuously keep doing this. You’re able to change your business purpose as it grows.

Just enter a few words to finish this section, such as “pizza shop,” “landscaping,” etc., or even a few sentences.

Note: You can’t use a “general use” clause in Massachusetts, such as “All purposes for which an LLC can be formed.” Your application will, unfortunately, be rejected if you attempt to use one.

4. Dissolution Procedures

Add a future date for question 4, only if you actually want your LLC to end automatically on that date.

This field is commonly left blank. It allows your business to stay open-ended and be closed at a later date by filing the appropriate dissolution paperwork.

5. Provide The Name And Street Address Of Your Resident Agent

Note for terminology: “Resident Agent” and “Registered Agent” refer to the same thing.

In this section, you’ll need to provide your Resident Agent’s full name in the first field and street address in the fields underneath. Don’t use a P.O. box address.

Your chosen agent must meet these requirements:

  • Individuals need to reside in Massachusetts.
  • If your Resident Agent is a company, they need to be authorized to do business in Massachusetts.

For the consent line, write the exact name of your Resident Agent once more. You should see this to the right of “I.” Without this, your filing will be rejected.

6. Manager Names And Addresses (If Your LLC Is Manager-Managed)

Note: Don’t worry about this part if your LLC is member-managed. Leave it blank.

b. Enter Manager’s Info

You can check the box to auto-fill the address fields if your manager’s business address is the same as your LLC’s address. This is optional.

Then, enter your manager’s full name before clicking “Add” to save your entry.

c. Result Table

The system should then generate a results table. Repeat the same process if you need to add more managers.

7. State The Names And Addresses Of Authorized Signer(s) (If Your LLC Is Member-Managed)

Note: Leave this part blank if your LLC is manager-managed. Otherwise, enter any additional authorized signer’s names and addresses alongside those listed in section 6.

Provide the names and addresses of each person authorized to sign documents on behalf of your business if you’re a member-managed LLC. In most cases, this will be yourself and any additional members.

Here’s how you’ll do this step-by-step:

b. Enter Member’s Info

Enter the member’s name, then check the applicable box if their business address is the same as your LLC’s address. The system will automatically populate the address fields.

Click “Add” to save the entry once done.

c. Result Table

You should now see a results table just like the one in the picture below. Repeat the same steps if you need to add additional LLC members.

8. Clarify The Names And Addresses Of Authorized Signer(s) (For Real Estate)

Section 8 is about members or managers authorized to sign real estate documents on your behalf. Enter the name and address of each individual if you’re involved in real estate transactions.

Otherwise, simply leave this part blank and move on.

b. Enter Member’s Info

Check the box to auto-fill the necessary address fields if a member’s address is the same as your LLC’s address.

The stated information should now appear in a table. Just repeat the same steps for each member, and you’re good to go.

9. Additional Matters Section

Most people leave this section blank. However, you can add custom LLC provisions here if you wish.

If you really need to do this, I highly recommend seeking help from a professional.

10. Give An Effective Date

Complete this part if you want your LLC to become effective on a specific future date and time.

Most people choose to leave this blank. This means that your business will begin operating as soon as your formation docs are approved.

Note that if you do decide to enter a date, it must NOT be more than 90 days from your filing date.

12. Complete Your Filer’s Contact Information

Underneath, add your name in the “Contact Name” field. The “Business Name” field can be left blank.

Provide your street address if it’s different from the one listed in section 2. Things are simple here if it’s the same. Select it from the dropdown menu on the right-hand side to auto-populate the required fields.

Oh, and don’t forget to add your contact phone number and email address at the bottom.

13. Signature Part

Print your full name in the signature field and click “Accept.”

You can now click “Review” to be taken to the final review stage.

The online system will turn all entered info gray, and you’ll have to review it.

Click “Make corrections” if any edits are needed. If not, click “Submit Filing” to process your filing.

14. Enter Your Payment Details

a. Click “Pay”.

You should see a “PAY” button on the next page. Click it to be taken to the payment options.

b. Select Payment Method And Enter Your Information

You can choose to use a credit card or an e-check to submit the required filing fee. Both methods require you to enter your payment info and billing details.

Note: You will automatically be charged an additional $20 expedited fee when filing online.

Press “Continue” to submit your payment to the state.

Congratulations. Your Massachusetts LLC formation filing has been successfully sent for processing.

All that’s left to do now is wait for approval. Your filing should be processed and approved within 1 to 2 business days.

How To File Your Paper Massachusetts LLC Certificate Of Organization

The state allows you to submit your formation documents as a hard copy if you’re not good with tech.

Download the Official Paper Form or click “Download” on the right-hand side of the screen to get started.

Remember these important points when using the paper form filing method:

  1. Your form can be filled out on your computer or by hand using blue or black ink.
  2. It must be printed on regular white paper (8.5″ x 11″).

You’ve got three filing options: by mail, by fax, or in person.

Once completed, your docs should be processed and approved within 1 to 2 business days. However, you’ll need to wait for the delivery and receipt times.

1. Start With Your LLC Name

To get things started, type your legal LLC name exactly as you want it to be registered. Include an approved name ending, such as “LLC” or “L.L.C,” at the end.

Note: You should see the “Federal Identification No” field (a.k.a. EIN) at the top of the page.

Skip this for now. You’ll obtain this number once your LLC has officially been formed.

2. LLC Address Details

Underneath, enter the state address where your LLC records will be kept. This has to be in Massachusetts.

3. State Your LLC’s Purpose

The next section asks you to describe your LLC’s purpose. Add a brief description, such as “pizza shop” or “landscaping,” or something detailed if you prefer.

It’s okay if it needs changing. You can update your purpose later on.

Make sure you don’t use a general-purpose statement for this part, such as All purposes for which an LLC can be formed. This is not allowed in Massachusetts. Make sure it’s specific, and you should be okay.

4. Dissolution Date

This part is commonly left blank by most LLCs so they can decide when to officially close the business. Even so, you can add a specific date if you want things to end automatically.

5. Add Your Resident Agent Info

Next up, provide your Resident Agent’s full name and physical street address in the applicable fields. Do NOT use a P.O. box for this section.

If you’re using an individual, they must be living in Massachusetts. Otherwise, your chosen company needs to be authorized to do business in the state to be accepted.

Note: The state may use the terms “Resident Agent” AND “Registered Agent.” They both have the same meaning and can be used interchangeably.

6. Names And Addresses Of Managers (If Your LLC Is Manager-Managed)

Note: If you’re a member-managed LLC, leave this section blank.

Enter the name and address of all LLC managers if you want to operate as a manager-managed LLC.

7. State The Names and Addresses of Authorized Signer(s) (if your LLC is Member-Managed)

Note: This section is optional if you’re a manager-managed LLC. Either leave everything blank or provide the name and address of any of your authorized signers here, besides those listed in section 6.

You need to state the name and address of each person authorized to sign documents on behalf of your LLC if you’re a member-managed LLC. In most cases, this is you and any additional members.

Complete this part if your LLC is involved in real estate transactions. If so, give the name and address of any member or manager authorized to sign real estate documents on behalf of your business.

9. Clarify Additional Matters (Optional)

You can add custom provisions here if needed. However, this part typically requires the help of a legal professional and is often left blank.

Enter your Registered Agent’s name in the field to the right of the “I.” This officially confirms their consent to act on behalf of your LLC.

12. The Fee & Date You Filed Your Form

This part must be completed by hand once you’ve printed your form out. You won’t be able to type into these fields if you’re on your computer.

Your filing fee will be $500. Write it down in the applicable field, then enter the date that you signed your form.

Note: If you choose to file by fax, your total fee will be $520 since you need to go to the state portal and pay online to get your fax cover sheet. More on this later. You should still write down $500 here.

13. State Your Effective Date

This section can be left blank unless you want your LLC to become effective on a specific date. It will become effective as soon as your formation docs are approved.

Your future effective date must be no more than 90 days after your filing date if you choose to use one.

14. Contact Information Section

Add your contact info so the state can reach you if they have any questions regarding your filing.

15. File Your Completed Form

Good news, your filing is nearly completed!

Prepare a $500 or $520 check or money order, making it payable to the “Commonwealth of Massachusetts.” As I’ve said above, the fee is dependent on your chosen filing method.

If you file by mail or in person, send your completed envelope to this address:

You’ll have to visit the Massachusetts File by Fax portal if you want to submit your documents by fax. Once there, follow these steps:

  1. Choose your filing type.
  2. Complete the prompts to calculate your filing fee.
  3. Make your online payment.
  4. Print the bar-coded coversheet and place it on top of your completed Certificate of Organization.
  5. Fax your completed documents to the Massachusetts Corporations Division at (617) 624-3891.

16. Approval Process

Once you’ve sent your filing, you’ll need to wait around 1 to 2 business days + mailing time for things to be approved. Simply search for your LLC using the Massachusetts Business Entity Search to download your approved Certificate of Organization. Nothing will be mailed back to you.

Tip: I highly advise saving a digital and printed copy for your official business records.

If you can’t find your filing online or don’t get a rejection letter within a week, contact the Massachusetts Secretary of the Commonwealth at 617-727-9640.

In the unfortunate event that your filing is rejected, the state will mail a letter explaining what corrections are needed.

The Importance Of Filing Your Certificate Of Organization

1. Your LLC Does Not Legally Exist Without It

Once approved, your Certificate of Organization docs officially create your LLC.

Otherwise, your business is not legally recognized as an LLC. Simply put, you won’t get any of the liability protection, which leaves your personal assets at risk for business debts and potential legal claims.

2. Not Filing With The State Means That You Show A Deceptive Action

If you don’t file your Certificate of Organization but decide to operate as an LLC anyway, it’s seen as a deceptive act or practice towards the public. This is stated in the Massachusetts General Laws Chapter 93A §2.

Let’s say a customer or business entity loses money due to your deception. You can get personally sued.

This could lead to serious legal penalties, including losing your personal assets, paying the other side’s attorney’s fees, and paying double or triple damages if the violation was intentional.

3. It Blocks Your Tax And License Setup

Without an LLC in place, you won’t be able to complete your required tax registrations and obtain certain business licenses. Why? Because you don’t have an EIN to do so.

You also can’t open a dedicated business bank account, hire LLC employees, or handle routine business tasks. This includes working with banks, vendors, landlords, and potential business partners, as you’ll have no legal recognition in place.

Put simply, your operational efficiency is totally ruined.
