The Idaho Certificate Of Organization Overview
Under I.C. §30-25-201, you need to file a Certificate of Organization for your LLC in Idaho if you want to operate in the state. This must be done with the Idaho SOS. Once approved, your LLC is officially recognized as a separate business entity.

1. Filing Methods
You can file your domestic Idaho LLC using 3 main filing methods:
- Online: Use the SOSBiz portal.
- By mail: Complete the Certificate of Organization LLC form and send it to the SOS.
- Walk in: File in-person using the same form above.
Note: Your Certificate of Organization in Idaho can be completed online via the official SOSBiz portal. You can then print it and file it by mail.
If you’re a foreign LLC, you must file a different form called the “Foreign Registration Statement.” This can also be done online via the official SOSBiz portal or by mail. While both forms have similar core content, foreign LLCs need to attach additional forms, such as a Certificate of Good Standing.
I will focus on how to register for a domestic Idaho LLC in this guide.
2. Fee Schedule
The fee schedule is the same when forming your domestic and foreign LLC in Idaho. The standard processing fee is $100, with your application processed in around 15-20 business days.
Note: Your standard processing time depends on the SOS workload. Therefore, my processing times are only estimates and NOT standard values.
If you want to file by mail or in person, you need to pay an additional $20. You can also use expedited services for an additional fee. These are based on processing times during normal operating hours (8 A.M. to 5 P.M., Monday to Friday).

Before filing
Before completing the Idaho LLC Certificate of Organization filing process, you need to have an Idaho SOSBiz user account. Follow my guide below if you already have an account.

1. Login
To begin, go to SOSBiz and click “Login.”

Log in using your email address and password.

2. Access Your Filing Form
Click “Forms.”

Click “Certificate of Organization Limited Liability Company.” Then, click “File online.”

3. Entity Name
a. Select Your Processing Fee And Time
As I’ve said above, you have 3 main online filing options:
- Standard: Your documents should be approved in 15-20 business days. You need to pay a $100 filing fee.
- Expedited: Documents are approved in 8 working hours. Your documents cost $140 to file.
- Same-day service: Your documents will be approved on the same day, provided that you file before 1:00 p.m. This costs $200.
Pick your preferred option.

b. Provide Your LLC Name
Next, complete the following steps:
- Choose your LLC type: This will be a normal LLC or a professional LLC (PLLC). If you choose professional, your name must contain “PLLC” or an approved abbreviation as the designator (name ending). Following this, you need to choose your LLC profession under the name field.
- Add your reserved LLC name (if applicable): Click “Yes” if you chose to reserve your desired LLC name before filing your LLC formation documents. Then, select your reserved LLC name from the dropdown box and skip the name field. Otherwise, select “No.”
- State your LLC name: Provide your desired LLC name twice in the required fields. This must include your preferred capitalization and designator.
Click “Next Step” once you’ve provided the required information.

4. Enter Your Entity Address
a. Principal Office Address
In this section, state your business’s principal office address. Under I.C. §30-21-102, this is your principal executive office of an entity, whether or not it’s located in the state.

Follow these requirements when entering your business’s principal office:
- It can be located in Idaho or any other U.S. state.
- It must be the place where your official LLC business records are kept.
- It should be the place where someone will come to visit your business.
- You can use your Idaho Registered Agent’s address (if allowed).
- You can use a home address, office address, or the address of a friend or family member.
Note: The street address must be a physical office location. It can NOT be a post office box or private mail box.

b. Mailing Address
Provide your business mailing address. Your mailing address can be a P.O. box.
If you want to copy the details from the previous section, you can click the “Copy” icon next to the address number field. This can be done if your mailing address and street address are the same.
Click “Next Step” once everything is complete.

5. State Your Registered Agent Name And Address
Your Idaho Registered Agent must meet the requirements below, regardless of whether they’re an individual or a business entity:
- Be available during normal business hours.
- Maintain a physical Idaho street address.
You can choose the following agent types when operating in Idaho:
- “Noncommercial or individual”: This can be an individual (yourself, a family member, or a trusted friend) or an entity that is on Idaho SOS record.
- “Commercial”: A professional third-party Registered Agent service.
Now, I will show you how to register for each type of agent.
a. Commercial Registered Agent
Complete these steps if you’ve hired a Registered Agent service:
- Choose “Commercial” for the agent type field.
- Enter your LLC service name in the field and click “Search.”

The online system should then auto-populate your full agent name and address. Click on their information to select your relevant agent.

Check the consent box and click “Next Step.”
b. Noncommercial Or Individual Agent
To appoint a noncommercial agent, first of all, click “Noncommercial or Individual“.
Then, search for your Registered Agent name using the search bar. Choose the correct one from the search results.
If you can’t find your agent, you can manually add their information by clicking “Add new agent.”

b1. Add An Individual As A Non-commercial Registered Agent
You normally need to complete this section if you’ve appointed yourself, a trusted friend, or a family member as your official agent. However, they must have a physical address in Idaho.
To do this, complete the following steps:
- Click “Individual.”
- Enter their full name (first and last name).
- Enter their physical Idaho address. This can NOT be a P.O. box.
- Provide their mailing address. This can be the same as or different from their physical address.
Click “Save” once you’re done.
Note: If you need, you can use the “Copy” button next to the address fields. This allows you to copy the address used in the previous steps.

Next, check the consent box and click “Next Step.”
b2. Add An Entity As A Non-commercial Registered Agent
If the Noncommercial Registered Agent is a business, they must be authorized to transact in the state and appear in the SOS’s records of entities.
To add an entity, do these steps first:
- Click “Organization.”
- Enter the Registered Agent’s name in the search bar and click “Search.” This step will search the business on the SOS’s records.
- After the Registered Agent’s name appears, select the correct answer.

When viewing the search results, you will see the entity’s basic information, including its name, physical address, and mailing address.
- If the entity will serve as the Registered Agent at the same addresses, you can click the “Copy” button to transfer the information directly.
- If the entity will serve as the Registered Agent at different addresses, you can enter those details in the fields provided below.
Click “Save” once finished. Then, check the consent box and click “Next Step.”

6. Add Your LLC Governors
An LLC governor is any individual or entity who has the authority to manage and direct your business activities. The exact definition depends on your LLC’s chosen management structure:
- Member-managed LLC: A governor is an LLC member.
- Manager-managed LLC: An LLC manager is the governor.
Note: You need to add at least one LLC governor to your LLC formation documents. You can repeat the same process if you need to add more.
First, click “Add”. A pop-up window should then appear.

a. Governor Is An Individual
Follow the steps below to add an individual as an LLC governor:
- State the governor’s full name.
- Add their full address.
- Click “Save.”
Note: You can use the “Copy” button next to the address field if you need to copy the address from a previous step.
Click “Next Step” once you’ve listed all governors.

b. Governor Is An Entity
Follow these steps to add an entity as your LLC’s governor:
- Check the “If the governor is an entity” box.
- Provide the entity’s name in the “Organization” box.
- Enter your governor’s full address.
- Click “Save.”
Note: Again, you can also use the “Copy” button in this section to copy the address from the previous steps.
After listing all your LLC governors, click “Next Step.”

7. Review Your Information
Next, review your entered information. Use the navigation panel to make any necessary edits before proceeding to the next step.
Note: To make any edits, you can click on the relevant tabs (Entity Name, Entity Address, Registered Agent, Governors) and make the corrections.
To proceed, click “Next Step” once everything is correct.

8. Declare, Sign And File Your Completed Form
As I’ve said above, you can file online or print your completed documents and file by mail using the SOSBiz portal.
a. File Online
To file online, complete the required declaration and submit your completed filing:
- Check the required declaration boxes.
- Enter your full name as your signature.
- Select or enter the signing date. Most choose “Today.”
- Click “File Online” to submit your completed application.

b. Print And File By Mail
Check “Print & Mail Enclosure” and click “Print and Mail.”

Following this, you can access and download your completed document from the Work Queue to print:
- Choose “My Work Queue” from the left menu.
- Select your filing method from the list.
- Click “download” under “Actions.”
- Click “Form” to open your document.

You should see your completed document as a PDF. First, download and print it. Then, sign your name and manually enter the filing date in the “Signature of Organizer” line.
Note: Your signing date must be within 30 days of submitting your documents.

Finally, send a check or money order made payable to the SOS. This must be the right amount for your chosen processing time. Then, mail it to the following address:

9. The Payment Process
You can choose between two online payment methods: Pay with Tyler Idaho or with a credit card.

Click the “Pay with Credit Card” button if you want to pay with a credit card.

The system should then show your total fee alongside the additional online transaction fee. Provide your billing and card information and click “Submit” to pay.

10. Your Approval Timeline
Your approval time is based on your selected processing method:
- Standard approval: Documents are approved in 15-20 business days.
- Expedited approval: Documents should be approved in 8 working hours.
- Same-day approval: Make sure that your Certificate of Organization is filed before 1 P.M.
Once approved, you’ll receive an email from the state, and your formation documents are ready to download. Your LLC approval documents should include the following:
- Your stamped and approved Certificate of Organization.
- Your filing receipt.
How To Create An SOS Biz Account
1. Access The Sign Up Page
To begin, navigate to the SOSBiz page and click “Login.”

Then, click “Create an account.”

2. Enter Your Personal Information
You must enter your personal information and login details in the applicable boxes to complete your registration:
- Name: State your first, middle (optional), and last name.
- Contact: Add your email address and phone number.
- Password: Make a suitable password. It must be at least 8 characters. While the system won’t give official guidelines, it should contain at least one uppercase letter, one lowercase letter, one special character, and one number. An example would be “John@1234.”
Click “Create Account” to complete your registration.
Once you’ve entered the required information, your account is officially created. You should then be taken back to the login page.

Filing Your Formation Documents By Mail
You can file your Articles of Organization by mail using the Certificate of Organization LLC paper form if you don’t want to use the online filing method.
To get started, click the link or “Download” button.
This form is for general domestic LLCs only. You need to use other forms if you’re a different type of LLC:
- PLLC: Certificate of Organization PLLC.
- Foreign LLC: Foreign Registration Statement.
Alongside this, prepare a check made payable to the SOS. Your filing amount depends on your chosen processing method and time.
Note: The contents of your paper form are very similar to the online filing. However, foreign LLCs need to complete additional attachments, such as the Certificate of Good Standing form.
1. Enter Your Desired LLC Name
First, state your desired LLC name along with a required designator. You must also include your preferred capitalization.

2. Add Your Business Addresses
Next, enter your principal office address.
Your principal office address must follow these requirements:
- Be located in Idaho or any other U.S. state.
- It may be a home address or an office address. You can also use your Registered Agent’s address (if allowed).
- It must be the main location where you operate and maintain your official business records.
- You must use a physical location. You can NOT use a P.O. box.
After this, provide your business mailing address. This can be a P.O. box if desired. If your mailing address is the same as your physical address, you can leave this field blank.

3. Enter Your Registered Agent Details
As I’ve already said above, your agent must be available during normal operating hours and have a physical Idaho street address, regardless of who you appoint (yourself, a trusted friend, a family member, or a professional third-party Registered Agent service).
State the full name and official address of your Idaho Registered Agent in the applicable fields:
- If your registered agent is an individual, enter their full name and address. No P.O. box is allowed here.
- If you’re appointing a business entity, it must be legally recognized with the Idaho SOS. Also, you can NOT use your own LLC as your agent. Provide their full legal name and address. Again, you can NOT use a P.O. box for this address.

4. Governor Information
An LLC governor is an individual or business entity who has the authority to manage and direct your business activities. If you’re a member-managed LLC, your member will be the governor. The manager is the governor if you’re operating as a manager-managed LLC.
You need to have at least one LLC governor in the section. If you need to add more, you can repeat the same process. The paper form allows you to enter a maximum of 4 governors.
- If your LLC’s governor is an individual, enter their full name and address.
- If your LLC’s governor is a business entity, enter its legal entity name and address.

5. Mailing Address For Annual Reports Notice
Provide the mailing address where you’ll receive Annual Report notices. This will be used for all further reminders, as long as you remain operational. You can use your own address or your business mailing address.
Note: Use an address where you can reliably receive mail. This ensures that you don’t miss important state notices, such as your Annual Report reminders.

6. Provide Your Signature
Provide the full name of at least one LLC organizer. They must sign the paper before printing it out. The paper form allows you to input a maximum of two LLC organizers.

7. State Your Contact Information
In the next section, enter your phone number and email address. This allows the SOS to contact you if your application has any problems.
Note: The form will automatically correct your number to the right format when entering it. For example, enter: 1231231234 to have a result like the picture below.

8. File Your Completed Form
Place your completed and signed form, along with a check made payable to the Idaho SOS, in an envelope. This must be for the correct amount based on your chosen filing method.
You have three main options, depending on your desired processing time:
- Standard filing: Documents should be processed within 15-20 business days. You may pay the $120 filing fee.
- Expedited filing: Documents will be approved in 8 working hours. You need to pay a $160 filing fee.
- Same-day service: You need to file your Certificate of Organization before 1:00 pm to receive the same-day service. Aside from this, you need to pay the $220 filing fee.
Note: You can attach a sticky note that writes “expedited process” to remind the SOS of your chosen filing method.
After that, send the form to the following address:

You can also file your completed form in person at the same address. Your filing fee and processing time will be the same as the mailing process.
9. The Approval Process
Once your completed Certificate of Organization documents have been approved by the Idaho SOS, you should receive a stamped copy of your certificate and a filing receipt at your LLC’s mailing address.
Why Do You Need To File Your Idaho Certificate Of Organization?
Once your Certificate of Organization filing is accepted by the Idaho SOS, your LLC’s legal foundation is officially established. If you fail to file, you face several operational and legal challenges. I’ve discussed the main ones in the following sections.
1. Your LLC Doesn’t Legally Exist
Every LLC operating in Idaho must file its Certificate of Organization with the Idaho SOS to become a legally recognized business entity under I.C. §30-25-201. Your LLC does NOT legally exist as a separate business entity in the state without this.

If you fail to file this key formation document, your LLC faces several negative operational consequences. These may include:
- The state will NOT recognize your business as a separate legal entity. In this case, any actions are seen as personal rather than being performed by your business.
- NOT having any limited liability protection. This means that any business obligations and debts will pass to you rather than your business.
2. You Show A Deceptive/Misrepresented Legal Status
Your LLC is seen as having a deceptive or misrepresented legal status under I.C. §48-603 if you don’t complete your Certificate of Organization filing. This confuses as your LLC has limited liability approval.

If you violate this law, you violate the whole chapter. Under I.C. §48-606, this leads to several penalties:
- Civil penalties: Up to $5,000 per violation.
- Injunctions: These are designed to stop the illegal activity.
- Restitutions or damages: These must be paid to affected consumers.
- Payment of investigative costs and attorney’s fees.

3. It Blocks Your Tax And Business License Setup
Until your LLC is officially formed as a separate legal entity in the state, you can NOT obtain an Employer Identification Number (EIN) or complete certain mandatory business activities. If you attempt to apply for your EIN before acquiring your completed LLC formation documents, you may face operational delays under official Internal Revenue Service (IRS) rules.

Failing to obtain your EIN results in several negative consequences:
- You’re unable to obtain your required business licenses.
- You can NOT register for state taxes. For example, you need a Seller’s Permit if you sell or rent physical goods or provide specific related services.
- You may NOT be able to complete financial transactions or apply for loans at banks.

4. You Face Operational Risks
Additionally, failing to file your Certificate of Organization causes operational uncertainty:
- Business contracts may become unenforceable.
- Banks may refuse to maintain your business accounts.
- Landlords, vendors, and partners may refuse to work with you.
- Your business becomes exposed to personal liability without an LLC liability shield.
