An Overview Of The Certificate Of Formation In Texas

The Texas LLC Certificate of Formation is the official legal business document that establishes your LLC as a separate entity in the state. Your LLC’s legal existence only begins once your Certificate of Formation has been completed and approved by the Texas Secretary of State (SOS). This is set under Texas Business Organizations Code § 3.001.

You must pay a one-time $300 filing fee to officially form your Texas LLC regardless of your chosen method. It usually takes several weeks to have your LLC approved by the Texas SOS. If you want to have your application approved faster, you can pay extra fee.

How To File A Certificate Of Formation In Texas Online (SOSDirect Filing)

First, you must create an SOSDirect account before you can begin your Certificate of Formation filing process. I’ve written a guide on how to do this further below.

Proceed with your online SOSDirect filing once your account is set up.

First, navigate to the main menu and click “Business Organizations” to begin your Certificate of Formation filing using SOSDirect.

You should then see a dropdown menu under the “Reservation Formation Registration Documents” section.

Select “Domestic Limited Liability Company,” then click “File Document.”

Choose “Certificate of Formation” in the “Filing Type” dropdown menu. Then, click “Continue.”

You’ll now need to navigate several steps to complete your online filing:

1. Article 1: Entity Name & Type

In Article 1, you must complete two main sections:

a. Entity Name & Type

Important: Remember, you must read the Texas LLC Business Name article before proceeding with this step. You’ll be charged a $1 fee each time you use the “Name Availability Search” tool.

Your name may still be rejected by the state, even if it appears to be available in your search. This depends on whether it violates state naming rules or conflicts with an existing state business name.

Therefore, I strongly recommend that you request a preclearance name check from the SOS before submitting your filing to stop this from happening.

First, leave #1 “Limited Liability Company” selected. The #2 option is for licensed professionals (Professional entities).

Enter your desired LLC name once you’ve completed the preclearance name search. Make sure you include one of the approved designators, such as “LLC” or “L.L.C.”

Click “Continue” once you’ve entered your desired LLC name.

Note: You do NOT need to click the “Name Availability Search” button again if you’ve already completed a preclearance LLC name search.

b. Initial Mailing Address

In Section B, enter your LLC’s Initial Mailing Address. This is used by the Texas Comptroller of Public Accounts to send your Annual Report Reminder Notice.

You’ll be notified of two required state filings:

  1. Texas Franchise Tax: This is a State Tax imposed on LLCs for the privilege of operating in the state. Read my article on How To File The Texas Franchise Tax for more information.
  2. Texas Public Information Report: This allows the Texas Comptroller to keep up-to-date records on your LLC’s ownership and management information. Check out my article on How To File The Texas Public Information Report for more information.

Note: Your Initial Mailing Address can be your home address, business office, Registered Agent’s address, virtual office, or a P.O. box.

2. Article 2: Registered Agent & Office

All Texas LLCs must designate and maintain an official Registered Agent under Texas Business Organizations Code § 5.201.

A Registered Agent is an individual or business entity designated to receive official government correspondence, legal documents, and Service of Process on behalf of your LLC.

They must have a physical Texas street address and be available to receive and process official documents during normal business hours. Furthermore, your Registered Agent must be a Texas Resident if you’ve chosen to appoint an individual.

Note: You cannot use a P.O. box, mailbox rental, private mailbox, or commercial mail receiving agency address.

Appointing a Registered Agent without their official consent is a Class A misdemeanor under Texas Business Organizations Code § 4.007 and 4.008. This may be punishable by up to a $4,000 fine, one year in jail, or both.

You do NOT need to file your Registered Agent’s consent with the SOS. However, it must be kept with your official business records.

I recommend that you obtain their written consent using Form 401-A (Consent to Serve as Registered Agent), then keep it with your business records.

3. Article 3: Governing Authority

In Article 3, you need to state who manages and controls your Texas LLC.

Note: In Texas, the term “Governor” refers to either an LLC Member or an LLC Manager.

List your LLC Members (Owners) if your LLC is member-managed. Alternatively, list your LLC managers if your LLC is manager-managed.

  1. Choose whether your LLC “Will be managed by managers” (Manager-managed) or “will not have managers” (Member-managed) at the top of the screen.
  2. Click “Add Manager/Member” to enter your LLC’s Member(s) or Manager(s).
  3. Enter each person’s name and address in the relevant sections.
  4. Click “Update” to save the information.
  5. Click “Continue” once you’ve added all required Member(s) or Manager(s).

Note: Your LLC Members and Managers don’t need to be Texas residents. They don’t need to be U.S. residents or citizens either.

  • Members and Managers can be individuals or business entities (including foreign companies).
  • You can use a P.O. box in this section.
  • You may use the address of your Commercial Registered Agent if you hired one. This helps protect your personal details.

I recommend that you hire a Commercial Registered Agent or professional LLC Formation Service to maintain privacy and keep good standing with the state. Information in this section becomes part of the public record, meaning it can be used by third parties.

Note: You can leave the “Business Name” field blank if you’ve listed individuals as your LLC Members or Managers. This will be the case for most LLC formation filings.

4. Supplemental Provisions/Information

In Section 4, include additional provisions or special statements that you want to become part of your LLC formation filing.

Note: This section is often left blank, unless advised by an attorney.

You can also upload a filing attachment, such as your Consent to Serve as Registered Agent (Form 401-A). However, you must have chosen this as an upload option in Article 2. This step is not required by the state, meaning it is optional.

Your only legal requirement is to obtain written consent from your designated Registered Agent and retain it with your official business records.

Some people choose to upload it as additional proof. This is because the SOS will file and index it on your LLC’s official filing history.

Click “Continue” once completed or if you have no attachments to upload.

5. Organizer

In Section 5, you must fill out the details of your LLC Organizer. This is an individual or business entity responsible for completing and submitting your Certificate of Formation to the SOS. Their role is limited to forming your LLC and signing your formation document.

In this section, enter your LLC Organizer’s name and address. Then, click “Continue.”

Note: Your LLC Organizer is not automatically an LLC member (Owner).

6. Execution & Effective Date

This is the final section before you review your filing and pay the associated fee. You must sign as the Organizer and set your LLC’s effective formation date.

  1. Type your name in the “Signature of Organizer” to electronically sign the document. This satisfies the legal signature requirement for your filing.
  2. Include your Organizer’s name, title, and capacity (If they’re a person signing on behalf of a business entity). This may be a Registered Agent Company, law firm, or an LLC Formation Service.

Example:

  • John Doe, President of ABC Co.

Signing this section confirms that you affirm under penalty of perjury that your Registered Agent has “Consented to serve” and that your filing is accurate and authorized under Texas law.

Leave the “Delayed Effective Date” field blank if you want your LLC to become active on the same day that you submit your online filing. If you choose this, your LLC becomes active as soon as the SOS processes your submission.

Enter a “future effective date” in the “Delayed Effective Date” field if you want your LLC to start later. This must be within 90 days of signing your LLC formation document.

7. Review & Pay The Filing Fee

In the last section, you need to carefully review all information entered before submitting your Texas Certificate of Organization to the SOS.

Carefully check for typos. spelling mistakes in addresses and key business details.

Click “Edit Filing” at the top of the page if you need to make any corrections. You can go back and make the necessary changes.

Click “Submit Filing (Fee: $300.00)” once everything is correct to complete your formation document filing. This will then be sent to the SOS to be reviewed and approved.

All that’s left to do now is wait for your LLC Approval Notice.

Important: Online payments incur a 2.7% convenience fee, bringing your total charge to $308.

Filing Your Texas LLC Certificate Of Formation Online (SOSUpload Filing)

Alongside SOSDirect, the Texas Secretary of State allows you to complete your online filing through SOSUpload.

Just like the SOSDirect method, you must first create an SOSDirect account before you can use the SOSUpload system. I’ve provided instructions on how to do this below.

First, begin by downloading the Certificate of Formation (Form 205) to your computer.

Then, you can complete it using two methods:

  1. Type directly on the PDF using a PDF editor.
  2. Print and fill it out by hand using black or blue ink.

Note: I recommend that you use the first method (Type directly onto your computer). It’s easier to read, and you’ll be uploading it through SOSUpload anyway.

If you complete it by hand, you’ll need to scan your finished document into a PDF file. The SOSUpload system will only accept filings in this format.

Once you’ve finished, you can upload your completed PDF to the SOSUpload system.

Note: The guide below will walk you through how to complete Form 205 and upload it to the SOSUpload system.

Additionally, these same instructions to fill the form apply if you plan to submit the form by mail, in person, or by courier.

1. How To Complete Your Texas Certificate Of Formation (Form 205)

These are the main steps you must complete when filing Form 205 using the SOSUpload system:

a. Article 1: Entity Name & Type

In Article 1, enter your desired LLC name (Exactly as you want it to appear on your legal formation documents). This must be unique and distinguishable compared to existing state names.

Therefore, I highly recommend that you confirm your LLC name’s availability with the Texas Secretary of State before filling in this field. This helps avoid potential delays and rejection from the state if your desired name isn’t available.

As I’ve explained in the SOSDirect filing steps, performing your pre-clearance name check ensures that your desired name is unique and meets the state’s naming rules and requirements.

  • You can use the SOSDirect Name Availability Check, but you need to pay $1 per name search.
  • The Texas Secretary of State may still reject your filing if it conflicts with an existing or reserved name, even if it appears available online.

Note: Ensure you use the appropriate designator (“LLC,” or “Limited Liability Company” when entering your desired business name.

b. Article 2: Registered Agent & Office

In Article 2, you must provide your Registered Agent details.

Check “Line A” if your Registered Agent is a business entity. Then, enter the entity’s legal name.

Check “Line B” if your Registered Agent is an individual. Provide the person’s first and last name.

Note: You can only check one box, not both.

Fill in your Registered Agent’s address once you’ve selected the appropriate option. This must be a physical Texas business address. You cannot use a P.O. box or mail forwarding address.

Note: You must obtain consent from your designated Registered Agent before adding them. Use Form 401-A (Consent to Serve as Registered Agent) to obtain their consent before filing.

You can upload the form to SOSUpload with your Certificate of Formation or keep the consent form with your official business records.

While both options are accepted, you must always keep the written consent in your official business records.

c. Article 3: Governing Authority

In Article 3, you need to discuss your Governing Authority. This relates to how your LLC will be managed.

Check “Line A” if you want your LLC to be Managed-Managed.

Check “Line B” if you want your LLC to be Member-Managed.

Note: This determines your LLC’s official management structure. Therefore, you can only select one box.

Once you’ve chosen your management type, complete the name and address fields.

  • Enter the name and address of each member if you chose the Member-Managed option.
  • Enter the name and address of each Manager if you chose the Manager-Managed option.

Make sure that each entity or individual is clearly identified. You may attach additional pages to your form if your LLC has multiple Members or Managers.

All information provided in this section becomes part of the Texas public record. Therefore, use a business address or your Registered Agent’s address instead of your personal home address. However, make sure you have the Registered Agent’s consent first.

d. Initial Mailing Address

Article 4 requires you to give your Initial Mailing Address. This is the same process used in the SOSDirect filing steps.

Your Initial Mailing Address is where the SOS and Texas Comptroller will send official state correspondence, including tax-related notices and filing confirmations.

Note: You can use a home address, business office, P.O. box, or virtual office address for this part. You may also use your Registered Agent’s address if you’ve hired one.

e. Supplemental Provisions/Information

The Supplemental Provisions/Information section allows you to attach any special provisions or custom clauses related to your formation filing. This is only used when instructed to do so by an attorney.

Note: You do not need to upload, attach, or provide additional documents like in the SOSDirect filing process. Only do this if you’re instructed to do so by your attorney.

You can leave this section empty if you have no additional instructions or information to include.

f. Organizer

Next, you must fill out information regarding your LLC Organizer. This is the person or entity responsible for preparing and submitting your Certificate of Formation with the state. In most cases, this will be you.

Even though the Organizer forms your LLC by signing and filing your formation paperwork, they don’t automatically have to be an LLC Member (Owner).

Note: Most filers will list their own name and address in this section if they’re personally forming the LLC. If you’re using a Registered Agent service, law firm, or LLC Formation company, their name and address will appear in this section instead.

Your Organizer must sign and date the form once the required information is complete.

g. Effectiveness Of Filing

In the “Effectiveness of filing” section, you must choose when your Texas LLC will become officially effective. This is done by choosing ONE of the available options between Line A, Line B, or Line C.

h. Execution

In the final “Execution” section, you must officially sign and date the document to authorize your LLC formation filing.

First, enter your filing date in the space provided.

Then, provide your Organizer’s signature. Remember, this is the person who has prepared and is submitting your Certificate of Formation.

If your Organizer is a business entity (Registered Agent service, law firm, or LLC Formation Company), include their name, title, and capacity of the person signing on behalf of the entity.

Example:

  • Jane Smith, President of ABC Filings LLC.

Note: Typing or signing your name serves as your legal signature. This confirms that all entered information is true and accurate to the best of your knowledge.

Furthermore, you confirm that your Registered Agent has consented to serve and that the information provided complies with Texas law.

2. How To Upload Your Completed Form 205 Using SOSUpload

Once you’ve completed Form 205 (Certificate of Formation), save it to your computer as a PDF file. If you’ve filed it out by hand, scan the completed form into a clear, legible PDF file. Then, upload it to your computer.

Following this, navigate to the SOSUpload login page.

Note: You need an active SOSDirect account to access the SOSUpload portal (The systems are linked).

Follow these steps once you’ve logged in to upload your completed form and submit your payment:

a. Payment Information

Once you’ve logged into the SOSUpload portal, enter your full contact name and email address.

Next, select your payment method from the two options:

  1. Credit Card: Enter your credit card information on the payment form.
  2. Account Funds: Use your SOSDirect account balance if you previously deposited funds.

Note: Both payment options require the $300 Certificate of Formation filing fee. Therefore, choose the payment method that best fits your preference.

b. Entity Information

Section B requires you to provide the basic details of your Texas LLC.

At the top of the page, you’ll see the question “Is this filing for a new entity?” You’re forming a new LLC, so select “Yes.”

Next, enter your full LLC name (exactly as it appears on your completed Form 205 (Certificate of Formation).

Note: I recommend you double-check your spelling and punctuation to ensure there are no inconsistencies or typos. Errors can lead to filing delays and rejections.

Choose “Domestic Limited Liability Company (LLC)” in the “Entity Type” dropdown section.

Then, select “Certificate of Formation” for the Filing Type dropdown.

You can check the box labelled “Please check this box if you are filing as a Veteran-Owned business” if you’re a veteran who qualifies for the Texas Veterans Fee Waiver. Leave this box unchecked if not.

Click “Next” to continue once all required fields are complete.

c. Upload Documents And Make A Payment

After clicking “Next,” you should be taken to the upload page. You’ll be prompted to upload your completed filing documents.

These include your:

  • Completed Form 205 (Certificate of Formation): You must do this to complete your LLC filing.
  • Completed Form 401-A (Consent to Serve as Registered Agent): This provides proof that your Registered Agent has given consent to serve. While this is optional, I highly recommend that you file this.

Note: Ensure that both files are clearly legible and in PDF format before uploading them.

Click “Submit for Review” once all documents have been uploaded. This officially sends your filing to the Texas Secretary of State for processing.

Once submitted, you’ll follow the same steps outlined in the SOSDirect section. Complete your payment and await approval.

Texas LLC Online Filing Approval Time

Your Texas LLC Certificate of Formation approval time depends on your chosen filing method:

  • Your LLC will typically be approved in 13–15 business days if you filed using SOSUpload.
  • Your LLC should be approved in 10–12 business days if you filed using SOSDirect.

The Texas Secretary of State will send you a confirmation email once your Texas LLC is approved. It should include the following documents:

  • Welcome Letter.
  • Certificate of Filing.
  • Stamped and Approved Certificate of Formation.

Once you’ve received these, your Texas LLC is officially formed.

Use the Texas Business Filing Tracker on the Secretary of State’s website to check the progress of your filing.

Creating Your SOSDirect Account: A Step-By-Step Guide

These are the steps required to create your LLC SOSDirect account:

1. Access The SOSDirect Portal

To begin your account setup, navigate to the SOSDirect Account Acknowledgment Page. Log in using the SOSDirect Account Login page if you already have an account.

First, enter an account name. This can be your personal name or your business name (The name of your proposed LLC).

Note: It doesn’t matter which option you choose. The Secretary of State keeps this information private. Either option is accepted, making it a choice based purely on your preference.

  • Single-member LLCs commonly use their personal name.
  • Multi-member LLCs prefer to use their proposed LLC name.

2. Enter Your Contact Information And Create A Password

In the next section, you’ll be asked to enter your contact details. This includes your street address, city, state, and ZIP code. This will not be used as your LLC’s official address. Rather, it’s only used for your SOSDirect account, so it does not appear on the public record.

After this, create a secure password for your SOSDirect account.

Note: Save your login information for future reference. This saves time when you log in again.

3. Add Your Credit Card Information

After clicking “Continue,” you’ll be taken to the “Credit Card Information” section.

Enter your credit card details in the required boxes. Your card won’t be charged until you’ve completed the required information and submitted your online filing.

Note: While this step appears early on, it’s done by the state to prevent fraudulent transactions.

Below, you should see fields for “Business Name” and “Individual.”

  • Leave the “Business Name” field blank and enter your personal name under “Individual” if you’re using a personal debit card or credit card. This ensures that your card information matches correctly when payment is processed.

4. Accept The Terms And Conditions

In the next section, you’ll be asked to review the terms and conditions.

Click “I Accept” (In the top left corner) once you’ve carefully reviewed the terms. You may need to zoom out to properly read the text.

Following this, you should receive a message stating that your User ID will be emailed to you in one hour (This arrives in 5–15 minutes in most cases).

Note: Contact the Texas Secretary of State at (512) 475-2755 or by email ([email protected]) if you don’t receive your User ID within 30 minutes.

5. Retrieve Your SOSDirect User ID

Once in your email inbox, check for a message showing “SOSDirect” in the subject line. This should contain your SOSDirect User ID.

Your email will look similar to a confirmation titled “New SOSDirect Subscription from FINANCIAL SECTION.”

Note: Save your User ID and your password from earlier.

Return to the SOSDirect Login Page once you’ve received your User ID. Then, sign in with your credentials to continue your online filing process.

6. Payment And Contact Info Verification

At the top of the payment screen, select “Credit Card.” Then, enter your contact information once again and review the required fields to ensure everything is correct.

Click “Continue” in the top left corner to proceed.

Lastly, enter your credit card information once more.

Once completed, you should get a Session Code on the confirmation page. You can use this later to check your LLC filing status.

You’ve completed all the required steps. All you need to do now is wait for your approval.

Filing Your Certificate Of Formation By Mail

The Texas LLC Certificate of Formation mail filing process is similar to the one used when filing online via SOSUpload.

  1. Download Form 205 (Certificate of Formation) from the Texas Secretary of State’s website.
  2. Complete two copies of the form using the guidance above.
  3. Download Form 401-A (Consent to Serve as Registered Agent).
  4. Complete one copy (Optional to include with your filing).

Note: While Form 401-A is not required, many LLC owners include it as proof of Registered Agent consent.

  • Complete the required forms by hand using blue or black ink or type directly into your computer.
  • Make your $300 check or money order payable to the “Secretary of State.”

Why Should You File A Certificate Of Formation When Forming Your Texas LLC?
