With lower filing requirements, a relatively low-cost formation process, and no state privilege taxes, forming your Limited Liability Company (LLC) in Maine is an excellent option for many first-time and seasoned entrepreneurs. Furthermore, it offers the essential limited liability protection needed to shield your personal assets from your business debts and obligations.

To officially form your Maine LLC, you must file your Certificate of Formation documents with the Secretary of State (SOS). At the time of writing this article, you can only do this by mail by sending in your completed documents alongside a $175 filing fee.

An Overview Of The Certificate Of Formation In Maine

You need to file your Certificate of Formation with the Maine SOS to form your LLC as per the Maine LLC Act §1531.

Important: The state of Maine does NOT have an online filing option. Therefore, you must file your Maine LLC Certificate of Formation by mail.

The standard filing option costs a one-time fee of $175, and it usually takes about 10 to 15 business days to process.

If you’re in a hurry, you can pay an extra fee to speed things up by using an expedited processing option.

Whichever filing method you want to use, you can choose to pay by check, money order, or by card. However, you need to complete an extra step when paying by card. You must include a separate Charge Authorization Form along with your main filing documents, something which I’ll walk you through later in my article.

To start your filing process, download your Certificate of Formation (MLLC-6) form. You can either click the provided link or use the “Download” button on the right-hand side of the screen.

This form has two parts, which are the Certificate of Formation and the Customer Contact Letter.

1. First (LLC Name)

In the first section, state your desired LLC name, exactly as you want it to appear on your official documents. Make sure it includes your preferred capitalization and designator (name ending).

Note: Most people just go with “LLC.”

The state ignores commas when checking your desired LLC name. Therefore, you can choose to use one or leave it out. For example, “John Doe, LLC” and “John Doe LLC” are both acceptable.

2. Second (Filing Date)

If you want your business to be effective upon filing, check the “Date of this filing” box. In this case, your LLC will become officially active on the date that you file your formation documents with the Maine SOS.

Check the second box if you want or need your business to become effective at a later date. Then, write down a date that is NOT more than 90 days after your filing date.

Note: Use a “later effective date” if you’re forming your LLC in October, November, or December and don’t need to open during those months. Set your date to “January 1st” to avoid filing taxes during your first 1-3 months.

3. Third (Low-Profit LLC)

Note: Leave this section unchecked if you’re forming a regular LLC.

Under the Maine LLC Act §1611, you must follow certain rules if you’re forming a low-profit LLC. One of the main ones is making sure that your desired business name contains “L3C” in the first section.

Note: A low-profit LLC is basically a hybrid between a non-profit organization and a regular LLC. It’s set up to make a profit, but that profit is meant to support educational or charitable goals.

4. Fourth (Professional LLC)

If you’re NOT forming a Professional LLC (PLLC), you can leave this section unchecked.

But if you are, check this box and state the professional services that you’re licensed to carry out. Then, you’ll need to go back to the part where you enter your LLC name and add “PLLC” or “Professional Limited Liability Company.”

Note: Under Maine LLC Act §723, you’re required to form a PLLC if your profession requires a state license before you can legally operate.

In other words, if you can’t offer your services without first getting licensed by the state, you can’t register as a standard LLC. It has to be set up as a PLLC.

Professions include (but are NOT limited to) accountants, advanced practice registered nurses, attorneys, chiropractors, dentists, optometrists, osteopathic physicians, physicians and surgeons, physician assistants, podiatrists, registered nurses, and veterinarians.

5. Fifth (Registered Agent)

You can choose between the following types of agents when forming your Maine LLC:

  1. Yourself.
  2. A trusted friend or a close family member.
  3. A professional Maine Registered Agent service.

Your chosen agent must meet two main requirements:

  1. They must be available during normal business hours.
  2. They must have a physical street address in Maine. You can NOT use a P.O. box. 

If you’ve chosen to hire a professional Registered Agent service (my recommended choice), you should check the first box and enter your agent’s CRA Public Number. This can be found on the List of Companies Providing Services to Businesses page.

Following this, either enter your agent’s full business name or ask them how to fill in their information correctly.

For an individual Registered Agent, like yourself, a friend, or a family member, select the second box. Then enter that person’s name and their address.

The section simply states that your official Registered Agent has agreed to be your agent. You do NOT need to enter anything in this section.

7. Seventh (Other Matters)

Use this section to reference an attachment if there are any additional rules or regulations you need to include.

Most people leave this blank because they don’t have extra documents to attach. That said, you can include an Exhibit here if your business attorney has told you to do so.

8. Provide Your Signature(s) And Signing Date

This section is straightforward. Enter your filing date, sign your name on the left, and print your full name underneath.

Note: You only need 1 authorized person to sign your document, even if your LLC has more than 1 member.

You can get 2 authorized people to sign, if you want, by completing the same steps, but enter the second person’s information underneath.

9. Complete The Customer Contact Letter

As I’ve said already, you need to enter your customer contact details in this form. This ensures that the Maine SOS can contact you if there are any issues with your Certificate of Formation filings.

a. Name Of Entity(s) On The Submitted Filings

At the top of the letter, state your full LLC name. This must match exactly what’s already been entered on page 1 of the PDF.

b. Optional Special Handling Request And Fee

If you’re using a standard processing method, leave the 3 checkboxes blank and enter “175” on the “total filing fee enclosed” line.

If you’re using the 24-hour expedited filing method, check the 2nd box, then enter “225” on the “total filing fee enclosed” line. This costs $50 extra in addition to the standard filing fee.

When using the 1-hour expedited filing method, check the 3rd box and enter “275” on the “total filing fee enclosed” line. Using this method requires you to pay $100 extra on top of your standard filing fee.

Note: The first checkbox works a bit differently. Only select it if you plan to pick up the approved paperwork yourself instead of having it mailed to you.

c. Contact Information

Without a valid name, contact phone number, or email on file, the state will reject your filing. This information is used to contact you regarding important news.

You’ll be asked for two email addresses when completing your form. One will be used if the state needs to send questions regarding your LLC formation documents, while the other gives you reminders for your Maine Annual Report filing date.  You can enter the same email address on both lines (if you want).

Or if you want someone else in the LLC to get the Annual Report reminders, you can enter their email on the 2nd line.

d. Return Filing Address

In the bottom section, you need to provide your full name and the mailing address where you’ll be receiving your approved Certificate of Formation.

Note: Leave the “Firm or Company” part blank since it’s NOT required.

10. Choose Your Payment Method

You can pay by check or money order, or use a card.

Paying by card requires an extra step. You’ll need to fill out a separate Charge Authorization Form, which you can download using the link or the “Download” button on the right side of the screen.

Start by selecting your card type, whether it’s Visa, Mastercard, Discover, or American Express. Then enter your card number, expiration date, and the name exactly as it appears on the card. Make sure you use your billing address here, not your business address.

To finish, sign and date the form, add a daytime phone number, and include it with your filing when you submit everything.

11. Mail Your Completed Document

Put your completed Certificate of Formation, Customer Contact Letter (and Charge Authorization Form if you pay by card), along with your filing fee, into an envelope.

Send your completed dossier to the following address if you’re using the U.S. postal service:

  • Department of the SOS
    Corporations, UCC, and Commissions

If you use FedEx/UPS, send the documents to this address:

12. Maine LLC Approval Process

Once the state receives your filing, it will go into processing. Standard processing will take about 10–15 business days plus mailing time, or faster, depending on your chosen expedited service.

After your LLC is approved, the state will mail you a stamped and approved copy of your Certificate of Formation.

Why Should You File Your Certificate Of Formation In Maine?

Once your Maine Certificate of Formation is approved by the Maine SOS, your business is officially formed. At that point, it’s recognized as a separate legal entity in the state.

Skipping this step isn’t really an option. Without it, you’ll run into operational and legal issues that can get in the way of how your business runs day to day.

Under the Maine LLC Act §1531, you must complete and submit your LLC Certificate of Formation documents to the Maine SOS to officially form your LLC.

Without this filing, your business isn’t legally recognized as an LLC. That means you don’t get limited liability protection, and you can be held personally responsible for the company’s debts and obligations.

2. Operating Without Registration Is Seen As Deceptive

It’s considered to be a “deceptive practice” if you try to conduct business activities as an LLC without filing your Certificate of Formation documents. This is stated under 10 M.R.S. §1212.

If you’re seen as engaging in “deceptive practices,” you may face court orders requiring you to immediately halt business operations. In some cases, you may also be required to cover legal costs and attorney fees, especially when the conduct is considered “willful.”

There are financial consequences as well. Civil penalties can reach up to $10,000 for each intentional violation. On top of that, you may have to provide restitution by returning money or property to affected customers.

Ignoring a court order only makes things worse. Once an injunction is in place, continuing to operate can lead to additional fines of up to $10,000 per violation.

3. It Creates Operational Risks

If you don’t file your Certificate of Formation, you’re limiting what you can actually do as a business in Maine.

For one, you won’t be able to get an Employer Identification Number (EIN). That alone blocks a lot of basic things like hiring employees, opening a business bank account, or handling taxes properly.

Then there’s the bigger issue. Without limited liability protection, any debts or legal problems fall directly on you. And from a practical standpoint, contractors and potential partners may see that as a red flag and hesitate to work with you.

Registering your Maine LLC requires you to fill in your Certificate of Formation (MLLC-6 form). After you finish, include your filing fee and mail everything to the Maine SOS office. Once your documents are approved, your Maine LLC is officially formed.

Can I register an LLC without being a resident in Maine?

Yes, you can form your Maine LLC, even if you’re NOT a resident in the state. However, you’ll still need to appoint and continuously maintain a Registered Agent with a physical address in the state.

Because of this, you should definitely hire a Registered Agent service if you don’t have an in-state business location. You can use their business address on your mandatory filings, ensuring that you remain active and compliant in the state.

Does Maine require an Operating Agreement for an LLC?

No, you’re NOT legally required to complete and maintain an internal Operating Agreement when conducting business in Maine. Despite this, I still highly advise having one in place to define your ownership, outline how your business will be run, and clarify any rules and regulations if issues arise when operating.
