The Alabama Certificate of Formation is the legal document that officially creates your LLC under state law. According to Alabama Code § 10A-1-3.04, your LLC is formed once you file the Certificate of Formation and the state approves it. This filing is done through the Alabama Secretary of State’s Business Services Division.

Your Certificate of Formation includes important information about your business, such as your LLC name, main office address, Registered Agent details, and organizer information. It is an essential first document required to start an Alabama LLC.

1. Before You File
Make sure you complete the following items before filing your Certificate of Formation in Alabama:
- Verify your LLC name: After choosing a name, check it through the Alabama Business Entity Records tool to confirm it isn’t already in use or too close to another business.
- Understand the Registered Agent role: Every Alabama LLC has to designate a Registered Agent with a physical street address in the state. This person or service receives legal notices, service of process, and official state documents. Notice: Alabama is different from most states because it requires an LLC Name Reservation. Your first option is to complete this online or by mail before submitting your Certificate of Formation.

You can begin the filing process by visiting the Alabama Business Services Portal or by opening the Domestic Filing Menu. Both options lead you to the screen where you will choose domestic formation to get started.

From this point, you will reach the welcome screen. This page explains payment methods, document access, and the filing options available through Alabama’s online services system. Scroll to the bottom and select “Continue to application” to proceed with your Domestic LLC Formation filing.

2. Contact Information
This section gathers the basic details the state needs to communicate with you about your application.
a. Contact
Enter your contact name, primary phone number, and your email address twice. This email is where the state will send your approved Certificate of Formation. All this information stays private.

b. Address
Enter your country, mailing address, city, state, and ZIP code. You can use any valid address from any state or country. The address doesn’t have to match the one you list later in your LLC filing. Select continue to move forward.

3. Name Reservation
Contrary to most states, Alabama requires every LLC to reserve its name before formation.
You must either request a new name reservation or enter an existing reservation number.
If you haven’t completed a reservation yet, you’re in luck. Since 2021, Alabama has allowed you to reserve your LLC name and file the Certificate of Formation in a single online process.
To start a new reservation through the online system, simply enter your preferred business name in the name requested field. After filling in the required information, click continue to proceed to the next step.

4. Entity
This section confirms the type of Alabama entity you’re creating and lets you enter your official LLC name exactly as it will appear on state records.
In the type section, you’ll see type of reservation and type of entity. Select domestic and LLC. These choices indicate that you are forming a standard Alabama LLC, not a corporation or a foreign entity.

In the name section, the system automatically completes the legal name field with the name you entered previously. Double-check that it is correct and that it includes a required designator such as “LLC” or “L.L.C.” When everything looks accurate, select continue to proceed to the next step.

5. Filing Online
This page lets you decide whether to stop after reserving your LLC name (If that step is still unfinished) or continue directly into the full formation process. If you’re ready to complete everything in one session, select “File of Formation Data.” This will allow you to move forward with creating your Alabama LLC.

6. Requestor Information
This section identifies the person or organization requesting the Alabama LLC Name Reservation. The information you enter here appears on the Name Reservation Certificate.
At the top of the page, choose requestor is an organization if a company, such as a filing service, or other entity is securing the name. Select requestor is an individual if you are handling the reservation yourself. If your details match what you entered earlier, you can click copy contact information to requestor information to automatically fill in the fields.
Fill in the Requestor Name exactly as you want it printed on the Name Reservation Certificate. Then, complete the country, mailing address, city, state, and ZIP code fields using a reliable address where you can receive mail.
When everything is entered correctly, click continue to move to the next stage.

7. Review Reservation
This screen allows you to verify that all details related to your Alabama LLC name reservation are correct before moving forward.
In the top section, check the legal name to ensure the spelling and required designator are accurate. In the area below, confirm that the requestor name and mailing address are complete and correct.
If you find an error, click back to fix it. If everything looks good, mark the checkbox confirming your review, then select continue to move on.

8. Formation Page
This section records the core formation details for your Alabama LLC. These details include the county linked to your Registered Agent and the type of LLC you plan to establish.
a. County Of Formation
Use the county of formation field to choose the county where your Registered Agent’s street address is situated. Alabama assigns your LLC’s formation county based solely on the Registered Agent’s location, so the information needs to match.
If you hired a commercial Registered Agent, choose the county connected to their business address.
b. Filing Options
Under type of LLC, select “LLC”. Don’t choose this option if you intend to create a Series LLC, a Professional LLC, or a nonprofit version. For most businesses, the first option is the right choice.
If you want your LLC to begin on a future date, enter a delayed effective date here. The date should fall within 90 days of your submission. If you want your LLC to become active immediately, leave the field blank, and the state will approve it as soon as it processes your filing.
Select continue once all details are finalized.

9. Registered Agent & Address Information
This section gathers the complete details for your Alabama Registered Agent. Everything entered here should accurately reflect the Registered Agent’s real information. Plus, their physical office address needs to be within Alabama.
a. Registered Agent Type & Name
First, decide if your Registered Agent is an organization, such as a commercial agent service. Alternatively, it can be an individual, like yourself, a family member, a friend, or any Alabama resident who agrees to serve.
If you choose organization, enter the Entity ID number. When you start typing the business name, the state’s system usually suggests the right entity so you can select it from the list.
If your agent is an individual, complete the fields for last name, first name, and middle initial (Optional). The suffix field is optional as well.

b. Registered Agent Office Address
This is the most critical part of the Registered Agent section. In the fields for street address, city, state, ZIP code, and county, enter the address where your Registered Agent is located. This needs to be a legitimate Alabama location, as P.O. boxes and virtual offices are not permitted.
Once the address is entered, check the certification box confirming that the physical address is inside the county you selected.

c. Registered Agent Mailing Address
You can type a separate mailing address or click copy office address to mailing address to auto-fill the fields. A mailing address can be a P.O. Box, although many filers reuse the office address.
If you’re entering a different mailing location, complete the fields for street address, city, state, ZIP code, and county again.
At the bottom of the form, tick the box confirming that your Registered Agent meets Alabama’s legal standards. This means they are either an Alabama resident or a business authorized to operate in the state. Plus, they should keep a physical office in Alabama.
After reviewing everything for accuracy, click continue to proceed.

10. Organizer(s)
An LLC organizer is the individual or business entity that signs and submits the Certificate of Formation to the Alabama Secretary of State. If the organizer becomes an LLC Member in the future, signing this document does not automatically give them an owner status. Membership is determined separately in your Alabama LLC Operating Agreement. In most situations, if you’re creating the LLC for your own use, you will act as the Organizer.
The online system can be confusing because it states that “Organizer information is optional.” This doesn’t mean the organizer role itself is optional. Alabama law mandates the Certificate of Formation to be signed by an organizer under Section 10A-5A-2.01(a). The only part that isn’t mandatory is entering the organizer’s contact information at this point in the form.
For that reason, you may keep these fields blank and simply move on. You’ll provide your signature as the organizer at the end of the filing process.

11. Document Upload(s) – Optional
This step is entirely optional. You can upload supporting documents if you want certain details to show up in the public database. These can include a member list, main office information, or internal records. Anything you attach becomes part of Alabama’s public files. If you don’t need to upload anything, simply click continue to move forward.
Tip: I suggest NOT uploading your LLC’s member list. That form requires you to label each person as either a Member or a Manager. Listing this slows down approval and places your ownership information in the public record.

12. Business Owner Survey
This page contains a voluntary survey mandated under Alabama law. If your business is considered a small business, minority-owned business, or woman-owned business, select the category that applies. If none apply, or you prefer not to share this information, choose none of the above/I prefer not to respond. Then, click continue to proceed.

13. Summary And Signature
On this page, you’ll see a full summary of every detail you filled out up to this point. Review everything carefully to confirm the information is correct. If you need to make changes, use the back buttons to update any section.
When you’re ready to sign, enter your full name in the electronic signature field and choose your title in the box beside it. Your title is directly linked to how your LLC will be managed:
- If your LLC is member-managed, enter managing member.
- If your LLC is manager-managed and you’re a member (But not the manager), enter member.
- If your LLC is manager-managed and you are the manager, enter manager.
- Or, you can choose to sign as an organizer, no matter what your business structure is. This means you’ll complete and store a private Statement of LLC Organizer in your internal business records.
a. Member-Managed LLC Vs. Manager-Managed LLC
Once you’ve reviewed this section, check the certification box and click continue to move forward.

The next screen displays the full cost of forming your Alabama LLC. The system separates the fees into three mandatory charges: a $25 Name Reservation fee, a $100 County filing fee, and a $100 State filing fee. This totals $225. Additionally, you will have to pay a small Alabama processing surcharge. It comes to $3 for the name reservation and $8 for the formation filing. This is why the final amount appears as $236.

On the payment page, enter your contact and billing details, then complete the online transaction.
After the payment is processed, your Certificate of Formation is formally submitted to the state.
At that moment, your Alabama LLC is approved immediately; there is no delay.
How To File The Alabama Certificate Of Formation By Mail
1. What To Get Ready Before Filing
Your mail-in filing envelope should contain the following items:
- The completed and signed two-page Certificate of Formation and one identical copy. Alabama asks for duplicate originals for all mailed filings. You can download the form from the Secretary of State’s website or use the version I’ve included here.
- Your original Name Reservation Certificate. Alabama won’t accept your LLC without it. If you didn’t reserve your name at this stage, see the instructions in the earlier section.
- Payment for the required state fees, totalling $228. This comprises the $28 Name Reservation fee and the $200 Certificate of Formation filing fee. You can settle this amount by check or money order made payable to “Secretary of State.” Alternatively, you can use the Credit Card/Prepaid Payment Slip if you prefer to pay by card.
- A self-addressed, stamped envelope so the state can return your stamped and approved Certificate of Formation.
The state only accepts this request by mail or courier. Email submissions are not allowed. Once everything is gathered, send your full packet to:

Notes:
If you are paying by card, ensure you have enough available funds until the submission is processed. If the payment is declined or if a check is returned, Alabama will not process your paperwork. Additionally, a $30 returned payment fee applies, and your LLC won’t be reviewed until the fee is paid.
If you omit to add two copies of the Certificate of Formation and a self-addressed, stamped envelope, the state will not mail your approval back. That said, you’ll need to order a paid copy later through the Business Entity Record Copies page.
2. Step-By-Step Instructions For Your Filing
Warning: Alabama won’t accept handwritten forms. Therefore, write everything on your computer before you print and sign the documents.
The Alabama Certificate of Formation (Mail-in version) comes as a four-page packet. Pages 1 and 2 make up the actual Certificate of Formation and need to be completed and submitted. Pages 3 and 4 are optional, and include the Business Owner Survey and the Credit Card/Prepaid Payment Slip. Only add them to your filing if they apply to your situation.
Below is a simplified, line-by-line explanation of every field on the required Certificate of Formation pages. After going over these instructions, you’ll be able to fill out the form correctly before mailing it. These entries closely resemble the online filing version, so you can reference earlier instructions if you need clarification.
a. LLC Name
Write your LLC’s full legal name, including the proper designator such as “LLC,” “L.L.C.,” or “Limited Liability Company.” The name has to be identical to the one on your Name Reservation Certificate. This even applies to the punctuation, spacing, and capitalization of your LLC name.

b. Name Reservation Certificate
This line simply indicates that you need to include a copy of your Name Reservation Certificate with your paperwork. There is nothing to enter on the form itself; just be sure the certificate is placed in your mailing packet.

c. Registered Agent Information
List the full legal name of your Registered Agent, then provide the physical street address of their Registered Office. P.O. boxes are not acceptable, and the location must be an actual Alabama address.
Next, write the county where the Registered Agent’s Alabama street address is located. The state uses this information to route county-level fees appropriately. If your Registered Agent gets mail at a different location, enter that mailing address in the appropriate field. If both addresses are identical, repeat the same details.

d. Statement Of At Least One Member
This line serves as a simple confirmation that your LLC has at least one member. You don’t need to write anything here. Later in the form, you’ll input your signature, which verifies this requirement automatically.

e. LLC Type (Item 5)
Mark a box only if you are creating a Series LLC, a Professional LLC, or a Non-Profit LLC. If your company is a standard, traditional LLC, leave this entire section unmarked.

f. Effective Date, Additional Document(s), And Signature Block
Section 6 relates to your LLC’s effective date. You may leave this field empty if you want your LLC to take effect as soon as the state processes your filing. If you prefer a later start date, you can select one. Just make sure it falls within 90 days of the state’s receipt of your paperwork. You can also choose AM or PM, but the state does not allow you to specify exactly noon or midnight.
If you want to add any extra provisions or internal agreements to the public record, you can check the box and attach the document. However, most Alabama LLC owners skip this section, as leaving it blank keeps your internal business details private.
Lastly, at the bottom of the page, you’ll see the signature block. Print your name, then list your title. Acceptable titles include managing member, member, manager, or organizer, depending on your LLC’s structure and how you prefer to sign. One important reminder is to print the form before signing it. Once printed, sign your name on the signature line by hand.

Notes:
The Business Owner Survey is completely optional. You can add it if you want, but leaving it out has no impact on whether your LLC is approved.
The Secretary of State Credit Card/Prepaid Payment Slip is required only if you are not paying by check or money order. When using a credit card or prepaid account, Alabama also asks you to include a self-addressed, stamped envelope.
Additionally, you’ll have to provide an acknowledgment copy of your filing if you want a receipt mailed back to you. If these items are absent, the Secretary of State will not send you a receipt.
If you select hold for pickup, the receipt will be attached to your documents and made available for in-person pickup.
Alabama Certificate Of Formation Approval
1. Certificate Of Formation Approval For Online Submission
Once your online payment is accepted, your Alabama LLC is approved immediately. A stamped Certificate of Formation is sent straight to the email address you provided during the filing.
You can download your entire approval packet right away, including your stamped Certificate of Formation and payment receipt.
Important: For online submissions, Alabama only stores your documents for download for 15 days. The state doesn’t mail anything to you. You need to return to the portal and download both your Certificate of Formation and your receipt before the download window closes.
2. Obtain The Result For Your Mail-In Submission
If you submit your paperwork by mail, the process takes longer. Although the Secretary of State usually reviews your documents within 1–2 business days, you need to account for mailing time to and from the state.
Once your submission is approved, Alabama will place your stamped Certificate of Formation into the self-addressed, stamped envelope included in your packet. Your receipt will also be added to that envelope. Using this envelope is the only method chosen by the state to send approved documents for mailed filings.
Tip: Regardless of whether you filed online or by mail, you can request a certified or non-certified replacement of your Certificate of Formation at any time. This applies even if you lose your certificate. Visit the Business Entity Record Copies page and submit a copy request with the applicable fee.
Why You Need To File Alabama LLC Certificate Of Organization
Your LLC doesn’t fully operate until your Certificate is submitted and approved. In the section below, I’ll go over the main consequences of not having one.
1. Your Alabama LLC Has No Legal Status Yet
According to Alabama Code §10A-5A-2.01, an LLC legally exists only after its Certificate of Formation becomes effective. Until approval is granted, your “LLC” has no legal identity. Therefore, it cannot hold property, enter into contracts, initiate lawsuits, or be named as a defendant.

The most serious consequence is the absence of liability protection. The purpose of forming an LLC is to create a legal barrier separating your personal assets from the company’s debts and obligations.
Under Alabama Code §10A-5A-3.01, members are liable only to the extent of their interest in the LLC and are not personally responsible for business obligations.
However, this protection applies only once the LLC officially exists. If the LLC hasn’t been formed, the liability shield does not exist either.

As a result, any claims, lawsuits, debts, or contract disputes fall directly on you. Your personal assets, including your home, savings, wages, and other assets, become vulnerable. This happens because, in the eyes of the law, you are operating as an individual rather than a separate business entity.
2. You Can’t Get Important Tax Or Licensing Documents
You can’t secure any state or federal business paperwork until Alabama officially recognizes your LLC. The Internal Revenue Service (IRS) won’t issue an EIN until your Certificate of Formation has been accepted.

Without an EIN, you can’t open a business bank account, bring on employees, or submit required federal and state tax filings. This puts you out of compliance with the state and the federal government. Plus, it makes you vulnerable to penalties and delays.
Likewise, cities and counties in Alabama require proof of LLC formation before they issue local business licenses, permits, or specialized certifications. If you try to apply without an approved Certificate of Formation, the agencies will reject your application. In regulated industries, you may even receive administrative penalties or a cease-and-desist order.
3. You Face Operational And Credibility Risks
Suppliers, clients, banks, and potential investors routinely search Alabama’s Business Entity Records to confirm that a company is legitimate. If your LLC doesn’t appear in the state database, they will treat it as unregistered and unreliable.
This absence of official status damages your professional credibility and reduces business opportunities. It can even block you from obtaining financing, forming partnerships, or accessing industry services. In Alabama’s regulatory system, failing to show up in the state’s records immediately signals a major risk to anyone considering working with you.
